the night before my chem paper 1, i was stressing profusely over the exams seeing that my predicted grade was a 9a which isn't good enough for me so i endeavoured to rest my head in order to tranquilise the chaos inside my mind and find some solace. however, overnight, all of my chemistry knowledge had perished; i dreamt it was squandered by a malevolent leprechaun with a macabre, sinister pattern of speech consisting of a strict ABABAB rhyme scheme and trochaic tetrameter signifying his desire for power and avarice for the acquisition of knowledge. my gargantuan intellect slipped through my fingers; I had been Light Yagami before (metaphor; i was not literally the antihero protagonist), with the chemistry knowledge of Walter White and a reputation that truly preceded me as when i walked to school that morning i realised i would be receiving a U despite my overwhelming intellect. destitute, despaired, despondent. if only that machiavellian villian hadn't seized my smarts. i held a vast sea of repressed rage inside of me, and once i opened my paper to a 6 marker on equilibria, i arose from my creaky chair and disenthralled a mighty bellow, tearing my shirt apart with my bare fists like the hulk, and releasing my agonising mental anguish through the form of sound waves in which shook the mortal ground, quaking under my feet in submissive obedience. this caused most of the students in the silent hall to turn to look at me in disbelief, so in a fit of anger i lost my temper and absolutely dashed my desk at the nearest student. (he suffered minor fractures to his skull and a couple bruises but nothing major. not that i could say the same for the desk; alas, it had shattered into fragments.) the students in the hall gasped in shock at the sight of their classmate consummating the role of the catalyst for a catastrophic carnage to emenate (note my alliteration of the fricative "c" amplifying the harshness of the situation). another ear-piercing screech ensued, resounding from the molten iron core of my chest, as I threw myself to the ground in defeat.
now then, any moral person witnessing this incident would clearly relate to my pain and suffering, and would at the very least leave me to grieve the remnants of a drained IQ of 341, but an invigilator chose to approach me and had the AUDACITY to REMOVE me from the hall. i was promptly disqualified and issued several consequences for disrupting the exam. this is clear evidence that examiners do not care for mental health, a stark contrast to the claims held by thousands of them worldwide. it is time to take action. it is time to make a change. it is time to fire every invigilator in the country and beyond; students' feelings shouldn't be invalidated and we have the right to express them in any form necessary, especially during the stressful exam period. i listen to the drone of students chattering as they leave the exam and i think to myself about my perpetual experiences with being dismissed and punished for natural behaviour. i can no longer pursue my lifelong aspiration of becoming a high-school chemistry teacher in Alberquerque, New Mexico because this examiner was unable to CONTROL THEMSELF IN THE EXAM HALL. they didn't even think about how much escorting me out would disturb the hardworking students completing their questions. for this reason you must make a stand against invigilators; join me in my venture to cease this barbaric treatment of well-behaved, well-prepared students such as myself.

“Alright, it’s been twenty-seven minutes,” Kim said. “We need to check in on Vell.”
“Why is the limit for that twenty-seven minutes?”
“Because that’s how long it takes him to make his favorite french fries,” Kim explained. Alex glared at her.
“And why is that relevant?”
“It’s a long story,” Kim said. “Now shut up and let me call.”
Kim didn’t actually need to do anything to call Vell, since the phone mechanism was entirely in her head, but she put a hand on the side of her head anyway. Vell answered, which was a good sign in and of itself, but they weren’t out of the woods yet.
“Hey Kim,” Vell said. “I’m alive.”
“I assumed,” Kim said. “Is everything going alright?”
“Just fine, yeah,” Vell said. “I’m here with Raine, he’s great, he knows everything about frogs. Literally everything. All of the things.”
A fact that Raine continually demonstrated, whether he was asked to or not. Even while Vell was talking on the phone, Raine was still listing various frog factoids.
“So are things good? Bad? Do you need help?”
“I wouldn’t say things are good,” Vell said, as he listened to Raine list off the average dietary intake of an Appenine yellow-bellied toad. “But I think they’re under control. I’ll just stick things out solo for a while. No point wasting even more people’s time on this.”
“Sounds about right,” Kim said. “Give me a call if you decide you’re done throwing yourself on the sword, Vell.”
“You and I both know I’ll never be done,” Vell said. “Just let me handle this. I am, no offense, way better at putting up with this kind of stuff than any of you guys.”
“Vell, that ‘no offense’ should be aimed at you,” Kim said. “You’re the doormat here.”
“Gee, thanks,” Vell said. “Look, I can handle it. No sense wasting everyone else’s day.”
“Ugh, cut it out you self-sacrificial bitch. Look, I’ll come tag you out later in the day, alright? We can take turns.”
“If you say so,” Vell said. “But really, I got this.”
He hung up before Kim could argue any further. Raine had been waiting patiently for the duration of the call, and seemed to be fixated on Vell’s phone. Vell had entirely forgotten he was dealing with a ghost, one that had very likely never seen a modern cell phone. He held the phone in Raine’s direction, hoping with all his heart that it could serve as a conversation topic other than frogs.
“You seen a cell phone before, Raine?”
“Yes, I have, as a matter of fact,” Raine said. “Though last time I saw one they still folded in half.”
Raine poked at the phone with an immaterial finger, attempting to mimic the way Vell had used the touch screen. As expected, his finger passed right through.
“Sorry. Let me handle it,” Vell said. “Here, phones nowadays can do all kinds of things. There’s apps, games, you can browse the web.”
“You can access the internet through your phone?”
“Yeah, I can-”
Vell stopped in his tracks. Raine’s already wide eyes were getting wider.
“Yes, it can look up pictures of frogs,” Vell sighed, as he began to do so.

Kim pulled another book off the shelves and examined it. Even with a functionally perfect memory, she still found it difficult to keep track of what books Vell wanted to read. He was so damn good at rune bullshit that all his academic texts were titled things like “Applied Kinetic Physics on Automated Sigil Structuring: The Horatian Perspective”. Kim knew a fair bit about runes, but she was still working off basic texts like Runecrafting 301.
“I don’t know how Vell does this shit,” Kim said. “Being nice is hard.”
To make up for his having to babysit the frog ghost, and all the other trials and tribulations of his life, Kim had opted to do something nice for Vell. Something to help with his studies was the first and most practical step. Up next, she wanted to get him some snacks. She popped on the phone in her head and got in touch with Skye.
“Kim, what’s up?”
“Hey Skye. You know what Vell’s favorite snacks are? I’m trying to get him a gift.”
“Is this a ‘gift’ gift or an apology gift?”
“Is there a diff-”
Kim stopped in her tracks, and made eyes appear on her face screen just to narrow them.
“Skye, why did you need to get an apology gift?”
“I got him pinched by a mutant crab,” Skye mumbled.
“Oh, so that’s where that cut on his arm came from,” Kim said. Vell had refused to elaborate on the incident last year. “Anyway, it’s just a gift gift. Trying to do something nice for the poor guy.”
“He likes those little fudge and cream cheese bites they sell in the campus commissary,” Skye said. Kim made a mental note and started heading for the commissary. “Is there a special occasion I should be aware of?”
“Nah, Vell’s just doing his usual routine of throwing himself on the sword for our sake,” Kim said. “Distracting a frog ghost for hours on end.”
“Is that why he hasn’t been answering my texts lately?”
“If I had to guess, I’d say the ghost pressured him into using his phone for frog pics,” Kim said, correctly. “He’ll be a little busy. Trying to help ghosts move on to the afterlife is usually a long process.”
“So what, he’s just going to be at it all night?”
“Don’t worry, if he’s not done soon, I’ll swap him out in a couple hours,” Kim said. “You’ll get your boyfriend back, don’t worry.”
Kim said her goodbyes and returned to her shopping, leaving Skye to put her phone down and get back to the people she’d been talking to before. Cane and Hanifa had been patiently waiting for the entire call.
“So it looks like me and my boyfriend showing up is entirely dependent on whether or not he can convince a frog ghost to move on to the afterlife,” Skye said.
“Mm, yeah, he was asking about that kind of thing earlier,” Cane said. “Is he not done yet?”
“Apparently not,” Skye said. “And Kim thinks it might still be a while.”
“One of these days I’ll get to talk to Vell for more than a minute,” Hanifa said. She’d been dating Cane for nearly two years now and had barely spoken to one of his best friends.
“You can talk to him soon,” Cane said. “Come on. I’ll get Luke and the rest of the guys, Skye, you call Kim back and find out where Vell is.”
“Wait, are we getting involved?” Hanifa asked. “I thought Vell was the expert in saving the day.”
“He is,” Cane said. “But now and then somebody needs to save Vell.”

“Okay, you have now seen a picture of every species of frog in existence,” Vell said. He swapped his phone between hands to spare his aching thumb and displayed the last photo of a frog to Raine. “You feel ready to move on? Claim your eternal reward? Et cetera?”
“Just seeing them? Are you kidding,” Raine scoffed. Vell restrained a groan of frustration. “There’s so much more to study, so much to understand, not to mention those were only photos of the known species. Who knows how many undiscovered frog species are out there?”
“Okay, okay, okay,” Vell said. “That’s something, I could work with that. What if...I found a new species of frog, and named it after you? Would that satisfy you?”
Raine contemplated the prospect for a moment.
“Only one frog?”
“God,” Vell snapped. Even his patience was wearing thin. “What will it take to get you to stop?”
“Sometimes I could ask you the same question.”
Vell turned around just in time to catch the beer Cane shoved into his hands. He also got a pat on the back and a firm but gentle shove away from Raine as Cane stepped up to the ghost.
“So you’re the frog ghost I’ve heard some much about.”
“Hi, I’m Raine.”
“Oh, Raine, I’m Cane,” he said, with a friendly smile. “Our names rhyme. How about that?”
“Oh, they do,” Raine said. “Just like Callobatrachus and Ascaphus Montanus.”
Cane’s friendly smile froze in place.
“Really is all about frogs with you, huh?”
“What else is there?”
“A lot more,” Cane said. “As our friends will be happy to tell you.”
He gestured to the door, which Luke was busy walking through, followed shortly thereafter by Hanifa, Skye, Freddy, Samson, Kim, and many of Vell’s other friends. They brought chairs, food, drinks, and everything else one could need to sit and relax for a long time. Vell was briefly confused, and then delighted when Kim shoved a bag of fudge bites into his hands alongside the beer.
“Hi, great to see you guys, why is, uh, everyone here?”
As Luke stepped up to Raine and tried to display some physics trivia that immediately got derailed by questions about frog jumps, Cane walked up and put an arm around his friend’s shoulder.
“You want to help the frog guy, I want to hang out with my friends,” Cane said. “This way we just do both at once.”
“Makes sense. I guess,” Vell said. He popped open the beer and took a much needed-swig, enjoying the cold drink almost as much as the respite from frog trivia. “You sure you’re up for this?”
“Well, a basement is not the ideal hangout spot,” Cane said. The floor was uncomfortably damp. “But it’s all my best friends and one guy with endless frog facts. How bad can it be?”

The light in Cane’s eyes had completely gone out by the time he wandered back to Hanifa. She made room for him in the chair and beckoned him to sit, and he all but collapsed onto her shoulder.
“There’s too many frogs,” Cane whimpered.
“I know baby, I know,” Hanifa said. “You’re safe now, don’t think about them.”
The lively atmosphere of the group had been gradually sapped away by Raine’s endless fixation on frogs. They had taken it in shifts to deal with his obsession, as any one person could only endure it so long.
“Did you find out anything useful?”
After hours of swapping in an out, the gathered friends were seemingly no closer to their goal of finding out what tethered Raine to this mortal coil.
“No, I didn’t,” Cane snapped. “It’s just frogs. All frogs. If I had to guess, I’d say his grand purpose is frogs, and the problem with that is, as I have recently learned, there are always more frogs!”
“I think we might need to cut our losses on this one, Vell,” Kim said. “Raine doesn’t exactly seem like he’s tormented by his ties to our mortal coil.”
“You’ve got a point,” Vell admitted. As long as there were frogs, Raine would be happy. “We have to stick it out a little while longer, at least.”
“Why?”
Kim, Vell, and the other loopers knew they had to be on hand all day, to avoid any risk of Raine repeating the frog-summoning incident, but their guests were not privy to such knowledge.
“Uh, well, you see-”
The sound of a door being slammed open provided a welcome interruption to a sentence Vell wasn’t sure how to finish. His relief turned right back into apprehension when Alex stepped through the open door.
“Oh, hey Alex,” Vell mumbled. “Good to see you. Sorry for not inviting y-”
Kim elbowed him to shut Vell up. They had quite deliberately not invited Alex or Helena to the gathering.
“No need for apologies, I’m not interested in your parties,” Alex said. She looked to the side, at a bit of water dripping down a wall. “Especially not in a moldy basement. I just need to consult with Freddy on a project and I’ll be on my way.”
“Oh, well, he’s right over there, go ahead,” Vell said.
“Actually,” Cane interjected. He stood up, put an arm around Alex’s shoulder, and started walking her in a very non-Freddy direction. “Since you’re here, why don’t you pull your weight and talk to our new buddy Raine for a bit?”
“The amphibian obsessed undead? I thought you all were here to handle that.”
“Look, just talk to the guy for twenty minutes or something, give us a break,” Cane said. “We’ve all been doing this for hours.”
“On a purely voluntary basis. Don’t drag me into this.”
“Too late, I have literally already dragged you into it,” Cane said. He gave Alex one final shove to push her within talking distance of Raine. His wide eyes locked on her as Cane snatched his previous conversation partner away and left Alex and Raine alone in the designated frog-conversation corner.
“Hi. I’m Raine.”
“I’ve heard,” Alex grunted. “You like frogs.”
“Yes! I especially like the kind that-”
“Shut up,” Alex said. “If I turn you into a frog, will you leave me alone?”
“You can do that?”
“I’m a mage, of course I can-”
“Do it!”
Raine tried to lunge forward and grab Alex by the shoulders, but his immaterial hands passed right through her. He kept shouting at her anyway.
“Do it do it do it do it,” Raine screamed. “I want to be a frog!”
Alex rolled her eyes, snapped her fingers, and called upon the ambient mana in the basement, to put a little extra power into her spell.
While turning someone into a frog was fairly standard magic, Alex didn’t like frogs, so she rarely cast it. The spell also, importantly, was designed to transform flesh and blood humans, not ghosts, so some modifications would be necessary. She made the needed changes, and then cast the transformation spell on Raine.
The makeshift spell created a loud buzz like a generator being turned on, and all eyes in the room turned to the source of the noise. They got to watch as Raine’s ghostly form was swallowed up by blinding light, entirely consumed in a tide of magic that washed over him and through him. When the tide of light finally settled, Raine’s ghostly form was gone, replaced by a three inch long spectral frog.
“Oh, a European common frog,” Vell said. He’d learned enough about frogs in the past few hours to identify it on sight.
The frog Raine had become started ribbiting fervently, and hopped around the room on ghostly legs. Alex stepped back to avoid any contact with the ghost frog, despite knowing that it could not actually touch her. After exactly thirteen seconds of manic hopping and ribbiting, Frog Raine started to float in the air.
“Alex, is he supposed to be floating?”
“I’m not sure,” Alex admitted. “No one’s ever successfully transmogrified a ghost before.”
“Wait,” Vell said. “What happens when you unsuccessfully transmogrify a ghost?”
“Oh, their soul is obliterated,” Alex said.
“And you did it anyway?”
“He asked,” Alex said. Her disdain for frogs extended to those who studied them, so she had little concern for Raine’s existence.
A brilliant ray of light exploded from Raine’s ghostly body, followed by another, and another, as if he was hiding a sun somewhere inside him that was starting to break free. A final crack formed in the ghostly shell, and blinding light forced them all to look away. When the light finally faded, nothing was left of Raine but a few sparks of shimmering light. Cane took a worried step closer to the few sparkles.
“So, is that, you know, the soul obliteration, or…”
“No, we’re good, that’s the good outcome,” Vell said. He’d seen a few ghosts ascend in his time. “It appears Raine’s big regret in life is that he wasn’t a frog.”
“Hmm, yeah, that tracks,” Cane said. “We should’ve tried that hours ago.”
“With maybe a few precautions taken,” Vell said, glaring at Alex. “To avoid soul obliteration.”
“He was already dead,” Alex said.
“He was only mostly dead,” Cane protested. Alex shrugged and headed for Freddy to ask for his input on mana oscillation while Cane stuck a hand through the sparkles. “See you on the other side, Raine. Hope they have frogs in heaven.”
“At least one, now,” Hanifa added. “Can we leave this basement now?”
“Yeah let’s get the fuck out of here,” Cane said. “And let’s also never talk about frogs again.”
“Good idea on both counts.”
Cane led the charge back into the light, and the makeshift party followed, though it just as quickly dissolved once everyone got back to the surface. Several hours trapped in a basement listening to frog trivia had a way of sucking the camaraderie out of people. Vell said goodbye to his friends as they went their separate ways, until it was just him and Cane.
“Thanks again for showing up, Cane,” Vell said.
“Don’t thank me too much. Full disclosure: if there weren’t like twenty other people to split frog duty with, I probably would’ve bailed,” Cane said. “Also, I would’ve looked like a real asshole in front of Hanifa.”
“Oh. Well, uh, thanks for sticking it out,” Vell said.
“No problem. Somebody’s got to watch your back while you’re watching everyone else’s,” Cane said.
“Uh, sure.”
“I’m serious, Vell. I love you, but you got to start putting yourself first sometimes,” Cane said. “You’re about to graduate, then go run a company, and you just about wasted your whole day listening to some dude explain the differences between frogs and toads.”
“One spends more time in the wa-”
“Stop! Never again,” Cane commanded. He’d had enough frog facts for ten lifetimes. “Vell, you’ve spent the past three years helping everyone with everything. Try to help yourself with something now and then.”
“I- I guess,” Vell said. “I’ll try.”
“Motherfucker I have watched Star Wars with you, you know the saying,” Cane said. “There is no try. Go do something to help Vell, Vell.”
“Huh. I guess there was something with Professor Nguyen-”
“I don’t give a shit! This ain’t about me,” Cane said. “It’s about you, and only you! Go do your thing.”
“Okay, I will,” Vell said. “Thanks, I-”
“Again, not about me,” Cane said. “Just go!”
Vell was inspired and confused in equal measure, and headed out for Professor Nguyen’s office. The interview ended up being profoundly boring and not particularly useful, but it was better than sitting in a basement talking about frogs. Slightly.

I'm sorry it got so long; it's partially because today was actually a full day as opposed to the first day which was only a half day, and also because a lot more interesting activities and conversations happened today, so I wanted to try to translate and transcribe some of them for you all. 38:30 PD invites everyone to the kitchen to collect their lunch. Menu is a choice of fried rice or (they think) yellow curry with rice. Neo asks everyone for donations of cucumber because he loves cucumber (he mentioned this at the first meal last night)
53:45 PD announces (and startles the guys) that the winners of the last game will get dessert, and it can now be collected from the front door. It's doughnuts. The guys who lost are a bit sad about the doughnuts, but the winners offer to share with them
1:01:00 Relaxing time.
1:37:00 PD announces that all the guys were previously instructed to bring one item of sentimental value with them to the house, and now is the time to bring those items to the larger bedroom to present them
1:54:00 They suggest playing a typical Thai game; the name roughly translates to "live fish, dead fish." It's a game that involves moving and freezing. (The person who's "it" is blindfolded and has to order all the other players to move (live) and freeze (die). In the frozen periods, the blindfolded person moves around needs to find and and successfully identify each of the other players just by touch. This game can be played on the ground or in the water.)

Let’s say you’re a company that wants to commit an elaborate fraud. What is the most egregious fraud that you can think of?
Maybe let’s not start with egregious. Let’s start with something simple! Here’s something that’s reasonably common:
  1. Pay people to buy your product (or like give them huge discounts or whatever). Inflate your revenue. Lie about your actual customers.
  2. Hype your company up. Do an IPO, take your company public. Sell some of your own stock.
  3. Slowly try fixing your numbers. If you happen to succeed, that’s great! You win. If you don’t succeed, you still win? You’ve done your IPO and sold some stock. That’s a lot of money.
This is the simple kind of fraud, which also makes it difficult to identify. You might have to talk to the company’s customers, read the fine print in its disclosures, do sanity checks of its financials, that sort of stuff. It’s tough to catch the simple kind of fraud, which is also why so much of it exists in the form of whispers and rumours without ever getting proven.
Now let’s go egregious:
  1. Why pay people to buy your product? Hell, why even have a product? Just manifest in your imagination that there are hundreds of thousands of people buying whatever you’re selling and write it down.
  2. Hype your company up! Do an IPO, sell some stock. This part remains the same.
  3. Don’t bother fixing your numbers. Instead, keep publishing imaginary revenue figures. Keep selling stock to public investors. Publish your financials every quarter with whatever numbers you like.
If you do this, there’s only so far you can go. Eventually, your hype will attract attention and someone might figure out that both your customers and product were creative imagination.
Here’s a SEBI order from late in April about Manpasand Beverages. Manpasand used to be a beverages company based in Gujarat. In 2019 the company shut down because it got caught in a bunch of frauds. It’s only now that SEBI published the details of what was happening. Probably best summarised by fund manager Amit Mantri: [1]

Fake it till you make it (or don’t)

Manpasand faked its revenue (of course). It also faked its expenses, customers, vendors, tax liabilities, etc. How did it get away with doing this stuff? I don’t know, someone’s gotta ask Deloitte. They were Manpasand’s auditor for eight years, resigning only in 2018. The company’s fraud came out officially in 2019—Deloitte, whose job was to make sure the books were right and also had access to all the inside information, figured that something was off only a year earlier!
Anyway, SEBI appointed its own auditor to figure out what was wrong with Manpasand’s accounts and the auditor came back with a bunch of stuff. [2]
Here’s the bit about Manpasand inflating its revenue. From SEBI’s order:
… CGST vide letter dated July 07, 2019, inter alia, informed that Manpasand had shown inflated sales figure in its balance sheet by way of receipt/ supply of fake invoices without actual receipt/ supply of goods. It was further informed in the said letter that Manpasand had floated 38 bogus/paper firms to inflate its turnover and that inward and outward transactions made with such bogus firms amount to Rs.188.48 Crore and Rs. 691.30 Crore, respectively.
Manpasand created 38 different companies and it both “sold” its products to those companies as well as “bought” stuff from some of them. Basically, Manpasand created real companies to play the role of its customers and vendors.
… it was observed that the parties with whom transactions amounting to Rs.29.84 Crore were entered into, were not registered for dealing in the said goods/products being manufactured by the Company. Further, there was non-receipt of sale considerations and debtors balance were adjusted by passing journal entries
Manpasand was a beverages company that was selling stuff to its customers. Traditionally a company like Manpasand might have distributors as customers but Manpasand’s customers were registered as something else entirely (I do wonder what, the order doesn’t mention it). These are fake customers that Manpasand created out of thin air. Establishing companies is quite a bit of effort! Why half-ass the part where you select the “business type”? I sort of understand though. I’ve done it too. Put so much effort into something that you’re bored by the end that you muck it up.
I’m kidding! The real reason is probably that Manpasand wouldn’t have actually created these fake companies itself. There would be a middleman who would have them made in advance, all ready to go whenever needed to do fraud.
Manpasand propped up its sales as well as its expenses by pretty much just funnelling money around from one entity to the other. In some instances, it wouldn’t even move real money around. It would just note down that it had to pay one company, and had to also collect payments from another company, and then cancel each other out. Manpasand was running its accounts on Splitwise.
In general, there is nothing wrong with a company having such set-off arrangements. If you know your creditor owes money to your debtor, sure, cancel those transactions out. But how likely is it that a company’s suppliers and distributors know each other? And transact with each other?
This post is public so feel free to share it.

All except death and taxes

If you’re planning to do some accounting fraud, here’s something to keep in mind. I mean, I’m not not recommending that you do fraud, but if you do have your mind made up I might as well pass this along. Fake your sales, that’s fine. Fake your expenses, that’s fine too. But don’t fake your taxes, those guys will come after you.
In 2019 right before Manpasand shut down, GST officials raided its offices and arrested the CEO, CFO and a director. If you think about it, one of the reasons Manpasand got away with its fraud for as long as it did was that its accounts looked reasonably realistic. Deloitte made sure of that! Manpasand didn’t just arbitrarily put in fake numbers, oh no. It showed transactions to back them up with actual companies.
But any sales or purchases bring with it a cute goods and services tax, and the GST folks don’t care all that much about the fact that your sales are real. They’d like their share anyway. And not the GST you owe them, but because of how GST works, they would also want the GST your vendors (and your vendors’ vendors) might owe them.
GST has this magical thing called “input tax credit” which is basically the GST council giving you magic points every time you pay GST as a customer. Say, you buy some glass to make some marbles. You pay GST when you buy that glass, and you get some magic points. When you sell your freshly manufactured marbles, you collect GST from your customers and can redeem those magic points which you got earlier to reduce the GST you actually pay. (This isn’t tax advice so don’t come after me if you mess up your taxes because of anything you read here.)
These points are nice because they help save tax. But a basic requirement to use these points is that the company you bought your glass from has to have paid their fair share of GST in the first place! You only get the points if they’ve paid their tax! In Manpasand’s case the vendors it was dealing with existed solely for the purpose of enabling accounting fraud. Of course they weren’t going to be paying any tax. And yet Manpasand was claiming the magic points and reducing the GST it paid. These fake magic points is how the GST people figured out that there was something very wrong happening.
If the GST raid hadn’t happened, would Manpasand have survived as a company? Absolutely not. But would it have survived longer than it did? Probably.

Roll over, it’s a takeover

Things have already been a bit bizarre but what follows next is absolutely basket case. Here’s a section of Manpasand’s response to SEBI. From SEBI’s order:
The Company is a victim of a pre-planned, fraudulent scheme and conspiracy perpetrated by Finquest Financial Solutions Pvt Ltd (FINQUEST) wherein under the garb of promise to provide working capital worth Rs.100 Crores, six documents were executed by and between MBL & FINQUEST. Within a span of two and a half months, it was clear that this entire so called transaction of providing working capital loan was nothing but a mere play to gain the entire control of MBL which is having asset base of around Rs.625 Crores…
Finquest is an NBFC that lent money to Manpasand right after the GST raid happened and its officials were all in jail. Manpasand is claiming that Finquest’s goal wasn’t to just lend to the company and earn an interest income out of it, but to take over the company itself. Manpasand claims that Finquest defrauded it and even calls whatever they did a “hostile takeover”.
Let’s humour this idea for a bit. If you’re a listed company worried about a hostile takeover, you’d look at who’s buying your stock. That’s the normal way for hostile takeovers to work. You wake up one day to realise that Elon owns 9% of your and immediately fall into a state of panic. If you don’t own enough of your company, Elon just might.
Another hostile takeover could be by a distressed debt investor. You may have taken a loan from some banks or whoever some time back. The banks would’ve sold your loans to outside investors. But then because you’re in tough times, the investors would want to rid themselves of your loans at a discount. This distressed debt is then caught by investors trained in the art of recovering dollars from pennies. If you can’t repay your loans to these guys, they would be more than happy to squeeze it out of you.
This is what happened with Byju’s US unit. But really, hostile takeovers aren’t common with distressed debt investors. They don’t want to run your company! They want their money back with some (a lot) of interest. [3]
Finquest lent to Manpasand, it didn’t buy its stock. So maybe this was the second kind of hostile takeover, the distressed debt kind? Well, here’s Abhishek Singh, then director of Manpasand in an interview with Business Today back in 2019:
Business Today: Dhirendra Singh [the CEO] has accused Finquest of a hostile takeover bid, while Finquest claims that it was always mentioned in the term-sheet that the company will be managed by a professional team until its money was parked with you. It will be nice to get your side of the story.
Singh: Whatever amount has been transferred by the Finquest in the bank account of MBL was done in the new account opened by FFSPL's representatives in the name of MBL. The control of this new bank account lies with FFSPL's representatives. FFSPL was allowed operational access to business of MBL and not financial access, as per the term sheet dated July 3, 2019.
…As per the term sheet dated July 3, 2019, FFSPL had right to nominate two directors on the Board of Directors of MBL, which shall constitute minimum one-third strength of the Board. Pursuant to this clause, FFSPL appointed three directors instead of two. The total strength of the board became six directors, one-third of this comes to two. Thus, one more director being a nominee of FFSPL was appointed.
… What? Manpasand borrowed money from Finquest but the bank account where the money came in was controlled by Finquest? And Finquest got “operational access” (whatever that means) as well as a third of Manpasand’s board seats? This isn’t a hostile takeover! It’s a lamblike takeover.
Honestly, I get it. Manpasand’s CEO and others were in jail. The company needed money. The only lender willing to lend to a shady company whose executives are in jail would be a shady lender. And that shady lender was Finquest—which, by the way, had done something similar before—but Manpasand took what it got.
If there’s a second “don’t do this if you’re doing fraud” lesson in this, it’s this. Don’t borrow from a loan shark!

[2] The auditor that SEBI assigned to do this, Chokshi & Chokshi, came back with 12 findings from Manpasand’s accounts. But I think I found a couple of mistakes? It wouldn’t in any way affect SEBI’s conclusion on Manpasand, but I find it funny that a story which is essentially about an auditor’s massive failure to do its job also has an auditor that probably wasn’t too careful themselves? I’ll probably write about this in a future post.
[3] A distressed debt investor would prefer to take over a company to be able to put it into bankruptcy so that it can sell the company’s assets and recover its money. That’s very different from what the kind of takeover that Elon did of Twitter.

Of course they weren’t going to be paying any tax. And yet Manpasand was claiming the magic points and reducing the GST it paid. These fake magic points is how the GST people figured out that there was something very wrong happening.
If the GST raid hadn’t happened, would Manpasand have survived as a company? Absolutely not. But would it have survived longer than it did? Probably.

Roll over, it’s a takeover

Things have already been a bit bizarre but what follows next is absolutely basket case. Here’s a section of Manpasand’s response to SEBI. From SEBI’s order:
The Company is a victim of a pre-planned, fraudulent scheme and conspiracy perpetrated by Finquest Financial Solutions Pvt Ltd (FINQUEST) wherein under the garb of promise to provide working capital worth Rs.100 Crores, six documents were executed by and between MBL & FINQUEST. Within a span of two and a half months, it was clear that this entire so called transaction of providing working capital loan was nothing but a mere play to gain the entire control of MBL which is having asset base of around Rs.625 Crores…
Finquest is an NBFC that lent money to Manpasand right after the GST raid happened and its officials were all in jail. Manpasand is claiming that Finquest’s goal wasn’t to just lend to the company and earn an interest income out of it, but to take over the company itself. Manpasand claims that Finquest defrauded it and even calls whatever they did a “hostile takeover”.
Let’s humour this idea for a bit. If you’re a listed company worried about a hostile takeover, you’d look at who’s buying your stock. That’s the normal way for hostile takeovers to work. You wake up one day to realise that Elon owns 9% of your and immediately fall into a state of panic. If you don’t own enough of your company, Elon just might.
Another hostile takeover could be by a distressed debt investor. You may have taken a loan from some banks or whoever some time back. The banks would’ve sold your loans to outside investors. But then because you’re in tough times, the investors would want to rid themselves of your loans at a discount. This distressed debt is then caught by investors trained in the art of recovering dollars from pennies. If you can’t repay your loans to these guys, they would be more than happy to squeeze it out of you.
This is what happened with Byju’s US unit. But really, hostile takeovers aren’t common with distressed debt investors. They don’t want to run your company! They want their money back with some (a lot) of interest. [3]
Finquest lent to Manpasand, it didn’t buy its stock. So maybe this was the second kind of hostile takeover, the distressed debt kind? Well, here’s Abhishek Singh, then director of Manpasand in an interview with Business Today back in 2019:
Business Today: Dhirendra Singh [the CEO] has accused Finquest of a hostile takeover bid, while Finquest claims that it was always mentioned in the term-sheet that the company will be managed by a professional team until its money was parked with you. It will be nice to get your side of the story.
Singh: Whatever amount has been transferred by the Finquest in the bank account of MBL was done in the new account opened by FFSPL's representatives in the name of MBL. The control of this new bank account lies with FFSPL's representatives. FFSPL was allowed operational access to business of MBL and not financial access, as per the term sheet dated July 3, 2019.
…As per the term sheet dated July 3, 2019, FFSPL had right to nominate two directors on the Board of Directors of MBL, which shall constitute minimum one-third strength of the Board. Pursuant to this clause, FFSPL appointed three directors instead of two. The total strength of the board became six directors, one-third of this comes to two. Thus, one more director being a nominee of FFSPL was appointed.
… What? Manpasand borrowed money from Finquest but the bank account where the money came in was controlled by Finquest? And Finquest got “operational access” (whatever that means) as well as a third of Manpasand’s board seats? This isn’t a hostile takeover! It’s a lamblike takeover.
Honestly, I get it. Manpasand’s CEO and others were in jail. The company needed money. The only lender willing to lend to a shady company whose executives are in jail would be a shady lender. And that shady lender was Finquest—which, by the way, had done something similar before—but Manpasand took what it got.
If there’s a second “don’t do this if you’re doing fraud” lesson in this, it’s this. Don’t borrow from a loan shark!

[1] A nice factoid is that Amit Mantri was the first to point out that Manpasand was manipulating its numbers all the way back in 2016. They did some really good on-ground research!
[2] The auditor that SEBI assigned to do this, Chokshi & Chokshi, came back with 12 findings from Manpasand’s accounts. But I think I found a couple of mistakes? It wouldn’t in any way affect SEBI’s conclusion on Manpasand, but I find it funny that a story which is essentially about an auditor’s massive failure to do its job also has an auditor that probably wasn’t too careful themselves? I’ll probably write about this in a future post.
[3] A distressed debt investor would prefer to take over a company to be able to put it into bankruptcy so that it can sell the company’s assets and recover its money. That’s very different from what the kind of takeover that Elon did of Twitter.

WOW this blew up. I did NOT expect that. Before I give the most recent update, there are a ton of questions you guys had. I tried to answer you all individually but here is more context:
Tom is the only one in the dynamic that is Low Contact with Margaret. This happened very shortly after I entered the picture when I put my foot down over an incident that was absolutely ridiculous. Margaret had accused him of trying to kill her youngest after we lent her a carpet cleaner that "smelled" (I burn sage regularly). She was dead serious about it and did NOT let up and was like "wow good to know you have no regard for human life". He broke down in tears for almost a week before I had to sit him down and tell him "This is the most insane take ever, how the fuck is sage going to kill a kid? You realize how nuts that is, right? Don't let her steamroll you like this"". He went LC pretty immediately after that.
Fern is a really soft hearted person. Its been confirmed to me that growing up, Fern got it the worst from their bio mom. Its made him extra susceptible to Margaret's manipulations and guilt trips. They were really close when they were kids and Fern sometimes feels that without Margaret, his life will be empty. It causes him a lot of distress in both directions. Losing Margaret is a devastating thought to him. Staying around her causes him a lot of pain and generally puts him in a really dark place. He's struggling with it. We still talk regularly and have a very close friendship.
Cory is a really soft spoken guy. Super funny, friendly, and nice generally speaking. He only shifts gears when Margaret is present. The rest of the family has identified this as fear. I only cut him off because of the way Margaret uses him to gather information and spread drama. He deserves better, but I think we can all understand how scary it must be for him to even think about standing up to himself, considering that Margaret regularly threatens to take the kids away from someone (over something as small as not pouring her a glass of water once) roughly twice a month. Margaret has yet to actually follow through with this and genuinely only uses it as a form of control because of how effective it has been. It's like her hail mary pass.
MIL really is a wonderful lady. She's really patient and understands how important FIL's kids are to him. She is trying her damndest to not break up a family and I think she genuinely wishes she could also stay out of it- Margaret has fully aimed everything at her at the moment and its put MIL in a really uncomfortable position. She's a pretty tough lady- I think she's just as bewildered as the rest of us and doesnt know WHAT the fuck to do with the situation, because of how absolutely extreme it is.
FIL is getting a lot of hate in the comments. While I am not necessarily disagreeing with the statement that he lacks a spine and is allowing it to happen, I also see the pain that this is causing him. While emotions aren't the easiest thing for him, I HAVE to consider how absolutely triggering the whole thing is. I mean, the last time he was around this kind of person, she attempted to kill him. I know him to be an incredibly brave man, even if he doesn't always outwardly express his feelings or his opinions. It's got to be hard to juggle and wrap his head around this. He loves his wife, he loves his daughter. I agree that he should put an end to it and that its been a long time coming- but I absolutely understand why it would be a huge hurdle for him to confront, both in real time AND within himself. I tell him ALL THE TIME that he's a good dad, because he is. He really is. I think in the face of a super domineering woman, after all he and the kids have been through, just really puts him in an emotional pickle. I can absolutely understand that.
Bio mom is a huge piece of shit. The family really doesn't talk about it much- with what they HAVE told me, I don't blame them. Bio mom frequently told the kids that she hated them and wished they were never born. She used them as ammo to get her way with other relatives. She regularly made life a competition between herself and the 3 daughters (there are 2 more that are not in the picture that I have never met) and at times was violent with them. Fern and bio mom got into arguments on a regular basis. Fern attempted suicide several times REALLY early in life because of how abusive the environment was- this was also the birth of his eating disorder issues, because bio mom regularly called him an "ugly, useless waste of space'. Tom has told me that he tried his best to stay out of the way, but that even he wasn't safe from the chaos. Oh yeah, and she regularly attacked FIL and eventually went to prison for attempted murder. Tom cut contact pretty immediately after that, followed by Margaret and FIL. Fern was the only one who tried to still have a relationship. The entire family has been absolutely NC with the biological mother and the other two daughters for over a decade.
Now to the update:
I spoke to Tom again last night about this whole thing. I mentioned that I posted on reddit about this, but I told him I wasn't going to show him until things cooled down with the family. He was cool with that. I asked him a few clarifying questions, because I'm still super confused about how any of this got to the point that it has. He told me that no one is NECESSARILY waiting on dad to say something, but that everyone knows that he is the head of the family so the NC thing wouldn't work unless FIL decided to do it as well. Pretty much, either they all have to do it, or none of them can without seriously compromising the relationships that do remain. Margaret lords the kids over everyone; apparently this is the biggest barrier for the family.
Tom says he is virtually indifferent at this point because he only sees the kids at family functions, but for Fern, FIL, and MIL its a lot different. Margaret is the only one of the siblings that has children, and she has regularly turned to the 3 of them for babysitting and financial support. They are all super attached to the kids and are really struggling with finding the lesser of two evils. I told him that I could understand that, but that I was still confused as to why everyone was okay with the automatic response to ANY barrier or boundary is "you wont see the kids again". Its not simple for anyone except me I guess. I'll admit, I'm very 'fuck them kids' in any situation like this. Children are not currency IMO- so whenever ANYONE has pulled this on me, I have not hesitated to be like "okay bye?".
Tom let me know that he still has plans to talk to his father about this, but that he ultimately feels that he cannot control any of it so he is doing his best to compromise. He doesnt like Margaret- at all. He pretty much wants nothing to do with her or her kids at this point. He also doesn't want to abandon his family over this because he feels like Margaret wins in that situation. He is playing the fence, to be fair, but I cant expect more than that from him. I get it.
I also talked to MIL yesterday. She's pretty confused because she comes from a family that confronts things heads on too; she has tried to talk to Margaret to squash things, but it goes more and more south when she does. I think this puts her between a rock and a hard place. She personally thinks that the only thing she did to offend Margaret is marry FIL. I gotta be honest, I agree, because MIL is so generous with her money, love, support, and attention that I find it very hard to believe that even a fraction of what Margaret is feeling is valid. MIL is a cool lady, and I have come to regard her as a very good person. Her current stance is "no one is going to get through to her. I am not going to give my husband ultimatums- that's his daughter. Its his choice what he wants to do. For now, I am distancing myself, which is why I am choosing to not go to Italy with them".
Myself, Fern and Tom are going over to MIL/FIL's house this Sunday. They were out of town on Mother's Day, so we rescheduled. Originally, Margaret and Cory were part of a group gift that I had fully planned and mapped out to give to mom. However, very early in the process they started pulling some lightly shady shit and I realized that this gift was going to be used to further manipulate the process. This was the straw that broke the camel's back for me. They have been completely cut out of the plan and are not welcome on Sunday. I feel bad that this means Cory also gets excluded- we all adore him and the only thing he has done wrong is not challenge his wife on, but due to their proximity and the way Margaret uses him, he also had to be cut out of it. They have not contributed to the gifts because I purposely barred them from doing so. One of them is a very large collage with images of all the children. Margaret and Cory are nowhere on this collage, on purpose. I also doubled down as hard as I could, incorporating several other gifts with the kids names, likenesses, etc without including Margaret at all. You don't get to treat someone like absolute shit and then use MY thoughtful idea to twist shit and use it against someone in the future. Sorry. If you wanted to be on it so badly, you should grow the fuck up. Maybe its over kill, maybe its mean. All I know is I've had enough and I am in full support of MIL. Also in full support of "fuck around and find out", "play stupid games, win stupid prizes", "talk shit get hit", and "dont bite the hand that feeds you".
MIL also let me know that she sent Margaret a letter in the mail- this is how bad the situation has gotten. MIL continues to try to rectify the situation, but Margaret blocks her at every turn in favor of being mean over shit that really doesn't matter in the bigger scheme of things. I'm pretty sure this double whammy of the gifts and letter will stir up an obscene amount of shit in the very near future. All that anyone would really need is an apology that takes full accountability without pointing fingers, making excuses, or playing the victim- that in itself would be a huge step for Margaret and a sign that she is open to growth. It hasn't happened yet- I doubt it ever will. I'll give more updates as it all unfolds. I anticipate this being a LONG process.

Let’s say you’re a company that wants to commit an elaborate fraud. What is the most egregious fraud that you can think of?
Maybe let’s not start with egregious. Let’s start with something simple! Here’s something that’s reasonably common:
  1. Pay people to buy your product (or like give them huge discounts or whatever). Inflate your revenue. Lie about your actual customers.
  2. Hype your company up. Do an IPO, take your company public. Sell some of your own stock.
  3. Slowly try fixing your numbers. If you happen to succeed, that’s great! You win. If you don’t succeed, you still win? You’ve done your IPO and sold some stock. That’s a lot of money.
This is the simple kind of fraud, which also makes it difficult to identify. You might have to talk to the company’s customers, read the fine print in its disclosures, do sanity checks of its financials, that sort of stuff. It’s tough to catch the simple kind of fraud, which is also why so much of it exists in the form of whispers and rumours without ever getting proven.
Now let’s go egregious:
  1. Why pay people to buy your product? Hell, why even have a product? Just manifest in your imagination that there are hundreds of thousands of people buying whatever you’re selling and write it down.
  2. Hype your company up! Do an IPO, sell some stock. This part remains the same.
  3. Don’t bother fixing your numbers. Instead, keep publishing imaginary revenue figures. Keep selling stock to public investors. Publish your financials every quarter with whatever numbers you like.
If you do this, there’s only so far you can go. Eventually, your hype will attract attention and someone might figure out that both your customers and product were creative imagination.
Here’s a SEBI order from late in April about Manpasand Beverages. Manpasand used to be a beverages company based in Gujarat. In 2019 the company shut down because it got caught in a bunch of frauds. It’s only now that SEBI published the details of what was happening. Probably best summarised by fund manager Amit Mantri: [1]

Fake it till you make it (or don’t)

Manpasand faked its revenue (of course). It also faked its expenses, customers, vendors, tax liabilities, etc. How did it get away with doing this stuff? I don’t know, someone’s gotta ask Deloitte. They were Manpasand’s auditor for eight years, resigning only in 2018. The company’s fraud came out officially in 2019—Deloitte, whose job was to make sure the books were right and also had access to all the inside information, figured that something was off only a year earlier!
Anyway, SEBI appointed its own auditor to figure out what was wrong with Manpasand’s accounts and the auditor came back with a bunch of stuff. [2]
Here’s the bit about Manpasand inflating its revenue. From SEBI’s order:
… CGST vide letter dated July 07, 2019, inter alia, informed that Manpasand had shown inflated sales figure in its balance sheet by way of receipt/ supply of fake invoices without actual receipt/ supply of goods. It was further informed in the said letter that Manpasand had floated 38 bogus/paper firms to inflate its turnover and that inward and outward transactions made with such bogus firms amount to Rs.188.48 Crore and Rs. 691.30 Crore, respectively.
Manpasand created 38 different companies and it both “sold” its products to those companies as well as “bought” stuff from some of them. Basically, Manpasand created real companies to play the role of its customers and vendors.
… it was observed that the parties with whom transactions amounting to Rs.29.84 Crore were entered into, were not registered for dealing in the said goods/products being manufactured by the Company. Further, there was non-receipt of sale considerations and debtors balance were adjusted by passing journal entries
Manpasand was a beverages company that was selling stuff to its customers. Traditionally a company like Manpasand might have distributors as customers but Manpasand’s customers were registered as something else entirely (I do wonder what, the order doesn’t mention it). These are fake customers that Manpasand created out of thin air. Establishing companies is quite a bit of effort! Why half-ass the part where you select the “business type”? I sort of understand though. I’ve done it too. Put so much effort into something that you’re bored by the end that you muck it up.
I’m kidding! The real reason is probably that Manpasand wouldn’t have actually created these fake companies itself. There would be a middleman who would have them made in advance, all ready to go whenever needed to do fraud.
Manpasand propped up its sales as well as its expenses by pretty much just funnelling money around from one entity to the other. In some instances, it wouldn’t even move real money around. It would just note down that it had to pay one company, and had to also collect payments from another company, and then cancel each other out. Manpasand was running its accounts on Splitwise.
In general, there is nothing wrong with a company having such set-off arrangements. If you know your creditor owes money to your debtor, sure, cancel those transactions out. But how likely is it that a company’s suppliers and distributors know each other? And transact with each other?
This post is public so feel free to share it.

All except death and taxes

If you’re planning to do some accounting fraud, here’s something to keep in mind. I mean, I’m not not recommending that you do fraud, but if you do have your mind made up I might as well pass this along. Fake your sales, that’s fine. Fake your expenses, that’s fine too. But don’t fake your taxes, those guys will come after you.
In 2019 right before Manpasand shut down, GST officials raided its offices and arrested the CEO, CFO and a director. If you think about it, one of the reasons Manpasand got away with its fraud for as long as it did was that its accounts looked reasonably realistic. Deloitte made sure of that! Manpasand didn’t just arbitrarily put in fake numbers, oh no. It showed transactions to back them up with actual companies.
But any sales or purchases bring with it a cute goods and services tax, and the GST folks don’t care all that much about the fact that your sales are real. They’d like their share anyway. And not the GST you owe them, but because of how GST works, they would also want the GST your vendors (and your vendors’ vendors) might owe them.
GST has this magical thing called “input tax credit” which is basically the GST council giving you magic points every time you pay GST as a customer. Say, you buy some glass to make some marbles. You pay GST when you buy that glass, and you get some magic points. When you sell your freshly manufactured marbles, you collect GST from your customers and can redeem those magic points which you got earlier to reduce the GST you actually pay. (This isn’t tax advice so don’t come after me if you mess up your taxes because of anything you read here.)
These points are nice because they help save tax. But a basic requirement to use these points is that the company you bought your glass from has to have paid their fair share of GST in the first place! You only get the points if they’ve paid their tax! In Manpasand’s case the vendors it was dealing with existed solely for the purpose of enabling accounting fraud. Of course they weren’t going to be paying any tax. And yet Manpasand was claiming the magic points and reducing the GST it paid. These fake magic points is how the GST people figured out that there was something very wrong happening.
If the GST raid hadn’t happened, would Manpasand have survived as a company? Absolutely not. But would it have survived longer than it did? Probably.

Roll over, it’s a takeover

Things have already been a bit bizarre but what follows next is absolutely basket case. Here’s a section of Manpasand’s response to SEBI. From SEBI’s order:
The Company is a victim of a pre-planned, fraudulent scheme and conspiracy perpetrated by Finquest Financial Solutions Pvt Ltd (FINQUEST) wherein under the garb of promise to provide working capital worth Rs.100 Crores, six documents were executed by and between MBL & FINQUEST. Within a span of two and a half months, it was clear that this entire so called transaction of providing working capital loan was nothing but a mere play to gain the entire control of MBL which is having asset base of around Rs.625 Crores…
Finquest is an NBFC that lent money to Manpasand right after the GST raid happened and its officials were all in jail. Manpasand is claiming that Finquest’s goal wasn’t to just lend to the company and earn an interest income out of it, but to take over the company itself. Manpasand claims that Finquest defrauded it and even calls whatever they did a “hostile takeover”.
Let’s humour this idea for a bit. If you’re a listed company worried about a hostile takeover, you’d look at who’s buying your stock. That’s the normal way for hostile takeovers to work. You wake up one day to realise that Elon owns 9% of your and immediately fall into a state of panic. If you don’t own enough of your company, Elon just might.
Another hostile takeover could be by a distressed debt investor. You may have taken a loan from some banks or whoever some time back. The banks would’ve sold your loans to outside investors. But then because you’re in tough times, the investors would want to rid themselves of your loans at a discount. This distressed debt is then caught by investors trained in the art of recovering dollars from pennies. If you can’t repay your loans to these guys, they would be more than happy to squeeze it out of you.
This is what happened with Byju’s US unit. But really, hostile takeovers aren’t common with distressed debt investors. They don’t want to run your company! They want their money back with some (a lot) of interest. [3]
Finquest lent to Manpasand, it didn’t buy its stock. So maybe this was the second kind of hostile takeover, the distressed debt kind? Well, here’s Abhishek Singh, then director of Manpasand in an interview with Business Today back in 2019:
Business Today: Dhirendra Singh [the CEO] has accused Finquest of a hostile takeover bid, while Finquest claims that it was always mentioned in the term-sheet that the company will be managed by a professional team until its money was parked with you. It will be nice to get your side of the story.
Singh: Whatever amount has been transferred by the Finquest in the bank account of MBL was done in the new account opened by FFSPL's representatives in the name of MBL. The control of this new bank account lies with FFSPL's representatives. FFSPL was allowed operational access to business of MBL and not financial access, as per the term sheet dated July 3, 2019.
…As per the term sheet dated July 3, 2019, FFSPL had right to nominate two directors on the Board of Directors of MBL, which shall constitute minimum one-third strength of the Board. Pursuant to this clause, FFSPL appointed three directors instead of two. The total strength of the board became six directors, one-third of this comes to two. Thus, one more director being a nominee of FFSPL was appointed.
… What? Manpasand borrowed money from Finquest but the bank account where the money came in was controlled by Finquest? And Finquest got “operational access” (whatever that means) as well as a third of Manpasand’s board seats? This isn’t a hostile takeover! It’s a lamblike takeover.
Honestly, I get it. Manpasand’s CEO and others were in jail. The company needed money. The only lender willing to lend to a shady company whose executives are in jail would be a shady lender. And that shady lender was Finquest—which, by the way, had done something similar before—but Manpasand took what it got.
If there’s a second “don’t do this if you’re doing fraud” lesson in this, it’s this. Don’t borrow from a loan shark!

Hello all! I am in the process of creating this cape (https://www.etsy.com/listing/1238905767/cape-with-waterfall-back-and-pointy) with a silk crepe chiffon and have hit a point where it's about time to hem the wide, curved edges. It's many yards of fussy material and I suck at rolled hems, so I'm trying to identify alternatives... and just recently learned how to use bias tape.
I found this silk charmeuse bias tape (https://www.etsy.com/listing/1051403424/100-silk-charmeuse-satin-bias-tape) that happens to fit the material/color scheme/aesthetic for the rest of my dress but before I go a-spending, I wanted to check with the wise folks on here to see if it's a good idea! Will the weight of the tape make chiffon sag? Do I need to bear in mind the drape of curved cuts when using it?
Lastly, if you do recommend using it... should I purchase double or single fold? I wager double fold (1/4") would give me the tiny, professional-looking hem but I'm checking anyway just to be sure.

2024.05.17 02:06 asmyladysuffolksaith Looking back on S1, and looking a bit ahead (and why there's no use being clever about it)

(EDIT) TL;DR: Sauron genuinely wanted to repent, but he wanted his apology to be a grand gesture to the Valar and ME. So, he sought to 'heal' the world, meddling in the Unseen world. But it backfires catastrophically, corrupting and poisoning the land, including the tree in Lindon. There was no deception, no grand strategy. But he's a clever opportunist and will use the 'corruption' to impel the dwarves to supply more mithril and the elves to craft more rings.
RoP Sauron is no grand strategist scheming behind the scenes in S1. As much as I would have loved to see that version of the character (we probably will this season) I don't think he manipulated the elves by 'poisoning' the tree in Lindon, nor did he had a hand in the roots of Hithaeglir. I love all the clever theories, retcons, and workarounds we've been crafting, but I feel most of them got a bit too knotty for the casual audience. And I feel like relying too much on flashbacks to S1 is several steps backward when the writers could instead move forward with the story.
I still think we're going to see some flashbacks on what Sauron had been up to, based on the recent trailer, but I don't think they'll reveal that he's some shadowy figure manipulating things in the background all along.

"He worms his way inside your mind, and the rest of him slithers in."

So, how do I think Sauron figure into the story so far? Well, this version of the character in S1 is an opportunist; a parasite, if you will. An insidious opportunist you wouldn't want to give means, position, and power. Unfortunately, Eregion, Numenor, Celebrimbor, and Galadriel unwittingly hosted this parasite.
After being disembodied and weakened by Adar, and possibly fearing the judgement of the Valar, Sauron went incognito with no plans or prospects at all but ready to grab the next opportunity. He saw one when he set foot in Numenor by chance: why risk the Valar's punishment when he could live a simple but comfortable life in Numenor? Then, there's the matter of the Southlands and Galadriel's encouragement: why live a simple life when he could rule a kingdom? Then, Eregion next: why rule over a ruined kingdom when he could do what he's always good at? And Eregion has it all: infrastructure and resources -- he could restart his failed experiments in the north. See what I mean? Opportunistic parasite, and a very dangerous one at that.
I think this characterization fits in with the throughline of the entire show: that all it takes is a little push. Give a recovering Dark Lord wannabe a little taste of power, and he'll likely relapse. Give a vengeful elf a small army and she might bring more ruin instead of justice. Gift Men a tiny island, let them build a mighty kingdom in it and they'll soon think they're better than the Valar. Give an ambitious dwarf a tiny glimpse of treasure and he might abandon caution altogether. Scare the prideful elves, but give them a bit of hope and they might achieve something really great...but also something that would cause them misery in the future. After all hope is never mere, not even when it's meager.
But what about the tree, the fading? How does Sauron factor into that equation? My best guess at the moment is that the 'rot' was an unintended result of his experiments with the Unseen world in the North.
He said he wanted to 'heal' the world after Morgoth fell (ep 6, 8), but what if Sauron's meddling resulted in the opposite? What if it poisoned and corrupted the land somehow, extending far beyond the borders of his northern fortress? And we've seen this in S1, I believe. Besides the Lindon tree remember the cattle and the grass in ep 1? The strange wolves the Harfoots encountered are also a manifestation of this corruption, I think. Then there are rumors of giant spiders and Shelob appearing in S2 which could also be another manifestation (not to mention that black ichor we saw in the new trailer). Heck, I think this 'rot' has spread as far as Rhun, and that probably tipped off the Mystics on Sauron's whereabouts.
This corruption is probably also the reason why the Stranger was sent to ME: to heal the land, and we've seen him doing something like that in the Harfoot grove.
Given all this, I could understand why Sauron was looking a bit down on that raft out at sea. He's having an existential crisis of sorts: he tried to be good and do good but he can't seem to do anything right. On top of that, he was betrayed by his own (Adar and the orcs). I think he just swore off ME for good, but his pride never allowed him to surrender to the Valar for judgement. He's feeling lost but not, I think, utterly lost to ignore any lifeline thrown at him. That's why he's so eager to stay in Numenor when the chance came.
Just to clarify I don't think his meddling resulted in the fading of the Elves. That's an entirely different matter altogether, but one, I think, the elves conflated with the corruption of the land. I think it was just a simple case of misdiagnosis: they have correctly identified the symptom (the tree rotting) but not the disease (it's not them fading but Sauron's meddling)
What about all that stuff with the mithril then? Well, I think there's a kernel of the truth in that story, somewhere. Maybe mithril was really borne out of a lost Silmaril -- stranger things have happened in ME. But I think the rest -- the tree, the elf, and the balrog -- are embellisments. That's just the nature of stories, even in our world. Things get co-opted, added, removed, or remixed to suit our tastes, sensibilities. Zeus became Jupiter in the Roman pantheon; pagan Yule becomes Christmas, and Odin, Santa Claus. I think that's the simpler explanation than Sauron twisting the tale to manipulate the elves.
So, how do we move forward then? If the elves already have the means to stave off the corruption what would impel Celebrimbor to craft more rings? My guess is two-fold. Remember when I said that the fading was a 'misdiagnosis'? Well, the three rings worked, at least in Lindon. The symptom is cured, the rot is gone, and the elven kingdom is preserved. But the disease itself is untreated, and it's getting worse everywhere else. I think we'll see Galadriel and the elves travelling far and wide to deal with this corruption. I think their encounter with the wights in the recent trailer could be another sign of Sauron's previous meddling with Unseen world that they have to deal with.
And while everyone is off doing their own thing Celebrimbor is left in Eregion, trying to figure the problem his own way. With no Galadriel around this leaves Celebrimbor open to Sauron's influence. Would Sauron brazenly assume the face of Halbrand among the elves? I think so, especially if he has the means to dress it up. If he claims to be a heavenly messenger -- complete with the attire and the light show -- whoever hears him might not immediately resort to open hostility. And I could see him taking a gambit: he could say the low man Halbrand was indeed Sauron and that he can assume any face, including his fair one. I am the orginal, and I glow and am pretty; trust me lol -- that's in jest but basically the oversimplified gist of that gambit. I think that might just work. Besides, I doubt a lot of the elves have a first-hand experience with a shapeshifter.
He could also play mind tricks with his victims too -- we've seen him do it in S1 (and maybe in a few shots in the new trailer). But I doubt they went to all that trouble giving Charlie Vickers a glow up and making him front and center of the marketing if someone else is taking his place. I mean, I could still see a depiction of this Sauron briefly assuming other faces through different POVs. But for most of the screentime I think it'll be Charlie's face we see.
What I think we'll also see this season is Sauron prodding cooperation between Elves and Dwarves, possibly by influencing Disa or either Durins through the palantir(?) (we see the latter in the bts video). So, instead of the opportunist we see in S1 we'll get more of the Machiavellian side of Sauron.
Cooperation would mean more mithril for Celebrimbor, which means more material for rings. Also, that means the dwarves are slowly digging their own grave (balrog), and Sauron probably knows this.
Setting the rings aside, I think Sauron's immediate concern after S1 is manpower more than anything. Either he wrests control of the orcs from Adar by force, or Sauron prods the orcs and Adar to sack Eregion with him throwing the gates wide open. If the latter happens I could see him finally taking back control of the orcs when the 16 RoP are finally gathered and he wields the One by season's end. I realize this is a lot different than depicted in Tolkien's extended materials but we're not exactly following those to a tee.
Anyway, this is where I end this piece. I'm very much open to changing my mind if an alternative or refutation is proposed. The limit of my knowledge with Tolkien is confined to LotR, Hobbit, and very little bits and pieces of Silmarillion and the history of ME (I haven't read the latter books front to back unlike the two former). Also, I only get news here every now and then -- there might be pieces I'm missing so I'd be happy to discuss those as well! :)

Kyoshi book 1 is the epitome of ‘a meeting that could have been an email’. Its book that should have been a graphic novel. A story that should have been a wikipedia page.
SPOILERS, though I am saving you the read.
TLDR: The story telling is mediocre, and the story would have been just as compelling as a bullet pointed list of story facts. It flubs, glosses over and skips all portions of story that would have required any amount of clever writing or skill. The story is comprised of cringey tropes. This book will not sit among the original series in the annals of history. It sits below Korra and just above M Knight’s film adaption and the disgraceful Netflix reboot.
First, the idea of there being immense trouble identifying the Avatar is a good plot point. Having Kuruk’s team find and teach the next Avatar and have opposing ideals is also a good plot point. Yee also describes the martial arts okay enough, but this is an inherent obstacle when turning highly visual source material into text. This concludes my praise.
Yee tells, but doesnt show. Show more teambuilding and friendship between Kyoshi, Rangi and Yun. They only come together once in the same room to hang out before the main conflict happens, and its a superficial scene straight out of an 80s slasher movie. They come together solely to ‘show’ them being a team as they hang out and exchange banter. This is the first of Yee’s pseudo-“show, don’t tell”. It appears like the story is showing us something, but it is still telling us. It is characterized by vapid, juvenile writing in a scene that is largely inconsequential to the story.
Make the misidentification of the Avatar weigh on each of them and test friendship. Show her being found by Kelsang. The jump forward 9 years is jarring and leaves logic way behind. If she was raised by Kelsang, why didnt he finish testing her as the Avatar? Why did he take pity and raise her after traveling the world and seeing other homeless children? Why didnt she give back the clay turtle relic? Kyoshi is abandoned when she is old enough to remember being abandon, but doesn’t remember where she got the turtle. This line is another example of pseudo-show. Why don’t we dont get any insight into the moment she is abandon? We do not know any of these things. Including these scenes in the book would have made it longer, but its the juiciest piece of the character development. The length of a book is largely forgivable if it is captivating. This is like if you order a burger and they only bring you a bun and a slice of bib lettuce. Its missing the most crucile part.
Show Yun being incorrectly identified as the Avatar. This scene has to be so interesting. There is nothing in the book about this at all. This seems like another artful dodge around having to write something clever, and that tends to be difficult.
Show Kyoshi’s Avatar state. ‘Blacking out’ is not a mysterious way to tell stories. Its a cop out of writing something the author finds difficult. Also, a character can black out and not remember doing something AND the author can still describe it as it happens to the reader. Choosing to ommit more juicey story speaks more to the writers lack of confidence in their writing.
The fans and helmet of her parents are forced clumsily into the story at the height of the inciting incident. They could have been introduced any time. For example, when Kyoshi connects with her parent’s old crime ring and they could be presented to Kyoshi as relics of the group’s deceased leaders. Instead they are introduced to the reader by Kyoshi dropping her luggage and they fall out in the rain and mud. It reads like a scene that is meant to be a story board for a cartoon or comic.
We dont get any insight into Kyoshi’s parents being dead or alive. Kyoshi doesnt seem to ask anyone either. Why? Seems like a reasonable question.
Kelsang realizes Kyoshi is the Avatar when she does some improv poetry that happens to be Avatar Kuruk’s favorite poem? That was the best idea you got?
Kyoshi has a sky bison named PengPeng? Find a new method of transportation, the flying bison had been done before. Pengpeng is also only used as transportation. She doesnt have any personality like Momo and Appa. Total strikeout.
When something new develops that is supposed to surprise the reader, like Kyoshi’s mother being a disgraced airbender, Yee doesnt show this. This is explained away in a moment of dialogue like “once upon a time, this happened.” Then the plot moves on. And what motivation did she have for keeping this from Kelsang? Maybe they knew each other? They are both airbenders who have killed before, which is significant in the fiction. This could have been an opportunity to connect characters and create intrigue. But we only learn this at the end of the book for no reason.
Love between ATLA characters is subtle in the show. Katara and Aang will end up together and we know this implicitly. Sokka loves his friends, particularly Toph, because of the actions we see him take to help her. Rewatch the show, you will see what I mean. However this is not a major plot point that is touched on each episode. Zuko and Mei are together but they are pulled apart temporarily by character motivations. It skips the filler and gets right to the interesting part. However in Kyoshi book 1, love between Rangi and Kyoshi is vapid and foreshadowed from the first pages. Lets set lesbianism aside, its not the issue. The issue is that this love story is not compelling chiefly because we are told they care for each other but are only shown this in the back half of the book on a surface level. Even when we are shown these things, its not believable. The characters act like teenagers do in 2024 America, not like how teenagers would act in a world coming off the heels of a 100 year war. The characters are young, but they have roles, careers, and the responsibilities of adults. This stems from the same problem Yun has with Kyoshi and Rangi. We don’t see them becoming or being friends. We are told they are friends. Thats it.
This connects to Rangi’s character being ambivalent and emotionally indistinct. Rangi is played as a tough, no nonsense soldier that is hired as Yun’s personal bodyguard, the most important job next to being the avatar yourself. But her expressions of love are juvenile and childish. In one scene she is scolding Kyoshi on her duty toward being Avatar then in the next she acts playfully excited like an American weeb teenager when Kyoshi bends water for the first time. Rangi is poorly written and has poor motivation to her Avatar duty. She contributes nothing practical or technical to the story but love interest. If she is a child prodigy badass that earned the job of protecting the Avatar, she should act like it.
Hei Ran, Rangi’s mother, does nothing consequential to the plot. Why have this character? It is stated she knew Avatar Kuruk. The least she can do is bring it up more.
AND FINALLY, Kyoshis character is very opposite from who we see in ATLA. Obviously this is to show growth, but the timid Kyoshi inexplicably switches to confident and intimidating Kyoshi without any growth, then switches back to timid again. We know kyoshi as a tall, confident, matter of fact, powerful bender who sees no difference between murdering Chin the Conquerer and letting him fall to his death. But here we see a still tall, but petulant teen. She is afraid of her bending. She is inconsistently overconfident. She is squemish about murder. Perhaps the growth occurs in book two, but then again change is gradual. We should see some examples of change now. She grew up a homeless street urchin. She needs to act like it.
Yun struggles with his bending but also keeps smiling and acting like everything is ok. This trope is exhausted to death by anime. We do not see a human side of Yun. He is not tortured by the training or the fatique of not being able to bend fire or the pressure and expectation of being Avatar. He just smiles and flirts with Kyoshi. He also asks her to go with him to a peace treaty signing with pirates all because he wants to have her there so he feels loved. But this thinly disguises the fact the author needed a reason to have her at the signing so she can earthbend and save everyone. Take Rangi, your apointed body guard.
Yun returns at the end of the novel as a deus ex machina and kills Jianzhu in an admittedly badass way. 10/10. However, Yun is dead, reappears as a ghost, then earth bends. The possibility of this within the fiction is near zero UNLESS FC Yee is trying add to the lore of spirit magic and bending. To that I say “Learn to be a better writer first.”
Kirima is an okay character. We traditionally see water benders as good guys, but she is a tough leader of a gang of criminals. Again we are told that, not shown. 5/10. Mid teir.
Wong is a worse comedic relief than Sokka. Where Sokka learns to become a leader from a close minded sceptic and redeem this quality, Wong is indistinct from any other background earth bender. He eventually becomes Kyoshis earthbending teacher and he starts to fill out a teacher role but is still indistinct. Up until this time, he carrys no air of educator at all. Remember, he’s a pirate criminal. This turn of character seems to come from the team learning that Kyoshi is the Avatar, something she kept secret. But Wong is the only one who changes their behavior based on this. Meeting the most important person in the world doesn’t effect them, I guess. Doesn’t seem reasonable.
Lek is a kid that idolizes Kyoshi’s parents, but acts out like a toddler when she speaks poorly of them. I am left feeling disatisfied by a criminal outlaw that throws tantrums when someone speaks ill of their pseudo mommy and daddy. Lek is poorly written as a rival to Kyoshi, if if fact that was Yee’s intention. You see it in their banter and interactions. Lek is killed by a poison that only incapacitates all others effected. It was like the author needed him to die real quick and didnt know how to do it, but also didn’t want to rewrite the chapter.
Now is a good time to mention that characters can be annoying to other characters, but they should not be annoying to the reader. Doing this is a form of self sabotage. Its like serving up raw eggs for breakfast on purpose and calling it art. You just wouldn’t do it.
Lao Ge is poorly written too, despite being an interesting character idea. Lao is meant to be Kyoshi’s spiritual leader in this story. He leads her to the ancient technique of prolonging ones life with spirit magic. But this man reads like an embarassing drunk uncle that no one responds to when he speaks. He acts like he’s cool, wanders off constantly and returns covered in blood to a group thats asks no questions. Criminals still ask questions. In fact, they are more paranoid on account of being criminals. For example, there is a scene where they leave without him and realize they forgot him and have to go back. This scene amounts to nothing. Why was it in the book? Whoops, he’s also a master assassin. We are told this over and over but never see it in action. Boo. Don’t suggest violence. Show us violence.
Why is this group of criminals still together anyway? They lost their leaders, Kyoshi’s parents. Wouldn’t the find new jobs? Thin the herd. Theres too many characters.
Jianzhu acts more suspicious after he is identified as the villain which is a trope found in childrens television to remind children he is bad now. The fact it is here insults the readers intellegence. His villain motivations are not explained well. Does he care more about identifying the Avatar than his lifelong friend Kelsang or the life of the innocent? Also, a villain doesnt need to kill someone to be identified as the villain but youll find that trope here too. Clever writing can remedy this all the same. He does do cool evil guy things, but they are explained after the fact instead of showing him coniving these schemes and putting them into action. His death is awesome, but his final confrontation with Kyoshi is not spectacular. There is no final battle like one might expect. He the one that ghost Yun kills.
It is unclear if this book is meant for a YA reader audience or the adult audience that watched ATLA as kids. The story is grittier, bloodier and violent with explicit deaths and torture. All the while bearing a sheen of squeeky clean Nickelodean dialogue and unfunny humor that has an obvious limit. The book says they swear, but the exact words do not show up in dialogue. Characters are impaled and gored, but the 3rd person narration takes breaks from descriptions of this for quippy commentary on the things happening. Who says these things? Kyoshi? But its in third person. This clashes with the perspective and shows indecision on the part of the author.
The perspective is stuck between 1st and 3rd. 1st serves better for the YA audience where Kyoshi might think these quippy things to herself or have thoughts that help the reader understand context better. 3rd person would serve the adult audience better with a matter of fact telling of the story. Maybe even change between characters in some chapters and fill in some of these gaps. Instead the book strattles the line between these two perspectives and suffers greatly. You have humorous commentary and scene descriptions coming from the same source. It breaks immersion when the reader is stuck wondering who is telling the story.
YA is an oversaturatedand flawed genre anyway. Its almost designed to trick teens into thinking they are reading adult books.
Yee includes too many comparisons, similies and analogies. Each one is meant to create world building, where the text compares a creature in the ATLA world to a situation at hand. But they start coming up too often in the back half of the book. This also seems to rise in frequency as descriptions get vaguer. It felt like Yee lacked the proper lexicon to describe what was happening as the story approached the end. Analogies should be used to explain difficult things, not just thrown in recklessly.
One moment sticks out from this book that reminds me of ATLA. While Yun and Kyoshi are silently trying to meditate before Jianzhu summons a spirit to finally identify the correct Avatar, the two teens speak for a second. Eyes closed, Kyoshi whispers “You know what would be funny? If neither of us were the Avatar.” This captures elements of friendship between the two kids, character humor, and SHOWS these two still care for each other no matter what happens next. Yun’s response isn’t even remotely appropriate, memorable or clever. The opportunity is a total loss.
Another moment of total loss and tonal dissonance is when Kyoshi, Rangi and the convicts go to a hidden secret criminal town that is described as being so cut throat, you don’t even look at people in the eye. Just then the group sees two men collide after turning a blind corner and drop their stuff. Page 224. They exchange appologies, act very polite, and depart. (This is told to the reader, not shown with appropriatly funny dialogue). Lek then explains the two men will meet tonight on the challenge grounds and fight to the death. However, that night at the challenge grounds, you don’t see those characters; a total whiff on Yee’s part. Instead you read about one man bludgeoning another man to death with barehands in pure gladitorial bloodsport. This scene shows the whimsy of ATLA, the gorey violence that Yee wanted and his befuddled attempt at writing something that blends the two.
All of this leads me to conclude the book is for a YA audience, which is unfortunate because ATLA was for everyone; YA, adult and children. It is a children’s show that adults can find a surprising amount of depth and humor in. Yee’s doesn’t hold a candle to the writing of Aaron Ehasz.
The argument that this books is allowed to be bad because its for kids falls apart for the same reason. The expert writing of Aaron Ehazs in ATLA is what imortalizes it to this day; the dialogue, the characters, and the story. ATLA is a kids cartoon by which all cinema and television are compared. This is simply not on that level.
When this level of integrity is left to be followed up by an author with one previously published work, underdelivery should be expected. Kyoshi book 1 is FC Yee’s second published work and it shows. I would be interested in learning more about FC Yee’s past unpublished experiences in writing and qualifications.
So again, this book is like a meeting that should have been an email. The story is not “worth the read”. The historical facts are more valuable. For example, telling someone that Kyoshi’s dad is a pirate earthbender and her mother is a disgraced criminal airbender is a total surprise and sparks good speculative conversation. But the way the novel presents this information is clumsy and ignorant of how rare these circumstances are within the fiction. These historical facts are just as compelling when read on the Avatar wiki page, negating the necessity for a book in the first place. I think this is symptomatic of writing a prequal too. We know enough about Kyoshi to be interested in her character, so the facts about her should be presented interestingly with art and showmanship.
This book leaves me with the sneaking suspicion that most of what FC Yee knows about writing was learned from anime, a genre so polluted its not worth even sifting through to find quality content. Hot take, I know.
His other books on Genie Lo (2017, 2020) are teen dramas with ‘the chosen one’ trope, as the summaries suggest. That must be why that shows in this book. Maybe FC Yee can only write one type of book.
Yee is also not an author by trade. He said in an interview that he works in mobile gaming as the guy who makes “everything less fun by adding stuff to the game you have to pay for.” He went to college for Economics, or so I read on his wiki page.
His book publisher proposed the two book series idea to Nickelodeon, it was not a matter of the creators carefully hand picking a writer. He also only worked with Mike DiMartino. In his interview, he says he did not work with Bryan Konietzko and never even mentions Aaron Ehasz. I believe this is to the great detrement of the story.
I’ve heard that people really liked this book. However, I wonder if that is genuine affection or the same kind of denial Star Wars fans had when the Phantom Menace came out. I draw this parallel because my father was that person. He recomended this book to me and gave it high praise in the same way he did when Phantom Menace released.
The fans, my father and myself included, are starved for any canon ATLA material. Feeding the fans undercooked meals is no way to make a fanbase grow. The ATLA fanbase already got food poisoning from M Knight’s movie. It recovered, but at a cost. I hate to think what might happen after the Netflix show and the animated movie of adult Aang.
I understand that Yee was a fan of the material. In fact, he and I share the same favorite character. So know that this is not an attack on a fellow fan of ATLA, I simply believe Yee is not the man for this job. Avatar deserves better than to be relegated to a YA novel lost in a sea of overproduced assembly line YA content. Avatar deserves a better writer. Save your fine cutlery for fine dining, don’t use polished silver to eat fast food.
To end, I leave you with this: if you want more Avatar content, gather some friends and play the Avatar rpg by Magpie Games. It is the most fun I’ve had in the ATLA world since I was a kid. If you play it right, you get that same sense of magic you got back in 2005 when Book Water came out.

If you just want to look at the descriptions and not the speculation then just ignore the speculation part.

Speculation: Jigsaw used to capture people who were not looking to live their life and play games with them to show them that they actually do care about their lives in the end. Maybe DFV is referring to shorts desperately trying to get out of their position and showing they will do whatever it takes to do it. The Prestige quote comes from the scene here and shows a magic trick of money appearing. The Kansas City Shuffle is "In order for a confidence game to be a "Kansas City Shuffle", the mark must be aware, or at least suspect that he is involved in a con, but also be wrong about how the con artist is planning to deceive him. The con artist will attempt to misdirect the mark in a way that leaves him with the impression that he has figured out the game and has the knowledge necessary to outsmart the con artist, but by attempting to retaliate, the mark unwittingly performs an action that helps the con artist to further the scheme" and the Made you Look songs full line is "They shootin', Aw made you look" maybe referring to what is happening to the stock right now.

Speculation: Inside man is about an elaborate heist turned hostage movie on Wall Street. Don't think there is much more to say about that other than GME is most likely the hostage in this situation.

Speculation: First part is a joke from DFV keeping the just dance theme going but then we go to hit me baby one more time and most importantly a reference to a "Just give me a sign". There are signs coming that something big is going to happen.

Speculation: This is a really fun meme, we see some more of RC and Roaring Kitty Gill all over this. Is there a partnership or does DFV just know that RCEO is about to do something big that will send goosebumps down the bears necks.

Speculation: Another meme from New York with predominantly girls hanging out. DFV maybe noting that we all unleash a little roaring kitty by taking on his thesis with Gamestop, dunno about you but I just like the stock. Things might get a little crazy, at least to people on the outside when they are asking you why you aren't selling.

Speculation: Things starting to get real interesting now. This looks to be a sign that something is happening behind the scenes. A baby monitor, what's RCEO got stored up? Maybe he is pregnant? Maybe GME is pregnant? Is there a merger happening? A split of some sort?

Speculation: Really looking like something big is on the horizon and DFV thinks he has seen the signs. This meme would suggest maybe its a merger with multiple gamestop logos but that's just my opinion. One thing for sure is that Gamestop has something on the horizon.

Speculation: DFV having more meme lols here but really why would he need to do anymore investing, he already has his favourite company shares and the thesis is done, he knows what's going on and he is happy to stick with what he has. That doens't mean his thesis on Gamestop doesn't evolve, I just think he is done looking for other deep value plays.

Speculation: The Sicarios were hitmen, that's basically what it means when it asks if you want to be a Sicario, do you want to be a hitman or assassin. The blonde icon from other sub tied up is in the place of a kid who was tied up in the film and certainly WAS NOT a friend of the Sicarios. Take from that what you will but I can't comment to much as it's about another sub.

Speculation: No Country for Old Men has cropped up a few times before but it's about a killer who is pretty much unstoppable mowing these people down. The train wrecking Chicago and the Chicago Bears (as a Packers fan i liked that), well option contract writers are in Chicago I believe but also it's the original home of Citadel. The chair maybe is an answer to a Cramer tweet and the smackdown i'm not sure other than it being just a fun thing to watch.

Speculation: I think that this could indicate that Gamestop isn't doing anything wrong with what's going to happen, they have warned again and again in their financial postings that the stock is being manipulated and is subject to squeezes. It could also indicate a GME investor has nothing to worry about legally either, just like the stock.

The good guy in this is driving on the wrong side of the road and the other gang are on the right side, it's a game of chicken with a truck coming towards the good guy as they both drive side by side. It then cuts to Bojack Horseman trying to do some comedy and being asked to get off stage, he states "I'm not done hold on" - it cuts back to the scene and the truck bails last second. The good guy just keeps on driving and goes in front of the other car having a victory sip.
Speculation: If you take DFV to be the good guy in this car scene then he just carries on with what he believes which is in GME regardless of trying to be chickened out of it in the face of adversity. You could also say he is Bojack and wanting to continue with his memes, he ain't done telling his memeroirs yet.

Speculation: Don't fear the reaper, if you hold GME you don't have to as it's not going bust. The company is not going to die. There are certainly some shorts that should be fearing the reaper though.

What is revealed is a cartoon man with a huge dick.
Speculation: RCEO has a big slong, what else is there to say? Ok I think that he is going to do something big and it's an exciting thing to think about. Does make you think of the tweet of Steve Smith he posted with the erect penis too.

Speculation: DFV basically saying as we would say in the UK, "whatever mate". The guy is talking a load of bullshit and to bring up legality after all the stuff he has let slide as former SEC chairman, i mean bitch please!

Description: First scene is taken from the car chase in The Bourne Identity, DFV has imposed a load of pictures of himself on the sheet of paper and then the car chase from the police proceeds (original clip here) There is a part in the middle of this car chase where the footage has been mirror flipped which means the steering wheel that would read Mini reads INIM then it finishes the chase and moves on to the opening scene of the movie Drive (original clip here).
Speculation: I think that the mirror flip of the video shows the steering wheel just at that point to sort of read "IM IN", surely not a coincidence given that is the only part of the whole clip that is flipped. The movie drive as someone suggested in the comments is about, "Ryan Gosling plays the unnamed Driver, a near-silent, methodical, mysterious, professional, highly competent getaway driver." - DFV has also tweeted about this movie before here.
