Is Bronya needed for my build?
I want to run HMC, RM, and Gallagher with my Boothil, but from my knowledge bronya is a much better pick instead of HMC. So my question is, with my BH being 160 speed without buffs, is bronya necessary. Or is her turn manipulation/buffs really just to important to miss out on.
I was hoping his speed would make up for the lack of turn manipulation. Any other tips would be appreciated too.

2024.05.19 00:15 Medium-Wing-4710 The harrowing experience of a cancer-surviving partner turned abuser

Over the course of my 4 year marriage to my partner, I have arrived at the position that I was abused, manipulated, and functionally enslaved to a mentally ill partner.
In simplest form, the progression is apparently observable. She was diagnosed with cancer in October of 2019 while we were engaged. Due to the diagnosis, we moved up our actual marriage date (our wedding was still set for mid-April) to December 1, 2019. Her surgery was December 13, 2019. In my compassion for her, I agreed to move our wedding date up to offset her anxiety around who would be responsible for her if things went south with her surgical treatment.
Our first month of marriage was straightforward; she was on pain meds recovering from surgery, so the main engagement that occurred was me walking her up and down the hospital hallway as she recovered and trying to meet her base physical needs of hygiene, food, and presence. We stayed in the hospital for 2-3 weeks (with recurring hospital visits for complications).
Quickly after we figured out our marital living situation in her small 3-bed apartment with 2 roommates, our relationship devolved. Specifically, she was irritable because of the pain she was in, causing her to lash out at me with regular frequency for small things. If I didn’t put clothes away in the right place, didn’t anticipate her needs (without her communicating them), or ate the wrong food in front of her she would shout at me and decry me for my thoughtlessness.
These small, critical engagements were wounding and created a distance between us – and there was no upside. She was never kind, never paid mind to needs I might have, and started down a path of cultivating a root of bitterness in her soul. She quickly revealed herself to be venomous, hateful, and vindictive when she felt like she was wronged — and any observation of concern about our marriage resulted me in being accused of being mean or insensitive, even if I spent hours or days calculating the best way to share my concern (and I have a master’s degree in communication where I focused in studying disagreement — I know how to carefully package concerns).
During this time, I worked hard to provide for us, foreseeing a significant time period where I would have to be primary financial provider and caregiver. I increased my income each year we were married by around 25%, finishing our marriage at >$80,000 in yearly income, compared to starting our marriage at a modest $42,000 salary (including dramatically improving our healthcare). Frankly, I increased my income to provide for us in spite of the lack of support at home.
But to be clear: I don’t think it would have been particularly difficult to provide financially if I had an ounce of support at home.
However, the relentless criticism and expectation of mind-reading continued through the years. I rationalized this abuse for the first year of our marriage because of all the excuses to be cruel, she had a good one – she had cancer. I hung onto a hope that it would stop. Contrary to my hope, as the years went on – and our expenses climbed – and I continued to work myself to the bone – she continued to relentlessly critique and even started being more emotionally demanding, expecting me to take responsibility for her inability to cope with her emotions – I was drowning. She was asking too much of me. There was no deliverance from her abuse.
I was exhausted. In the peak of the abuse I endured at her hand, I was working multiple jobs, sleeping 10+ hours a night and napping frequently during the day around meetings and work, then coping with alcohol to numb myself to the abusive dynamic and fall asleep with no support from her. The only time I could approach her sexually was when I was intoxicated, with inhibitions lowered. The only time I could have a conversation with her was with a counselor in the room. Without something to mitigate opportunity for her to be cruel to me, either a mediator or self-medication, I was scared.
I lived at home in a constant state of alert and cognitive fatigue. No matter how I tried to make sense of my home life, I couldn’t. When she looked at or touched me, I would recoil in fear, anticipating some sort of incisive critique or demand expressed. Then she would criticize me for not responding warmly to her, exacerbating the cycle.
I couldn’t meet her needs – I was utterly exhausted. When I would tell her of the exhaustion I experienced in marital counseling, her responses were typically something along the lines of not believing me, denying what I was saying was true, or calling my exhaustion an ‘excuse’. I could interact happily with my friends… why not her?
I did not deny her demands were legitimate; rather, I expressed my inability to meet them because of how fatigued I was. I said ‘I can’t’ so many times. I realize her demands were small; affection, saying ‘i love you’, complimenting her. But it’s disorienting to be consistently berated and belittled by a person and then asked to compliment them and tell them you love them.
The push and pull of abuse is exhausting to a person who is not mentally because it does not make sense.
Further, in counseling I realized that I have forgotten that I have needs. I have lost the tools to even evaluate what my needs might be because, implicitly and explicitly in my marriage, I was told my needs don’t matter.
My marriage made no sense; I was obviously drowning, exhausted with the demands our life imposed on me. I was doing everything I could to get straight. I was in individual therapy, marital counseling, pastoral counseling, trying different antidepressants (4 in total – all with no effect), changing eating habits, trying to reduce my drinking, getting medical tests to see if I had health issues causing my fatigue, and being vulnerable in my friendships in an attempt to invite others in to process and move forward and figure out my marriage. I desperately shared everything I could about my marriage, hoping someone else would crack the code where I couldn’t.
None of my efforts worked. I could not get out of the exhausted state I was in. It’s worth noting here that within weeks of separating I almost completely cut out alcohol, got into a regular sleep schedule, was waking up at 6-7am every day and reading multiple hours (which I couldn’t do in marriage due to cognitive fatigue/distraction), and experienced a resurgence of energy. I have felt the duress I was under lift and lift and lift and the weeks and months have went on.
In retrospect, I was experiencing cognitive fatigue because I was taking the demands my wife was placing on me seriously, but no matter what I did I could not make sense of them. How could she not see that I was doing everything I could to make ends meet – the ends which she was imposing on me? I did not have additional energy left. She would ask me ‘Do you love me?’ and I didn’t know how to respond. How is my work not at least some symbol of love? My dream was to be a poor professor, which she knew – instead I was grinding myself to the bone, working in digital marketing with multiple freelance projects, picking up a bartending gig and a teaching gig on top of full-time employment.
The last straw was when she accused me of abuse. I took that accusation seriously, and weighed it against my experience. ‘Am I an abuser?’ I asked myself. I sorted through my behavior and how I treated her. I came to the conclusion that I may be a poor husband in serious ways; but I am not an abuser. And the abuse question opened the door to the question… ‘I may not be an abuser… but is there abuse in our marriage?’ And the answer quickly became ‘Yes.’
When we were married, I understood that she wasn’t going to work much for a while. However, she worked the bare minimum she could for 4 years, earning at most in a single year $18,000. As the years went on and my income climbed, our debt continued to climb as well. She was still contributing the same, yet spending frivolously on useless knick knacks for our home and a cat. As I packed up our home to sell, the majority of items were dozens of boxes of useless junk she’d accumulated.
She lived a life of mania around finances. We would go to marital counseling and she would regularly express, ‘I would rather be poor and happy than rich and sad’. We were poor and sad. Sure, my income was the highest it’d ever been – but we were still drowning, with debts climbing. At the end of our marriage, we’d accumulated about $20,000 in consumer debt between credit cards and personal loans.
It was traumatizing (and abusive) to go to counseling and be told by my partner she would ‘rather be poor and happy and than rich and sad’ when the factual scenario we were living was neither. She actively denied reality – both my lived experience and the reality of our finances – at my expense. It was killing me, trying to make sense of what we were going through but being unable to make sense of what I was being told and what I was experiencing.
Throughout this time, it is worth adding that she also leveraged my spiritual leadership to ‘set me straight’. I was in a conservative Evangelical space, believing that men are the ultimate provider in a family unit and primarily responsible for the status of the marriage. Because I was not doing what she wanted me to (lavishing her with affection), I was muscled into multiple groups and meetings where pastoral care intervened to restore our marriage. In the moment, I submitted to my pastoral care because of my trust for them and my faith in God. Now, I believe this dynamic was abusive; my pastoral care did not care in any sense for my soul; they only cared about fixing my marriage. No questions around ‘why’ my marriage was so bad were asked; only what was going on and how it could be fixed. I relish the thought of my pastoral care being held accountable for the abuse they exercised upon me during this time on judgment day, albeit through a shaken faith in a God that would enable this dynamic.
With my spiritual community, I shared that I felt like she was my tormentor; that she it felt as if I were on the ground due to exhaustion, and she was standing on my throat, telling me to ‘get up’ and ‘tell me you love me’; that our metaphorical life was a boat, sinking, and I was desperately bailing out water. All the while, she stood at the other end of the boat, desperately bailing water in and looking at me like I was a maniac.
And yet, because there was no adultery, there was no category for divorce. We had sworn an oath before God and were required to fix this.
As I reflect upon my marriage (and the ongoing divorce proceedings), a few things are clear.
She is an abuser. I don’t think she intends to be, but impact matters. She is mentally ill and unable to reckon with basic reality.
She is a manipulator. She manipulated my spiritual community against me. I was viewed as someone to be corrected while begging for help from my trusted friends and pastoral care, whom I now regret being vulnerable with due to their abuse and denial of my reality because I didn’t fit neatly into their thin theological categories.
She is an enslaver. In divorce proceedings, she is doing everything she can to get every dollar from me, leveraging student loans I did not co-sign, my continually increasing income due to my hard work, and denying every claim of dissipated assets she can.
It is truly a mind-breaking experience to see your compassion leveraged against you for money. I had to sit under an attorney proclaiming to a judge that, since I consented to move up our marriage date before her cancer surgery, ‘I knew what I was getting into’. That she is entitled to large sums of money (that do not exist; we never had more than $3000 in our bank account during marriage) due to that decision.
Even apart from the abuse, I did not know what I was getting into. Including the abuse, I am full of remorse for having invited such an evil, hateful person into my life.
This experience has been the most challenging to my faith. As I endured abuse from her, I trusted God in a few ways. That the compassion I showed would maybe be rewarded – or, at least not punished. That my spiritual community wanted what was best for me. That God was not a punitive, hateful God (like my partner). I do not believe this trust was well placed, but am open to shortcomings in my views here.
I struggle to consent to a God that allowed my experience to occur. I’m open and processing in some kind of faith, but I really don’t know what it looks like to find a place to put this pain and betrayal that I’m experiencing.
I am a survivor of abuse, and the abuse I endured was mind-shattering. I sacrificed everything to support a partner diagnosed with serious bodily illness, which drove her to hate me and deny my lived experience because she could not reconcile it with the hatefulness she cultivated over our marriage, choosing bitterness over any positivity for four years, poisoning my well-being in the process.
What I envisioned to be the most compassionate moment of my life — marrying a person with cancer and promising to support and love them — has become nothing but a symbol of pain and remorse. I envisioned a life where my partner and I would fight against the terror of cancer; instead she hopped to the other side, choosing her ongoing health issues as the ally and myself as the enemy.
It took me 4 years to realize it. And as she drags me through court to leverage every dollar out of me I can, my only regret is that I didn’t leave my abuser to her own devices sooner; self-pity, hatefulness, and a sheer disregard toward taking responsibility for anything.
I am grateful but drowning. As we are negotiating settlement, the end is near, and my abuser will soon be unable to execute any influence in my life.

2024.05.19 00:12 Prisoner8612 I'm really struggling with this med right now

So I've been on Lamotrigine about 18 months, have been reducing down for a few months. Currently at 100mg
I've been taking Lamotrigine every other day for a couple weeks (instead of daily, as prescribed) because I don't like the side-effects. This med used to work amazingly then when I hit 200mg I started getting:
Among others, so I started reducing. it's just not fun. I feel really shit, really alone. I'm isolating myself more than usual, I'm paranoid, anxious & depressed. Things just look bleak 24/7

2024.05.18 23:54 Comfortable_Note_978 Are there any entrepreneurial communes/micro-schools/residential or commuter start-up labs?

Thinking of the business effectiveness and social cohesion of planned religious communities like the Shakers, I wonder whether anyone in the US Northeast at least has set up an on-site community where the entrepreneurially-minded can learn about startup skills as on-site or commuter interns or apprentices, help the more experienced with progressively more complex tasks, and gain the technical expertise and insight to create their own businesses, and get help from others to make them viable.
Formal "education" in the US seems broken and irrelevant, and I can see that if the US wants to roll back labor laws so that children in their early teens can get injured working in meat-packing plants in Tennessee, why not have people of junior high school age and older learn more useful, safer and remunerative skills, and possibly get paid more for it as well? Peter Thiel may have a good idea in paying people of 18 to develop a business instead of going to college, but why not help people skip additional years of academic irrelevance and get them started on their professional lives several years earlier?
I emphasize that there would be no age limit for this kind of learning: college dropouts, salaried job transiters and retirees could also attend, although there would probably be enrollment size limits. I see modern micro-schools funded and organized by parents as a viable template for this kind of organization, especially if people weren't living on-site. I would also recommend that if for-profit, the startup labs/communes etc. would not be expensive for new attendees; I would not make all or most of these organizations techno-hives exclusively for the children of the wealthy, children who often might as well learn about business by working with their families.
If places like this where several startups or the skills needed for them are being built exist, I'd like to know about them. If not, I hope that those with more money and influence than I have create them.

If the runner is tagged out before touching home plate, the runner can then attempt to slap the ball away from the catcher. If the catcher drops the ball after said slap, the runner is safe.

30 GREATEST Changes In V Rising 1.0 Release You Might Have Missed
https://preview.redd.it/rtx5qsp0591d1.png?width=1280&format=png&auto=webp&s=8d94be54b8f00bf9da4acc2fc6226ecf95c9755e
V Rising 1.0 release has brought a lot of new awesome stuff. That’s why I’ve prepared 30 most important changes that might interest you, short and simple.
This is Aiming4Gaming, and today we're aiming for a feature checking!

TL;DR

I know that some people prefer watching videos over reading text guides. If you're one of them, here's a video version of this guide where I describe each new feature in action.
If you prefer text guides, it's right below!

The guide

  1. First and foremost, if you ever thought the difficulty was too easy, try out the new Brutal mode. Bosses here have bigger health pools, higher levels, and deal more damage, which I personally dislike. However, every boss now has a new move and an adjusted AI. I swear you'll never forget the Vincent fight!
  2. If you were struggling with initial resource farming, it has been tweaked. You will get much more wood and stone from a single node, allowing you to get to battles faster, especially if you drink worker blood!
  3. Horses also got a small yet important change: they now consume easily obtainable fiber instead of waterskins, making it easier to manage mounts early on.
  4. Speaking of consumables, they now last 60 minutes. Less crafting is always better, right?
  5. Another important Quality of Life addition is that after you consume a potion, you will not consume the bottle itself. Even less crafting, yay!
  6. Now you can build advanced stations. These process items faster than normal ones, have more inventory space, and more recipes. You can unlock them by defeating specific V Blood enemies.
  7. A new era of storage has arrived with both small and large storage for literally everything, from scrolls to fish. Place these next to your stations or build a storage room for all resources at once.
  8. This feature shines even more with the addition of hotkeys that allow you to sort your inventory or quickly transfer everything by simply pressing the "E" key.
  9. Another huge addition is inventory highlighting. It's so much easier now to see what can be transferred to a specific storage or what you can add to an existing stack!
  10. A new source of valuables now travels around the map in the form of traveling carts. These are guarded by several soldiers but are totally worth it. Carts come in different variants and follow the same routes, so you can farm them from time to time.
  11. The new zone awaits for an infinite challenge. It does not have any base plots but offers world events instead. These events require you to beat two spots with enemies and one boss fight, which come in two difficulties and reward you with powerful weapons, jewels, and shards.
  12. Speaking of shards, this is a new currency which you can spend on weapons, summon enemies in the new summoning circle, or unlock passive buffs.
  13. There are 18 passive buffs, all unlockable once you defeat General Elena the Hollow and build an Altar of Stygian Awakening. Each buff is permanent, but the cost is a lot of shards from the new zone. I recommend the passive that boosts damage against V Blood enemies by 10%!
  14. New forged items progression makes your weapons much more viable. You can enhance your favorite ancestral weapon with various regular weapons and increase its level by 3 up to 26.
  15. For those seeking rare gear and weapons, V Rising offers 12 new legendary weapons with unique effects and solid stats. These can be dropped by high-level bosses or occasionally appear instead of purple weapons when you buy them for 1500 greater shards. These look really cool!
  16. If you want a new battle experience, try out two new weapons: a longbow and a whip. I'm currently running with a longbow on Brutal and it's amazing!
  17. The old magic progression was kind of awkward and limited, so now you can choose your own path by getting spell points and spending them as you wish. You can always reset your choice for free at the Altar of Recollection.
  18. To make your build even more flexible, check out the new sets of armor. They cover different passives and will supplement your playstyle.
  19. If you like a specific piece of gear, you can keep it in your fashion slot regardless of what you wear. And definitely try recoloring your gear!
  20. Spells heavily rely on jewels, which grant some awesome effects. The new tier 4 with 4 effects means even more power for your favorite setup.
  21. To spice it up even more, the game offers a new blood type: Draculin. This is particularly great in the new zone where you might want to bite more enemies.
  22. If you're a fan of shapeshifting, the new spider form will please you. Try hiding underground for a surprise attack without fear of the sun! Nice!
  23. If you remember bags from Gloomrot, forget about them. Now you can craft and equip only one bag at a time. The better the bag, the more it offers! More storage slots, more silver to carry, and even more resource yield! Awesome!
  24. Soul Shards were also reworked in the latest update. You cannot keep them indefinitely anymore, as they decay over time. To restore them, you must farm the new area.
  25. V Bloods have undergone a rework in terms of rewards to reflect new stations, spell points, and craftables.
  26. To make your battles more controllable, the devs have added new aim assist.
  27. New bosses were added as well, including the mighty Dracula himself. I won't spoil the fight, but be prepared for the toughest battle you’ve ever seen in V Rising!
  28. All veils now have a leech effect to balance them out. The difference will be in additional effects and jewel features.
  29. Dying now reduces your blood pool by 10 percent instead of losing your precious blood completely. This is a huge change and a must for Brutal mode, where you will die a lot!
  30. And finally, a couple of achievements! I love them! They give you a decent goal to achieve, nice!

Conclusion

I hope with this guide you have achieved what you were aiming for today!

2024.05.18 23:17 jilladelphia1 Ozempic to Zep - no appetite suppression yet :(

TL;DR - did it take anyone several weeks feel appetite suppression at 10 mg or higher of Zepbound after switching from Ozempic?
First of all, community, I really appreciate all the support and resources I get from being a part of this group. 🫶 I'm the only person I know personally who is navigating this complicated journey, so this group has been a godsend.
Here is my timeline, including some confessions. Not looking for judgement, just others experiences!
-SW: 280, LW: 241, CW: 254
-Took Ozempic for 18 months, ended at the highest dose, lost about 40 lbs from just the appetite control, no exercise (I'm not proud of that, but I was going through some serious post-covid depression which this initial weight loss really helped to lift. And I do have a therapist :)
-Stalled on Ozempic and then started to gain.
-Began a months-long series of fights to 1) get switched to Zepbound 2) convince my insurance to cover it, and 3) actually find it. I know I don't have to explain to this group how long and hard these fights have been, especially #2!) I was lucky enough that my doctor agreed to let me start at 10mg since I had been on the highest Ozempic dose without a break.
-Just finished my 3rd week on Zep 10mg and I feel absolutely no appetite control. In fact, I am craving sugar like I cannot remember ever happening. On Ozempic (before the stall) I had so much appetite control that I'd be annoyed when my food came at a restaurant bc it interrupted the conversation for something I could take or leave. I know that Zep is different, but I guess I expected to be feeling some of those old Ozempic effects by now.
I know 3 weeks isn't long, but I think it feels SO long after my months long journey. I also know how incredibly fortunate I am to have insurance coverage for this medication and to actually have it in my fridge right now. But I'm also can't help worrying that this fight was for nothing, and that the hope I have been holding on to was false.
Can anyone offer encouragement?
Oh and I am back at the gym at least 3 days a week now! Plus my bloodwork is soooo much better, and for that and the weight I have lost I have real gratitude.

2024.05.18 23:15 ChadEriksen Let's discuss ! "My own" Another Eden Hall of Fame, here's my extensive list, it's a Long read and hope you enjoy it. What is your "Best of" ? Please share your thoughts and you can use my post as template.

Hello everyone, I've been wanting to make this post for a while and now here we are ! This is a long post but ENJOY !!!
Another Eden is now 7 years old which means many stories, characters and an entire world...or rather time periods/timelines that currently exists. So here's the question, what's your Another Eden Hall of Fame ? Both Meta and Non Meta related.
Note: Remember that what I'm about to write is based SOLELY ON MY OPINION but I'm interested to see what my fellow Residents of Time's Forgotten Keep think ! Without further ado, let's start:
  1. Best Story Protagonist (Excluding Aldo): Nona
Another Eden is composed of many stories and they are NOT always centered around Aldo which is the game's protagonist, few examples of that being Deirdre in the Knights Episodes/Nona in Apocrypha and Wryz from the recent Wryz Saga. My pick is Nona because she has BY FAR the best character development and to me she took the spotlight in the entire Apocrypha. In fact I'd argue that if Another Eden had the "Choose your Protagonist" Aldo would be the Male Protagonist and Nona would be the Female one because she's litterally the Protogonist of Apocrypha and it can be regarded as a "Game within a game" so yea that says alot.
  2. Best Side Story: Western Mythos (Song of Sword and Wings of Lost Paradise)
The Western Mythos is the best story in my opinion (And actually alot of players do agree with me on that). The Zerberiya continent, the world, the cast of characters and the story is phenomenal from it's 1st chapter to the finale. I know that people will tell me Future Mythos is also great but it doesn't have THAT impact on me as much as the Western Mythos did.
Which is why (Rant Warning!) WFS ! WHERE'S MY WESTERN EXPANSTION !!! WHY DID YOU FORGOT THAT ZERBERIYA EXISTS ?? WE NEED MORE OF PEAK !! That is hurting me alot !! The only story which is a close second is Apocrypha but Western Mythos is the far better one and I'm thankful for Another Eden for creating that. I do hope that the Highly Rumored Eastern Mythos would be just as good because speaking of...
  1. Best Main Story: Main Story Part 2 (Tales of the East)
There are currently four Main Stories: Main Story Part 1;Main Story Part 1.5 (Ogre Wars) ;Main Story Part 2 (Tales of the East) and the currently Main Story Part 3 (Into the Hollow).
In my mind while having played all of those stories, I still find myself being drawn and attached to the Eastern Continent ! Because I truly love the setting ! WFS clearly nailed it and even so when you consider the amount of "Eastern" Personality characters that are in the game which is the highest in the game at 30 characters (Not counting AS/ES). Heck I'm currently replaying the Main Story Part 2 because I enjoyed it even better than the current Part 3 which from a pure gameplay sure it's better but in terms of Story/Characters and OST then to me nothing beats the Garulea Continent (Present/Past/Future and Underworld) !
Alot of people in the sub love Eastern characters, most notably u/NoWaifuN0Laifu who like Hozuki, an Eastern sensual Fox Lady so yea there's that.
This is in part why I'm extremely hyped for Eastern Mythos and I can't wait for it ! And Yukino Alter (One of the main things keeping me attached to Another Eden)
  1. Best Character Quest: Melissa
Melissa is by far the best Character Quest and ask any veteran player and he'll tell you that. It's also the darkest and the saddest one in the entire game and it's special in the fact that Aldo IS NOT PRESENT in it at all ! Imagine THAT ! I won't say more because of spoilers but if you don't have Melissa you can just search on Youtube as her CQ is there and you can watch it ! If you have her but have not played her quest...WHAT ARE YOU WAITING for ? DO IT !
  2. Best Character: Yukino
This is subjective and my AE subreddit flair checks out, I love Yukino so much since her introduction, apart from me having a thing for women/girls with Ice powers, her story and how she was created (Also she's Eastern as well so another point !) also her relationship to Tsukiha so no need to say more!
  3. Best Antagonist/Villain: Guildna (Main Story Part 1)
The reason why to me Guildna is the best villain is NOT what you think it is ! Another Eden is a game centered around stories Beyond Time and Space there I said it but while there are really good villainy characters like for instance the Empress/Emperor of the Land of Mi and Shin (Again Eastern !) Garneli and Genshin but Guildna is special because he made me appreciate Main Story Part 1 alot more then the other characters, it tells you what happened if Guildna makes some impactful decisions in the storyline. Besides without Guildna there's no Aldo and therefore no Another Eden !
  4. Best Cat Companion: Kuchiba
I love the Siamese Cat Breed and Kuchiba IS the only one in the game in whom I didn't change ever since I found her years ago in Vermillion Road (Another Eastern Reference, see what I told you)
  5. Best NPC: Some Guy
He's Scott literally everywhere in the game. From the past to the future, from Zerberiya to Garulea, heck even in the Hollow you'll find him ! There's no way I make a list without appreciating "Some Guy" and his deeds to the game.
  6. Best Frog: Cyrus (He's Eastern aswell ! I tell you this is why the Eastern Setting is THE BEST !!)
  7. Best Main Cast Character: Guildna
  8. Best Mascot: Varuo
If Moke wasn't released as a playable Sidekick he would have been my pick but now I have to choose the 2nd best IMO and that's Varuo. The Iconic Cat mascot in the game.
  9. Best Boss: Caroline and Justine (From Persona 5 Royal part 2 Collab)
This boss used to be the hardest boss in the game for a long time and for good reason as it has alot of HP stoppers and has TONS of HP, while the boss has been powercrept and now easy with the recent units...back than it was a pain, another close second would be the Toova AS Manifest Battle which used to be the hardest Manifest fight in the entire game because of Toova AS insane fixed DMG and RNG involved.
  10. Best OST: エルの唄~メリナ Song of Sword and Wings of Lost Paradise ED ~ The Stifling Song Melina Edition
The best theme for the best story in the game, everytime I hear the OST I unconsciously start humming and even start tearing up because it's JUST THAT GOOD and after playing the Western Mythos and knowing what the lyrics means...man it hits hard ! A close second is Apex Logic and Cardinal Scales ED ~ Immaculate Full Version but let's be real ! The game is full of the best OST in a game ever !
  11. Best Battle OST: Apex Logic and Cardinal Scales ~ Last Notes of the Battle Song Alter Dewey Boss Theme.
This one is hard to choose as the game is packed full of Bangers in the Battle Theme departement but this one personally gets me all hyped...besides even you didn't reach that part of the game it still hypes you up ! A close second is First Knight and The Holy Sword ~ Dear My Dearest -Prayer of the Holy War- as I loved the Knights Episode Story so much and love the plot twist which leaves to this battle.
.
.
.
Now let's go to the Meta:
  1. Best Free Character: Nona AS
Seriously she's by far the most flexible free character in the game, yea sure it takes a bit to get her but she can give 1/3 of her stats to anyone and she can mold her kit into the unit she's devoted to including zone setting/element and attack type change etc... She's even more good when used with Aldo (And it's canon aswell as she's devoted to Aldo and loves him so much which he also does (Not in a friend way btw)) and we know SA Aldo is OP especially at 255 Light so yea !
  2. Best Zone Setter: Iphi
To qualify for The Best, a unit doesn't just has to set a zone but it needs to have OP effects with the zone setting skill/VC and to me no one who's better at that than Iphi, her zone setting skill Walpurgisnacht is seriously broken: First of all the skill is Pre-emptive; you get the best elemental zone (Shade zone); you get Blood Contract which gives you survivability and Lunatic Risktaker; you get 5T Magic Focus and if you recast it, you get Kaleido switch to Shade element for 1T for all units...ALL OF THOSE in a single skill and moreso when you realise that these are all skills you usually see in Stellar Awakening Locked-Behind recent units in a unit released a year ago
  3. Best Damage Dealer (DPS): Xianhua
Before Xianhua got released and broke the DPS meta, Yakumo and Sesta used to dominate that market but now Xianhua is the best end of question ! The reason being that her DPS potential is not locked behind her SA skill as most recent units does.
  4. Best True Tank: Radias AS
Some people might argue that Radias AS is being powercrept but to me a Tank is more than just high HP/DEF/DMG Mitigation via Shield or Debuffs but to me a Tank in AE needs to have Guard and Rage and to me Radias AS is still the best one even if she's now almost 2 years old. While Alma AS is alot more recent and has all of those she's more of a Secondary DPS/Support than a tank and her Guard is conditional; Soira AS doesn't have Guard;Anabel ES doesn't have Guard nor Rage and Prai is constrained by Stun after Guard
  5. Best Support: Myunfa Alter
I tried alot of units but to me no one can do support/sustain in the entire game than Myunfa Alter, seriously her kit is a dream to every one, she has everything you can think of, YEP EVERY.SINGLE.SUPPORT.EFFECT in her kit. If you have the fourth slot (80 light) she's even better, she support the entire party but more so the unit on her right:
* She can heal HP and MP and reduce MP consumption.
* She can tank (Tho not with Guard but with DMG mitigation such as -50% DMG taken, a 2000 Max HP Shield and insane debuffs + Buff END/SPR).
* She can set Earh/Magic Zone (3 Staff users+) and can awaken any zone.
* She can give Magic and Singular Focus.
* She can give Weapon Type DMG and Weakness Multiplier.
* She can give Status and Knockback Immunity.
* She set 3T pain/poison ignore res.
Yes everything I said above is in her kit, what's more is that she can do most of these preemptively and do you know what's more insane ! She's not bound by the Stellar Awakening System !
  1. Best Healer: Anabel ES
She can heal 50% HP/15% MP but unlike Radias AS which can also do it in a counter, if you put her in Guiding Light she gets +50% DMG and Healing meaning she can potentially heals 100% HP ! Something only seen in EX Attacks in ES characters and that one requires complex setting.
  2. Best Pain/Poison Setter and DoT (Damage over Time) user: Pom AS
A Best Pain/Poison setter doesn't just have to set p/p ignore res as most units can do that but can use p/p as DoT (Damage over Time) and no one can do it better then Pom. Heck 4⭐ Pom has been known for her gimmick of giving p/p if you have the appropriate equipment and there's Grasta Ores that gives +50% DMG if user is inflicted with Pain/Poison so yea.
  3. Best AF user: Miyu ES
To qualify for this the unit has to benefit more from using AF (Another Force) either by doing more DPS in AF or get easy AF Combo Multiplier, it's been known that Thunder units are the ones who can use AF efficiently and while the current Meta revolves around DMG outside AF, some units only shines in AF and Miyu ES is just that, a close second would be Victor AS but he can be tricky to use as you need the AF Combo to 1000% for him to deal 7300% DMG Multiplier but in a Thunder Team with high SPD it's possible.
  4. Best Singer: Milsha AS
While Singing has been powercrept by Praying, I still use Singing units from time to time and Milsha AS is by far the best from the best, seriously her 2 songs can give different Lunatic to the entire party depending on the Song being user (Sacrifice and Risktaker) and this effect can co-exist with other lunatic.
  5. Best Praying unit: Toova ES
This one is hard as most Praying units are OP ! However for me Toova ES takes the crown by a slight margin, just set her pray and forget about her and if you have a unit which can Cover (Iphi is most used with her) then you don't have to worry about her taking DMG and breaking Prayer.

2024.05.18 23:09 Tesa_Tesanovic1988 Welcome to Fusion Teams

Organizing the workforce into fusion teams is one of the ways of ensuring that a firm continues to thrive long into the future. Fusion teams are considered a new method through which organizations manage their workforce by combining business expertise and technology.Organizing the workforce into fusion teams is one of the ways of ensuring that a firm continues to thrive long into the future. Fusion teams are considered a new method through which organizations manage their workforce by combining business expertise and technology.

According to Sutton, the effectiveness of fusion teams is tied to the agile culture it promotes. The rise of fusion teams in the modern-day workplace has been inspired by the need for organizations to adapt to the ever-changing work environment. Managing the changes happening in the workplace necessitates collaboration between multidisciplinary teams, which must work together to address organizational obstacles and develop real-time and effective solutions (Pattnaik and Rashmita, 231). A fusion team by definitions is a multidisciplinary team that combinations technology with analytics and business specific domain expertise. Within the fusion team accountability is shared to ensure business and technology outcomes. As an alternative of organizing work across functions or technology verticals, fusion teams are designed around the cross-cutting business capabilities, business outcomes and customer outcomes they are accountable for. The role played by fusion teams in the work environment is expected to persist long into the future.
Despite their reputation for brutality, pirates ran a surprisingly progressive and equitable ship; it turns out, they were forward-thinking in many surprising and instructive ways.
Collaborations between teams within the workplace, characteristic of fusion teams, are expected to continue gaining popularity as more firms embrace the workplace’s digital transformation changes. According to Alli and Jenni, fusion teams operate like pirates where the employees try to work towards achieving a balance of power. This can best be achieved by ensuring a democratic approach towards decision-making. All the decisions taken in fusion teams mirror those taken on pirate ships where duties and responsibilities are well defined. Each member of the crew is expected to play their part to perfection and contribute to the overall success of the entire ship (Minister). Similarly, for fusion teams, successful collaboration within and across departments often lead to success that all the team members share.
The delay by some companies to go online during the lockdown period of the COVID-19 pandemic revealed a big gap in their operational efficiency. As stated above, some companies had never envisioned a scenario where their staff would have to work from home. Such companies had to wait for the emergence of an unfortunate or adverse event to embrace the work from home model. However, not many organizations managed to adapt, but those that adapted stayed afloat even as many others failed and were eventually forced to permanently close their businesses (Harel 93). A key characteristic of the firms that survived through the COVID-19 period is embracing digital transformation, and such firms are still on course with this paradigm and are using it as a guide into the future (Priyono et al. 104). Digital transformation has continued to play a key role pre, during, and post the pandemic period to ensure that businesses achieve a competitive technological advantage.
Aside from the pandemic, generally, firms need to find new ways of working. According to Gartner, efficiency and time are very important in the modern-day workplace. The importance of these two elements is informed by the fact that the workplace and the marketplace are very competitive- with hyper-competition rife between rival brands and firms. Therefore, products need to be developed in record time, and they must be delivered to the market ahead of competitors. Furthermore, customers’ demands can best be served when the company aligns its production processes with customers’ needs (Kumar et al. 163). Additionally, companies specializing in service provision can also benefit from going digital. Doing this would position them to address the needs of a portion of its customers who are digital natives.
We habitually look upon on renegades and rebels as a menace, NASA’s Johnson Space Center, however, suggests that high performing teams need renegades more than we think. Far from troublesome, they can be a commanding force of shifting organizations towards new futures.
Fusion teams can help future-focused teams serve their current and future customers better. According to Galli and Paola (69), fusion teams, just like pirates on a ship, often operate guided by agile culture. There is increased flexibility in the agile culture environment, which empowers employees to adapt to different changes in their working environment. The agility with which employees in fusion teams work is similar to the agile culture aboard a pirate ship. The crew has to change their way of operations depending on the different circumstances they encounter at sea. Agile practices are important as they tear down the bureaucratic practices that hinder workforce from responding to changes in their environments. Some marketplace and workplace changes are more important than any other culture, especially a bureaucratic culture, which would not allow stakeholders to respond fast enough (Rey 77). Consequently, organizations that fail to embrace agile culture will miss out on the opportunities provided by rapid changes in their operating environments.
The agile culture where fusion teams thrive is also an ideal environment for modern-day employees. Unlike traditional employees who thrived in bureaucratic workplaces, the modern-day employee thrives more in environments that promote greater opportunities to team members. Fusion teams do not have formal reporting structure and they come across quite fluid. Team leaders and team members alike could report to either to dedicated IT departments or business areas outside. Fusion teams are often incumbated within Agile project or scrum teams and progressively adopt product management discipline to manage a capability end-to-end, from strategy development to delivery and continuous improvements.
Fusion teams will continue to contribute positively towards business and organizational success. Such teams operate in ways that are distinct from those of traditional teams. For example, fusion teams encourage employees to innovate while providing them with the space and resources needed. Additionally, employees are allowed to collaborate with their colleagues across departments, making it possible for both tacit and explicit knowledge to flow with ease both horizontally and vertically in an organization. Fusion teams will address the many challenges that employees in traditional teams face. These challenges are the bottleneck of bureaucratic structures that stifle innovation and delay the overall innovation process. By addressing such challenges, fusion teams will ensure that businesses innovate faster and succeed in bringing innovative products to the market before their competitors. Since fusion teams are agile and offer employees a high level of autonomy, it is expected that organizations that embrace them will experience higher employee retention than organizations that stick to traditional teams.

2024.05.18 22:53 Tesa_Tesanovic1988 The Performance Economy: A Way Towards Sustainable Future?

Consumer behavior is the cornerstone of economic demand. This demand-type microeconomic comportment shapes the basic economic system that exists in the contemporary world. Consumption goods constitute a substantial proportion of economic activity. Therefore, it is important for businesses to understand the fundamental drivers in order to support the creation of a sustainable economy naturally, free of state tax substitutes and mandates from supernational entities.

For the last decades, the economies of many industrialised countries have been characterised by a combination of continuously high resource consumption with related high waste volumes, of rising public debt often accompanied by persistent unemployment and slow economic growth. Performance economies are built on sustainability by allowing the efficient use of existing resources and embracing product-use extension over the fast replacement of products. The natural resources are finite while the demand is increasing. The trajectory has spearheaded a move to the service economy, guided by a paradigm shift from industrialization and manufacturing to services. The role of technology, especially artificial intelligence and blockchain, is critical in providing improved security, increased efficiency, enhanced transparency, better traceability, and reduced cost. The modern economy is characterized by the shift from quantity and price sensitivity into servicisation, product quality, sustainability, and product ownership, which guides any country’s success.

Performance Economy

The current performance economies rely on blockchain technology, artificial intelligence, sock market, and Q & Q stocks to drive servicisation and the natural economy. Markets are growing beyond the material economy and consumption-driven concept. Therefore, it is essential to shift from industry-driven and material consumption and embrace sustainability. The shift can be successfully executed through the creation of products that last for a long time. Besides, capital owners should maintain ownership while the returns on capital ownership ought to be adjusted to realize sustainable economies. Achieving economic growth naturally needs a critical adherence to sustainability practices that revolve around re-use, recycle, and reduce (Gelbmann and Hammerl 52). Particularly, the concept of clean water, sustainable energy, and sanitation play an important role in the process.

Contribution of Circular Economy to Performance Economy

Contribution of Circular Economy to Performance Economy
The circular market economy creates an avenue for the capitalist system of the economy to thrive. Consequently, it achieved significant success for a few capitalists but with little regard for the general welfare. Under a circular capitalist system and open market, where little intervention on production is involved, the value of ecosystem and biodiversity is consistently undervalued. However, generational equity is hardly achieved where minerals, water, and the ecosystem are exploited for the short-term benefit without compensation for future sustainability (Staheel 2). Performance economy is built on resource use efficiency and policy frameworks that promote labor as a resource, personal sustainability in the process, and the general will of key sector players in building a sustainable economy (Nygård 7). Geissdoerfer et al. provide the approaches that private sector players in the circular economy should embrace to promote sustainability through business models that are guided by principles of re-use, repair, recycle and remanufacture as opposed to replace (759). Labour, as human capital, is a critical element in the new business models that seek to promote sustainability. For instance, technological advancement, including the expertise use of artificial intelligence, blockchain technology, and smart assistance, are critical aspects in improving efficiency. Businesses train their employees on new technology of production, how to remain environmentally efficient, and the effectiveness of converting resources into profit for the realization of short-term and long-term sustainability (Huang and Rice 479). At a time when the production and businesses environment is dynamic, the role of human resources is paramount to achieving the needed sustainable productivity. Imparting new skills to employees improves their efficiency and reduces wasteful production.
A circular economy seeks to achieve stock optimization and profit maximization. The three loops of production and the service-life extension result in significant benefits to companies and organizations. Stock optimization and service economy have gained further popularity over value-added production because capital owners have an opportunity to create value by extending the useful life of the capital asset rather than increasing the assets through use and replacement. Therefore, the utilization value replaces the product and exchange value as the cost of input in the latter is higher, but it takes a relatively long time to depreciate (Cooper 33). The shift to the extension of the useful life is backed by a sustainable society, mainly because the world’s resources are becoming progressively finite (Moreno et al. 78). Moreover, the increasing role of private sector developers with the new business model based on the 3R principles of re-use, recycle, and remanufacture has proved vital to the current economy. The move has enabled manufacturers to realize more utility from extended use of resources and stock optimization than they would receive in low-quality products. The new business model is important for sustainability because the useful life of a product determines its replacement speed and the rate of use of the resources (Stahel 5). The level of consumption of natural resources is directly proportional to the amount of waste production. Therefore, extending the useful life of means of production promotes sustainability and reduces waste. Therefore, the current performance economy seeks to naturally support the economy through product-life extension rather in place of a fast replacement approach. Product life extension increases wealth. On the other hand, shortening the life cycle upsurges the demand for replacement escalates the rate of natural resource utilization, and leads to increased waste (Kjaer 22). The growing importance of the new business model based on circular economy finds innumerable opportunities in every sector’s activities such as repair, re-use, recycle, and reconditioning. It is applicable mainly in manufacturing, finance, and research and development.

The Role of Artificial Intelligence and Blockchain Technology

The Role of Artificial Intelligence and Blockchain Technology
Artificial intelligence and blockchain technology are instrumental in improving the resilience of the world economies in the face of pandemics and resource depletion. The shift towards a service economy and stock optimization is expected to propagate with the support from new technology. Particularly, blockchain and artificial intelligence can increase the speed of access to new markets new ways of production and stimulate productivity. The contribution of blockchain technology in keeping data secure in the service economy is paramount. The financial segment and stock market sector advance when private sector players are assured of the security of their investment. Blockchain and artificial intelligence provide security through authentication and facial identification (Ramadoss et al. 57). In addition, blockchain has enabled financial inclusion by reducing the cost of transactions and improving the speed with which many players in the economy access financial services. The era of new and advanced technology is necessary for natural economy performance based on the service economy to grow. Therefore, blockchain and artificial intelligence are critical in enabling the shift from the fast-replacement production to the new product- life extension and service economy, which is more sustainable than the traditional system due to the finite nature of natural resources.

Therefore, blockchain and artificial intelligence are critical in enabling the shift from the fast-replacement production to the new product- life extension and service economy, which is more sustainable than the traditional system due to the finite nature of natural resources.
As the world marks a significant economic paradigm shift, blockchain and artificial intelligence offer solutions to existing problems. The advantages of these new technologies cannot be overlooked if an economy is to achieve a complete change towards a service economy, extended life products, and stock optimization. Specifically, blockchain technology offers improved security, increased efficiency, greater transparency, traceability, and reduced costs (Swan 125). Artificial intelligence and blockchain technology combine to effectively provide economical solutions and upgrade supply chain, financial inclusion, health records, and even medical royalties critical in the service economy (Marwala and Xing 25). Artificial intelligence specifically supports blockchain by facilitating decentralized blockchain infrastructure and verifying authenticity. Thus, artificial intelligence and blockchain work collaboratively to enable the service economy to perform naturally, guarantee sustainability, and promote economic viability for future generations.
The blockchain economy is taking over fiat and monetary systems. The technology facilitates exchange between distant players guided by equality of ownership shared governance among members. Blockchain and artificial intelligence are the centers of the new performance economies. They break border barriers and allow transactions between people in different countries at low costs and a fast rate. Artificial intelligence promotes trust by providing authenticity to transactions and eradicating the involvement of third parties in international trade and transactions.
The use of artificial intelligence, blockchain technology, and smart assistance has changed the way nations seek to promote natural growth. Furthermore, globalization and the growth of an open market economy have reduced the international boundaries in trade and what countries do to gain the balance of trade. As such, nations are finding it increasingly difficult to grow by themselves, especially given the rise in the international supply chain. Competitive advantage in production plays a significant role in what countries produce and how they balance their foreign exchange. The cutthroat competition and globalization have led to a new concept of sustainability that economies embrace to remain competitive in the going concern. For instance, a significant paradigm shift from industrialization to the service economy seeks to promote stock management over asset ownership to reduce the preference of quantity products over quality, which can last for long and guarantee a return on investment to the capital owners.

Conclusion

Performance economies seek to promote sustainability by allowing the efficient use of present resources. The product-life extension of fast-product replacement is encouraged as it leads to a lower rate of resource utilization and relatively low waste during production. Therefore, traditional means of production, where resources such as land, labor, and minerals were made for short-term use, are being replaced with products that take reasonably long to wear out or replace. The concept of stock optimization has evolved over time. Besides, the role of technology and the contribution of research and development in the performance economy cannot be overstated. The technology gained from research and development may not benefit the economy in the short term, but it contributes to economic growth in the long run. Research into new production methods, better products, and waste management play a key role in promoting sustainability, given the limited resources. Blockchain and artificial technology are now at the center of the service economy. Overall, they offer improved security, increased efficiency, greater transparency, better traceability, and reduced costs.

2024.05.18 22:48 n4hu1 Walking backwards, then forwards

Currently there are 306,186,849 shares of common stock outstanding. Last week, the posted snapshot from Bloomberg indicated that in sum about 1.2 million shares have been bought by GameStop under rule 10b-18. This would decrease the publicly available share count to approximately 305 million. GameStop have now declared they may at any time issue an additional 45 million common shares and 5 million preferred shares.
Tinfoil Prediction: they will issue 10 million common shares at market price and raise the share count (ex counterfeits) to 315 million. That number is divisible by 7. After issuance of those 10 million common shares, they will issue one (fraction of a) preferred share for every 7 common shares (741). The preferred shares will be issued via an issuing agent which happens to be Computershare. Accounts held with the transfer agent, which also happens to be computershare, will receive the preferred shares directly and the remaining 60-70% of preferred shares will be dumped on the depo (DTC) or the brokers, who then can try to distribute them (lol) or rather fight for them because: Holders of shares of Common Stock held in “street name” through a brokerage account, bank or other nominee will not receive physical rights certificates and must instruct their broker, bank or other nominee whether to exercise Subscription Rights on their behalf.
The clue is in the name and preferred shares have some preferable status, such as regular dividends etc. In this particular case, they may have the non-transferable and non (cash-)substitutable right attached to a subscription of common shares, meaning the right to acquire common shares at a predefined price such as for a discount to the market price. This makes preferred shares inherently more valuable than common shares (take a look at BNED this week and their filing on 15 May 2024). Consequently, market participants may compete to receive the preferred shares and may pay a premium for common shares prior to issuance of preferred shares or recall the ones which may have been lent. This may put shorts under water. GameStop may use the proceeds from issuing 10 million shares to strengthen the balance sheet. GameStop might also incentivize holders of preferred stock further by issuing other benefits such as NFT divis, wu tang audio etc. However, the proceeds may also be used to finance equity investments in compliance with GameStops investment policy or repurchase of their common stock. The continuation of such repurchases under rule 10b-18 may be particularly interesting at the time due to the volume restriction based on average trading volume of the preceding four weeks at the time of a buyback under this rule. Currently, the 10 day trading volume is 73.1 million shares (according to Schwab). This is another factor that might put shorts under water. To spell it out clearly: given the action of the last week, GameStop could currently raise capital (but don’t need to) and repurchase a fat amount of its own common stock on the free market and yet remain in compliance with the safe harbor rule.
Substantial rises in the stock price could then incentive GameStop to issue more of their remaining 35 million shares of common stock to procure working capital or capital for future buybacks. However, a decreasing stock price could incentivize GameStop to issue shares and then repurchase them at a lower price, continuously decreasing the share count and thus applying upwards pressure on the price in the long run. Holders of common stock AND preferred stock need not worry about this since proceeds from the business activities could then be rerouted via preferred shares. In the end, every market participant had a right and chance to gain his preferred shares, right ;)
Edit: fractionalizability of preferred shares as defined in the recently published S3 document.
Edit 2: Relevant Barnes filing:
BASKING RIDGE, N.J.--(BUSINESS WIRE)--May 15, 2024--Barnes & Noble Education, Inc. (NYSE: BNED) (“BNED” or the “Company”), a leading solutions provider for the education industry, announced today that its registration statement for its fully backstopped $45 million equity rights offering (the “Rights Offering”), was declared effective by the Securities and Exchange Commission (“SEC”) on May 14, 2024.
The Rights Offering is one of the previously announced proposed transactions (the “Transactions”) contemplated by the Company’s definitive agreement with Immersion Corporation (NASDAQ: IMMR) (“Immersion”), and certain of the Company’s existing shareholders and strategic partners, that will enable the Company to substantially deleverage its balance sheet, strategically invest in innovation and operate from a position of strength. The Transactions remain subject to shareholder approval and other closing conditions.
Upon closing of the Transactions, which is currently expected to occur in June 2024:
BNED will receive gross proceeds of $95 million of new equity capital through the Rights Offering and a $50 million new equity investment led by Immersion; the Transactions are expected to infuse approximately $75 million of net cash proceeds after transaction costs;
The Company’s existing second lien lenders will convert approximately $34 million of outstanding principal and any accrued and unpaid interest into BNED Common Stock; and
The Company has received commitments to refinance its existing asset backed loan facility, pursuant to an agreement with its first lien holders, providing the Company with access to a $325 million facility (the “ABL Facility”) maturing in 2028. The refinanced ABL Facility will meaningfully enhance BNED’s financial flexibility and reduce its annual interest expense.
Through the Rights Offering, BNED will issue 900,000,000 shares of its common stock, par value $0.01 per share (the “Common Stock”) at a cash subscription price (the “Subscription Price”) of $0.05 per share. In the Rights Offering, BNED will distribute to each holder of record of its Common Stock on May 14, 2024 (the “Record Date”) one non-transferable subscription right (each, a “Subscription Right”) for every share of Common Stock owned by such holder on the Record Date, and each Subscription Right will entitle the holder to purchase 17 shares of Common Stock. Each holder that fully exercises their Subscription Rights will be entitled to Over-Subscription Rights to subscribe for additional shares of Common Stock that remain unsubscribed as a result of any unexercised Subscription Rights, which allows such holder to subscribe for additional shares of Common Stock up to the number of shares purchased under such holder’s basic Subscription Right at $0.05 per share.
If any Subscription Rights remain unexercised upon the expiration of the Rights Offering after accounting for all Over-Subscription Rights exercised, the standby purchasers led by Immersion, Outerbridge Capital Management, LLC and Selz Family 2011 Trust will collectively purchase, at the Subscription Price, up to $45 million in shares of Common Stock not subscribed for by the Company’s stockholders.
The Company will not issue fractional shares in the Rights Offering or cash in lieu of fractional shares of Common Stock. Any fractional shares of Common Stock that would be created by an exercise of the Subscription Rights will be rounded to the nearest whole share.
The Company expects that the net proceeds of the offering will be used to pay expenses in connection with the Transactions and reduce the balance under the Company’s ABL Facility.
The Company expects that Computershare Trust Company N.A., the subscription agent for the Rights Offering, will mail rights certificates and a copy of the prospectus for the Rights Offering to holders of record of Common Stock as of the Record Date beginning on or about May 15, 2024. Holders of shares of Common Stock held in “street name” through a brokerage account, bank or other nominee will not receive physical rights certificates and must instruct their broker, bank or other nominee whether to exercise Subscription Rights on their behalf.
The subscription period will expire at 5:00 p.m., Eastern Time, on June 5, 2024. However, the Company may extend the period for exercising the Subscription Rights. Subscription Rights that are not exercised by the expiration date of the Rights Offering will expire and will have no value.
The shares of Common Stock to be issued upon exercise of the Subscription Rights will be listed for trading on the New York Stock Exchange (“NYSE”) under the symbol “BNED.” The Subscription Rights are non-transferable and the Company will not be listing the Subscription Rights on the NYSE or any other national securities exchange.
Neither the Company nor its Board of Directors has made or will make any recommendation to holders regarding the exercise of Subscription Rights. Holders should make an independent investment decision about whether or not to exercise their Subscription Rights based on their own assessment of the Company’s business, the Rights Offering and the other Transactions.
Questions about the Rights Offering or requests for a copy of the prospectus related to the Rights Offering may be directed to the Information Agent, Innisfree M&A Incorporated, at (877) 800-5185. (Banks & Brokers may call collect: (212) 750-5833.
