I've been working at Macy's for a week and am still getting use to everything. I logged onto MyInsite to check my schedule and they want me to 'Agree' or 'Disagree' to my times because I clocked out late. It's only by a few minutes, but I worked those few minutes and had to walk to the register so of course it's not going to be precise.
I also clocked in a few minutes late when my shift started and came back from break a few minutes late, but I'll eat that. I actually stay late when I'm suppose to get off at a scheduled time to help the team.
I know my manager will look out for me. Just trying to see which one I should choose.

Yes, the most logical thing is to call them back but I'd rather keep my dignity. Then I checked my email and Human Resources emailed me instructions for claiming unemployment benefits and an offborading checklist. This past week I also got a check from them in the mail. This DD details the findings of the Gamestop 10-Q, and speculates what the merger target is based around the terms of the credit agreement. I was going to post tomorrow, but it’s come together enough for now to get started.

Gamestop filed their updated Credit Agreement today as part of their 10-Q. A Credit Agreement details the terms of a loan. This one happens to be 206
This details the terms of the loan, agreed upon by lenders (Wells Fargo giving the lending the money, and WF, JPM, & BoA are helping administrate) to Gamestop (lead plan administrators/holders of the loan). A few GS subsidiaries are being used as collateral to guarantee the loan.
This is the first page in the Credit Agreement outlining the big players that are cited above.

Now, in these Credit Agreements there are all kinds of stipulations on what you can and can’t do with the money. I don’t usually spend all day reading Credit Agreements, so I’m not speaking from experience here, but this seems like it’s tailored specifically for a very complex merger / acquisition or SERIES of them.
Using this as my baseline, I then wanted to figure out if Gamestop would be acquired - or they were the ones doing the acquiring.
You don’t have to read this following image, I’ll summarize for you, but here it is for reference
Summary below
A "Permitted Acquisition" in this credit agreement refers to a purchase or acquisition by Gamestop or its subsidiaries. For Gamestop to be allowed to go through with the acquisition certain conditions must be met by Gamestop, including having no defaults, meeting collateral and guarantee requirements, complying with financial conditions, and obtaining board approval for the acquisition.
Seems good, pretty standard.
Negative Covenants - Article 9
Article 9 is about what circumstances are not allowed for the loan to be used, as well as exceptions to the rules depending on the categories. It’s huge, so I’m not going to post it here.
9.1 goes into Limitations based around Liens.
Section 9.2: This section outlines the types of investments that GameStop and its Restricted Subsidiaries are permitted to make with the money from the agreement. These include investments in cash and cash equivalents, loans to officers and employees, intercompany loans, and extensions of credit in the ordinary course of business. The section also allows for investments related to swap contracts, promissory notes, and other specific circumstances. Investment limits based on certain financial metrics and conditions are also defined.
It’s a very big section - but there’s certainly a standout. In case you already forgot, this is the section stating what Gamestop can use the money on.
9.2(l) Joint Ventures & Joint Venture Investments

Since this is a legal document, we have to define both Joint Ventures, and Joint Venture Investments per the terms of the Credit Agreement.

I try to make sense of this below
"Joint Venture Investments," are defined as investments in any Joint Venture or Unrestricted Subsidiary. A "Joint Venture" is any entity in which a Loan Party (GME) or a Restricted Subsidiary has significant influence but not full control. This is often characterized by ownership of between 20% and 50% of the voting stock. Additionally, a Joint Venture can also be any entity in which GameStop or its Restricted Subsidiaries have an Equity Interest but which is not categorized as a Restricted Subsidiary (other than an Unrestricted Subsidiary).
The agreement specifies that the aggregate amount for such Joint Venture Investments cannot exceed the greater of (a) $25,000,000 or (b) 15% of the Consolidated EBITDA as of the most recently ended Test Period, calculated on a Pro Forma Basis.
For example, let's say GameStop wants to invest in IEP. If GameStop acquires between 20% and 50% of IEP's voting stock, they would have a Joint Venture with IEP, and this investment would fall under the category of "Joint Venture Investments." The amount GameStop could invest in IEP would then be subject to the financial limitations specified in the agreement, such as not exceeding $25,000,000 or 15% of their most recent Consolidated EBITDA.
Additionally, if GameStop already owns an Equity Interest in IEP but does not have Joint Venture status (i.e., they own less than 20% of the voting stock), they could still make additional investments in IEP to either maintain their Equity Interest or potentially reach Joint Venture status, provided they stay within the financial constraints of the Loan Agreement. Now, we don’t know if they hold IEP or even if this is their strategy.
But, here’s what I think is going on, and how specifically the Joint Ventures are going to work in the long run, and what they’re building structurally here. It fits in with every part of the thesis, and explains a lot of these tangental connections. We have all speculated about companies being under the Teddy umbrella, I’m not trying to claim that as my idea, but rather give it structure with a bit more context. Again, this is extrapolation from the information provided. Enter, the Japanese business structure of the horizontal keiretsu.

Horizontal Keiretsu
A Keiretsu is a set of companies with interlocking business relationships and shareholdings. It is a type of business group. There are two types, Horizontal and Vertical. I believe we are about to see a Horizontal Keiretsu once Teddy is born. But before we get to how we get Teddy, let’s go over what a Horizontal Keiretsu is.
A bank (Teddy) is usually at the center, providing financial support. Companies in a horizontal Keiretsu often own small percentages of shares in each other, strengthening mutual relationships and discouraging hostile takeovers. I theorize that Larry Cheng, Pulte, Icahn, Brett Icahn, Kevin Plank, and many more, are working alongside RC - hoovering up companies to add to the keiretsu, along with their own established companies.
Structure of a Horizontal Keiretsu
  • Centered Around a Bank: A major bank often sits at the center of a horizontal Keiretsu, providing financial services and support to all member companies. The bank essentially acts as the backbone of the group, ensuring liquidity and credit availability.
  • Cross-Ownership: Companies in the group usually own small stakes in each other. This shareholding structure reinforces mutual trust and discourages hostile takeovers.
Industries and Sectors

  • Diverse Portfolio: Companies in a horizontal Keiretsu typically come from a wide range of industries. Think very, very big. The diversification adds resilience to the group as a whole. Not just Amazon categories but manufacturing, electronics, etc. Like if Newell, Canon, L Catterton, Apple, Nike, Sears, Macys, LEGO, Nordstrom, IEP, Flexport, Gamestop, & Overstock / Bed Bath & Beyond all centered around a BANK / financial holding company called Teddy.
Key Features

  • Collaboration: Member companies often collaborate on joint ventures, R&D projects, and other initiatives. The tight-knit network makes it easier to coordinate these efforts.
  • Information Sharing: Inside the Keiretsu, there is often a free flow of information, helping companies anticipate market trends or economic downturns more accurately.
  • Supply Chain: While not as tightly integrated as in a vertical Keiretsu, member companies do prefer to do business with each other, further strengthening the ties.
  • Risk Mitigation: The cross-shareholding and mutual business interests allow for risks to be distributed more evenly across the group, making each company more resilient to market fluctuations.

Lets jump back to the Credit Agreement in GME’s 10-Q - Section 9.8
First off, there’s lots of good stuff in here. Lots to go over, and I’ll likely add to this post as I find more things after I sleep. There’s one section in particular that I feel is applicable, to the situation with towel, that is. Remember, we’re still in the Negative Covenants aka things you can’t do unless there’s an exception, so here’s the thing we can’t do, and then there’s a bunch of exceptions that will allow you to do it.

Affiliates in this case are anyone the Loan Party (GME) knows on a first name basis essentially.
So, you can’t use the money for any acquisition over $5,000,000 with any Affiliate unless you meet one of the exceptions they list. The reason the Affiliates bit here is important, is because Affiliates also include yourself if you happen to control multiple companies which would stop Gamestop RC from acquiring something from another company he owns - say Teddy. There’s possibly several more exceptions here that would apply, but these are the ones that struck me. The highlighted bits are summarized below.

Take note of all the [reserved] placeholders. That leaves a lot of flexibility to add in whatever you’d like down the line. I’m sure more of these apply, but I’m v tired and just chose a couple.
Section 9.8(i) in the restricted covenants allows transactions with affiliates if they were already in place as of a certain date (the Closing Date) and are listed in a specific schedule. Amendments to those existing agreements are also allowed, as long as they don't materially harm the lenders compared to the original terms. This, IMO, leaves the door open to slide in whatever you want before the Closing Date.
Section 9.8(r) allows transactions with affiliates if those transactions are approved by a majority of the board members who have no personal interest in the transaction. These are known as "disinterested members" of the Board of Directors. As long as the majority of the Board of Directors in Gamestop approves of the transaction, it’s good to go.
If Gamestop wanted to acquire Loopring, Elixer, or some other well-priced complimentary company, they now have everything they need to do so.
We can only speculate on what companies Gamestop is looking to merge with. I have a few thoughts, but this post is already punishing enough. The point is, they’re ready. This feels like the launchpad - you do not go through all this trouble just to sit on your hands and waste time. If we’re going to have our Horizontal Keiretsu, we need a bank.
Teddy
First, let's scroll back up to the top and double check the date the Credit Agreement was amended. May 11th, 2023, right? Look what happened on the 12th?

Teddy is currently registered as a financial holding company / a bank. They are currently a private company. We know that RC had interest in that baby company many moons ago that was tied to that towel stock that went bankrupt and now is a shell of a company. What if I told you, that the best way for Teddy to go public, was through the carcass of towel - which has stripped away all assets and “has nothing left to sell?” In a reverse-merger, you do exactly this. You use the shell of a public company in order to launch a private company public. It allows you to skip a bunch of hoops that you typically need to jump through to go public via IPO. In addition to this, if you play your cards right, you can use any Net Operating Losses as a tax credit over the course of a few years.
Before this part starts up, you have to be on the same page with me on something. First, this is only my opinion, but it’s rooted in pretty solid facts that are somewhat undeniable. There is a ton of noise around this subject. It has been censored somewhat relentlessly. However, considering the contents of this 10-Q, I feel it’s important to discuss the facts here - as I know them. I’m up to constructive discussion on any of these points, and am happy to clarify anything. Please also know that a certain group has been targeting me and my posts recently; take that for what it’s worth.
First, RC is listed as both a creditor & a codebtor in bankruptcy documents of that company. To become a creditor, the company has to owe you money. To be a codebtor, you have to be on the hook to some degree as well. Sometimes it means you cosigned as a guarantor on something. Like, if you have you dad cosign for a car, then you are codebtors with your dad. Word?
Before bankruptcy, this company issued stacks of Series A Convertible Preferred shares, that you could exercise into warrants, which you could then either exercise the warrants for Common Stock or cash. Still with me? These also had a “Bankruptcy Triggering Provision” via the Redemption Rights via the 10-K that was filed months late in June.

Mezzanine financing is a hybrid between traditional cash lending and equity. It often involves the issuance of warrants, and can be used to provide financing where traditional means have failed. For an acquirer, it can be a great way to hide true ownership while maintaining certain levers of control. It can also be a perfect method for a private company to go public through the shell company and works as a way to finance the process while obfuscating ownership.

Note the triggering provisions / redemption upon bankruptcy
We know from filings that the vast majority of these were exercised to Common Stock. ~23,365 There were 180 of the Series A shares that were not exercised. Keep in mind, these were $10,000 each at the time of sale. Per the Redemption Rights above, the holder when going into bankruptcy has the option to exercise the Series A shares for 115% of the original purchase price. In short, they could have made 15% risk free and gone home.
But they didn’t. They exercised all of them for Stock A. Well, all of them but 180 of them. 180 shares of Series A entitles the holder to choose either cash or common stock. However, the company has no say when that happens. Due to these Series A shares in limbo, the company is required to retain both the number of shares & the cash - because they don’t know what the holder will choose, and they can’t make them exercise. Not only this, but from the 13,543 Series A shares that were sold - Towel took a $3.1 billion dollar reduction to retained earnings on their consolidated balance sheet. That loss will be part of the carry-forward equity - which will offset tax burdens via NOLs over the course of years.

Now, why is he the codebtor? In short, he cosigned for the DIP facility, which not only gives him supermajority creditor position through 6th street, but also the rights of a debtor, because his dick is on the line if towel dies and 6th street doesn’t get paid. The big right here is being the only one to submit a plan in ch 11. That exclusivity period doesn’t end until November. Through Common Stock ownership, creditor rights through Series A, supermajority creditor rights via the DIP provided through 6th street, and he’s in exclusive control over the plans that get submitted.
“bUt YoU dOnT hAvE pRoOf FoR tHaT” - THERE IS NO OTHER LOGICAL EXPLANATION.
We know RC puts his money where his mouth is. The idea that he just sold, left a bunch of his loyal followers holding the bag, only to continue to get eviscerated and eventually wiped out, without saying a single word… is also not logical. Not on any level. He has nothing to gain. It’s not in his character. He’s not going to just lay down and take, even if option a didn’t work. He’s principled and this is about more than money - and he wouldn’t hang you out to dry. Not with his, and his father’s, legacy on the line.
A lot of ways this could go
Again, I’m not here to tell you I’m right. The way this is set up though, we just don’t know the scope of it. I personally believe we’re going to lose our minds once those bricks start clickin’.
I’m not here to tell you that Gamestop is going to acquire Dream on Me who bought the baby IP. I really don’t know, there’s provisions in docket 1314 Section 2.7(a) that allow for all the contracts to be transferred back to the seller - in this case towel - which I speculate to be teddy. Maybe Gamestop is going to buy just gaming companies, and then Teddy is going to launch and buy Dream On Me. Again, I can only speculate - but this feels big. There’s been a ton of DD done on the other stock that is worth reading. The DD on GME shouldn’t be done either, and I hope this post helped you understand some of the possibilities.

TLDR

  • Gamestop filed their updated Credit Agreement today as part of their 10-Q. This details the terms of the loan, agreed upon by lenders (Wells Fargo giving the lending the money, and WF, JPM, & BoA are helping administrate) to Gamestop (lead plan administrators/holders of the loan). I.e., Gamestop decides where the money goes assuming certain conditions are met.
  • According to the terms of the agreement, it appears that Gamestop is gearing up to be part of at least one - possibly multiple - joint ventures. You take this against what has been speculated in the past and things start to fit better.
  • There are many paths to successful mergers listed in this agreement. It doesn’t have specifics for now, we can only speculate. However, there is plenty of room for them to fill in the blanks whenever they’re ready. Everything else here is good to go, they just need to pull the trigger.
  • If Teddy is going to be a financial holding company, I speculate based around facts from filings with some drawing conclusions, how Teddy could go public and how it fits in with GME’s M&A activity.
  • It’s 9:30 in the morning. I literally haven’t slept and will update this TLDR to be more robust tomorrow, plus add / fix anything y’all drop in the comments.

Hey, I just started working at the Macy's near me. The second week on the job I got sick and tried to get in contact with my manager(my coworker ended up giving me a phone number), it was the wrong one. I then called the store number and did a recorded call out using the automated machine. I was thinking everything was good until I came back in to work and they pulled me into the office, thinking i did a no call, no show. The manager said he didn't get any messages from when I called out using the store number(I don't know why because when I called out it asked me for my employee ID and my last four of my social). I explained to him how I texted the number and he said they're going to give me the benefir out doubt and move forward. It felt like they were putting the blame on me when nobody explained to me how to call out( he told me in the meeting to use Insite online too).
Fast forward to yesterday, I log in to see my schedule and the reliability rating thing pops up. I ask the manager he said he will go over my reliability with me but ti click accept on both days. Now my reliability is in red and he told me in the meeting that if I call out another day, they will have to terminate me(because i woukd be calling out 3 times in a span of 90 days). I just had a question about reliability and sick days, when I clicked accept, a thing said that protected time off(sick days) doesn't affect your reliability score so im kinda confused. Do you have to plan sick days ahead in Insite and I'm still kinda confused about reliability.

But wait, there’s more!
Have you ever wanted to find the perfect stargazing campsite? I know I always want to! Well, you’re in luck! HipCamp is unveiling their “Dark Sky Map” overlay for campers who are looking for just that, the darkest places to camp!
And not to belabor the point, but it really does feel like we’re in the middle of a huge Astro-tourism trend. A new Survey finds increase in first-time Big Bend visitors,” and “most are now staying outside the park.” This one comes to us from Travis Bubenik of Marfa Public Radio.
It’s boomtime at Big Bend, whereby 70% of respondents to a survey, preferred to stay outside the park, bringing a spike in short-term rentals with them. The spike is so high that it has local officials scared that they can’t keep track of all of the new rentals!
What’s driving this boom? A “standout data point,” stargazing!
“We’ve been saying for years now that our starry skies are a hugely important part of the Big Bend experience, and we have good data to back that up,” per Sara Allen Colando, a Brester County Commissioner.
Big Bend gained the International Dark Sky Reserve designation in 2022 with the hopes of boosting tourism.
Well, Scott, this next one will definitely ring true to you. “2 Million Acres, 8 Forests, It’s all in the Pennsylvania Wilds.” From Brian Whipkey of Go Erie.
I can truly say, some of my favorite memories of this neck of the woods include backpacking down the West Rim Trail in the fall or backpacking the Black Forest Trail in a monsoon. But there’s also the Forest Cathedral at Cook Forest, I know just south of here in the Hammersly Wild Area, there’s some remaining old growth that we visited last year.
Then of course, if you’re not a hunter, nearly everyone in Pennsylvania is, if not familiar personally with it, seems to generally know of it, Cherry Springs State Park, where we are today. And that’s ok, even if Whipkey doesn’t truly understand the purpose of “red lights,” as they’re not to eliminate light pollution, but rather provide visibility without eroding night vision.
Scott, what has been the DCNR’s take on Cherry Springs? Does the state view this as a flagship park? Other states, namely West Virginia, appear to be going all in on marketing their dark skies. Do skies at all resonate with Harrisburg?
Our next article, well it’s really a one-hour video, comes to us from PBS. The video, “Northern Nights, Starry Skies,” begins with Travis Novitsky, of the Grand Portage Reservation, connecting the brilliance of the night sky, a feeling I think we’ve all felt, with something few of us have felt, Native American heritage and spirituality.
According to the video, constellations are a way of having the “stars connect us between the physical world and the spiritual world.”
For instance, the Dakota (Lakota) tribes recognize what contemporary mythology calls “the Big Dipper” as the Seven Star Fire Nations of the Dakota/Lakota people. The Dakota people built burial mounds by rivers to aid the deceased in ascending to the river in the sky, what we would call, “The Milky Way.” And further, the cottonwood tree, complete with its white cotton, bridges the gap between the earth and the stars.
I don’t want to ruin this video for you. I highly recommend that you watch this film. Just a teaser, those burial mounts I just spoke about, well they can be used to accurately predict eclipses every 18-19 years. And the constellation Pegasus is really a moose!
Is lighting the night up under the guise of safety and vanity a worthy reason to extinguish cultural night sky heritage?
Staying with the spiritual connection, an interesting piece from Concurrently: The News Coach Podcast from WORLD Radio and God’s WORLD News, an Evangelical Christian network, “Light Pollution and Creation Care.
I don’t know about you guys, but I found that Kelsey Reed and Jonathan Boes did a wonderful job objectively evaluating the topic of Light Pollution. Namely, in regard to how a Christian should view and understand the situation.
In this podcast, the hosts utilize the SOAR method – Survey, Observing, Analysis, and Response, to deconstruct the issue of light pollution from a Christian standpoint. One of the biggest takeaways I found came down to how one should respond, namely “love of neighbor, and also love of the world,” suggesting personal responsibility for installing lighting fixtures that spread light trespass into your neighbor’s property.
There are a lot of takeaways in their episode, but the main takeaway is an ecological and spiritual (in this case Christian) connection to the world that God (or the prior piece, the Creator), created.
Ok, moving to some quick hits.
Keeping with the cultural-religious theme, the Maori New Year rises this July. The new year occurs when Matariki (known in Western societies as Pleadies), rises during the first new moon. Not to add confusion, but the brightest star of Matariki is also called Matariki, the mother of the other stars in the cluster. See New Zealanders to Celebrate Maori New Year in July.
And returning back to Minnesota for a second, according to Dan Kraker of MPR, DNR to rewrite mining rules to prevent noise and light pollution in Boundary Waters. The key takeaway here being that, among other issues at hand, the MN Department of Natural Resources will be writing new guidance regarding noise and light pollution for mining activities in the area.
Hey, did you hear? South Tahoe is beginning work to make lights “Dark Sky Compliant.” Kevin Sheridan of KOLO 8. The city plans to update 214 light fixtures along US 50 into 2200 Kelvin LED fixtures.
I’ve stated previously that now is the most innovative time ever for car headlights. Audi plans to take this to the next level by installing OLED rear lights complete with four different rear light signatures to choose from.

Here’s something that affects rural America! New Study Shows Urban Lighting Disrupts Rural Insects, Louise Fabiani from Sierra.
This is similar to a study we reported a couple of months back. In short, very low – even what we would consider dim levels of light, appeared to affect moth dormancy.
Fabiani goes on to point out that insects historically appeared in “large, conspicuous groups, such as clouds of mosquitoes or midges on a hot summer night.” And that simply isn’t the case anymore.
The insect apocalypse is causing declines up the food web in swallows and flycatchers. Insects also aid plant life by regulating pests and nutrient cycles.
Fabiani notes that there are places trying to minimize light’s impact on the insect population, namely dark-sky communities.
One such example of this comes to us from another article, Sustainable Landscapes Sustainable Places Dark Skies Project, whereby Lisa Baker of the Welsh Business News & News from Wales describes eight “designated landscape” areas that are all working jointly to reduce light pollution with the explicit goal to benefit biodiversity.
Scott, this feels like something in your wheelhouse. What’s the temperature of the DCNR on light pollution being an actual pollutant?
Research Article of the Month: Global disruption of coral broadcast spawning associated with artificial light at night from Nature Communications.
Man, in the 21st Century, corals get no relief!
In contrast to a prior study, “Breakdown in Spawning Synchrony,” it’s been found that light pollution, not solely water temperature, appears to trigger early spawning in coral. In the study, it’s found that corals may be spawning between one to three days closer to the full moon in coastal areas with artificial light at night. Essentially, ALAN disrupts the timing of reproduction, further reducing the probability of fertilization and survival. It’s surmised that Artificial Light at Night may confuse coral by mimicking the full moon.
The study itself appears to be the first step to better understanding ALAN’s role in coral reproduction. It recognizes that further research is needed to directly parse out the cause and effect of ALAN versus spawning timetables, and suggests greater understanding is needed on the viability of reproduction under ALAN.
A few more quick hits this month.
Don’t sweat the numbers on the street lights. Evidently, there’s a meme going around telling folks that the street light numbers are mRNA codes. No, unfortunately, they are not.
You gotta love this. Very cool news out of Chaffee County Colorado.
Vicki Genfan, of Guitar Player Magazine fame, performed to help generate buzz around the Friends of Browns Canyon’s work to ascertain a Dark Sky Park certification. Genfan plans to compile a new album “inspired by and recorded in” national monuments, including Browns Canyon.
A new housing development in Rennington, England has residents fuming. They fear the new development, which initially planned to install five streetlights, will ruin the rustic character and dark skies of Rennington, a village in the Northeast of England.
Per Sarah Darling in the article, “The number of street lights collectively…deny all residents a dark sky for which Northumberland is renowned.” However, some regulatory entanglements may see the street lights installed much to the chagrin of residents.
Ph.D. candidate Emma Louden wants other astrophysicists to cross-pollinate with the space industry. Louden presents the case via a blog article in Astrobites. We all know that the space economy is just warming up. Among her justification, skill and scientific interest alignments seem like a no-brainer crossover. One thing Exoplanet Emma didn’t discuss was the impact of satellites on earth-based astronomy. Louden gives the impression that astronomers do not natively interface outside of their discipline, which if true, looks to be the root cause of some of the Low Earth Orbit business proposals we’re seeing as of late.
There are two places in the world you can see a moonbow and this KY state park is one. Have you ever heard of a moonbow? This is pretty cool! There are only a handful of places in the world where you can see these. Those being Victoria Falls, the Isle of Skye, Hawaii, and, I bet you wouldn’t have guessed, Kentucky.
Moonbows form much the same way as a rainbow, just fainter due to the moon’s reflective light. Moonbows only occur on the three days around the full moon. Due to this faintness, a camera is necessary in order to extract full saturation.
So there you have it Daylon, make your next mission a trip to Cumberland Falls State Resort Park.
Moving on. This next one comes to us from Martin Greenacre of the Connexion, “French towns introduce ‘smart’ street lights which locals can turn on.”
Now this is really interesting. In France, energy conservation has led municipalities to turn off street lights at night. Many folks expressed feelings of insecurity without the street light. To remedy both the feeling of safety and the town’s need to save money, Olivier Bozzetto [Oliviee Bozzet-to] devised a compromise allowing individual users to activate street lights for 15 minutes at a time based on their GPS location.
Is this truly smart lighting at its best? Or do either of you foresee pending problems with it?
Western Washington University is saying ugly decorative lighting, hello practical ecological friendly lighting.
WWU used to have ballooning amber streetlights line its walkways. No more. Whereas before, light shot out aimlessly, the new top LED fixtures angle and aim the light directly where it’s needed – on roadways and paths. The lights will use warmer temperatures, I was not able to ascertain the actual temperature prior to this show. The fixtures are ‘Dark Sky Compliant.’ The administration appears to be valuing a lighting changeover on how it impacts both the night sky and ecology.
This story will lead us into our next one. But before we get to that, let’s review what is actually happening.
Western Washington University recognized it was time to convert to LEDs. Instead of doing what many communities did, and that was to not enter into the first and brightest contact, they saw an opportunity to reimagine lighting that was both sustainable and suited the perceived needs of the student body.
I say perceived, because often times on the issue of street lights, both ends of the debate appear to take the middle hostage.
Before I open this one up, let’s look at our Afraid of the Dark piece – a piece from Woroni, a news source discussing the going ons at Australia National University. “THE LIGHT AT THE END OF THE TUNNEL DOESN’T WORK: INVESTIGATING ANU’S STREET LIGHTING
This piece written by Raida Chowdhury, a student at Australian National University, illustrates what happens when we let fear run wild. Basing everything on the 2019 University of Chicago Crime Labs Study, “Reducing Crime Through Environmental Design: Evidence from a Randomized Experiment of Street Lighting in New York City,” the solution to all violent crimes must be Light!!
Now clearly the situation at ANU is not working for the students, especially any arriving home late. One student raised the concern after walking down a dimly lit street, “I can make out a person’s shape from a distance. But I cannot [distinguish] their features like clothes, face, or even if they are carrying something, until I get close to them.”
One of the routes uses motion-sensor lights, which the author, Chowdhury, feared would lead students to take longer routes back as they evidently did not know there were motion-sensing lights.
Security was of course the main theme – correlating lighting as the sole prevention of crime and fear on campus.
One student claimed to never see security patrols on their walk. The school does have a 24/7 escort service to help and assist students who feel threatened or in jeopardy.
Now Chowdhury is a student, I’m presuming. And I hope to god she has never experienced anything to the level of what she insinuates regularly happens without light. However, maybe we can take a step back from the ledge here.
Western Washington was able to address student concerns AND protect the ecology, night sky, and environment. Would that be a workable solution at ANU? Would that pacify even an excited and fearful student journalist?

The new Shopify Bill Pay is powered by Melio, an Israeli-based B2B payments and bill pay service, and is available to US merchants at no additional cost other than payment processing fees on some payment methods. .
  3. Harry McCracken of Fast Company famously wrote in February why he wasn't leaving Twitter — yet. (A post which is mysteriously missing from Fast Company's website this morning.) 2023.03.30 23:39 manu08 Has anyone successfully filed a lost baggage insurance claim?

Iberia lost a checked bag, and is reimbursing a portion of the loss (their max is $1,600, the bag + goods is worth a bit over $2,000).
I paid for the flight with Amex Plat, and I started their claims process with the hopes that they'd cover the rest. The question I have, is whether this is worth the trouble?
I ask because Iberia was simple, I gave them a list of the items with links to where I would buy them to be replaced, they reimbursed me, end of story.
Amex is surprisingly painful. I filled out a terrible online form item by item thinking that was it. All that did was cause them to send me more PDF forms which ask for all the same information. It looks like they demand original receipts for every item that was lost. I mean, some items are like nice shirts I got from Macy's 4 years ago, I don't have the receipt.
I tried to call them a couple times, but the baggage claim team is not like the rest of Amex support. It's clearly some outsourced operation, the phone connections are terrible and the staff are unable to answer questions beyond reading the terms verbatim.
Has anyone gone through this process? My current read is that since I don't have receipts for everything, Amex is going to tell me Iberia already covered the things with receipts, and there's nothing else they can do. Or they'll at least apply a bunch of depreciation assumptions at me that'll make it zero anyway. I don't want to spend another 2 hours filling out this paperwork and uploading documents to this 1995 website if it's going to be a waste of time.

Alright, I went through the process. The net outcome was fine and faster than I expected, though the transparency was mediocre. To sum it up, here was the process:
  1. Submit online form to Amex, that included adding item-by-item with merchant, replacement price, etc. They ask for UPC/Serial for the item, but I just put a direct link to the replacement item myself.
  2. I got a follow-up email a few days later that felt like a restart (hence this original post): with a worse process. It included a PDF to fill out that requires repeating all information from step 1, in a less clear format, plus it asks for more documentation around existing airline claim/settlement, etc. I filled out most of the PDF, but included a separate excel file (which had to be uploaded as a PDF) that listed the inventory. All-in-all, it was like 30 documents (lots of receipts). The upload portal was terrible, it took me over 20 tries (seriously) to get past the captcha and you have to upload 1 document at a time, and it's quite slow. It felt like using an old activeX website.
  3. It only took a couple days to get a claim result, which was a terse PDF letter. It told me I'd get ~$800 in the form of a statement credit. It's honestly more than I expected (I figured they'd push hard on used-market replacement values and other tactics to drive it down).
The process was repetitive and a bit annoying, but I'm glad there wasn't more back and forth on matching up receipts or whatever.
One obvious gap is that when the airline loses your bag, they reimburse you for two different things:
  1. incidentals during the trip (what you have to buy while traveling to get by)
  2. The actual value of the bag and contents
For Iberia, this is reimbursed both as a single lump sum. Amex subtracted this lump sum from their "approved value" for the bag contents, which isn't quite right (I had explained this in my claim).
Also, their "approved value" was ~$400 less than my inventory, but they didn't explain the gap. I'm guessing they ignored some of the items that didn't have a receipt and might've found some similar items on sale.
