Vancouver, British Columbia--(Newsfile Corp. - May 21, 2024) - IMPACT Silver Corp. (TSXV: IPT) (OTC Pink: ISVLF) (FSE: IKL) ("IMPACT" or the "Company") is pleased to announce that it has closed the first tranche of the non-brokered private placement financing originally announced of up to C$6,200,000 on April 30th, 2024 and subsequently increased up to C$8,200,000 on May 13th, 2024 (the "Offering"). The Offering is being completed pursuant to the listed issuer financing exemption ("LIFE") of National Instrument 45-106 Prospectus Exemptions ("NI 45-106") and other private placement exemptions under NI 45-106.
Under the first tranche the Company has received gross proceeds of C$2,936,587 from the issuance of 10,487,812 LIFE units (the "LIFE Units") at C$0.28 per LIFE Unit and gross proceeds of C$4,192,071 from the issuance of 15,526,190 units (the "Standard Units") at C$0.27 per Standard Unit for aggregate gross proceeds of C$7,128,659. The second tranche of the Offering is anticipated to close on or before May 28th, 2024.
Each LIFE Unit consists of one common share of the Company and one half common share purchase warrant (each whole such warrant, a "Warrant"), with each Warrant entitling the holder thereof to acquire one common share of the Company (a "Warrant Share") at a price of C$0.34 per Warrant Share for a period of 24 months from its date of issue. Each Standard PP Unit consists of one common share of the Company and one full Warrant, with each Warrant entitling the holder thereof to acquire one Warrant Share at a price of C$0.34 per Warrant Share for a period of 24 months from its date of issue.
The Company intends to use the proceeds from the Offering to accelerate exploration activity at its Plomosas high-grade zinc-lead-silver property located in Chihuahua, Mexico, further develop its prolific silver assets at its legacy Royal Mines of Zacualpan district, as well as invest in operational improvements to improve productivity and throughput as the price of silver nears 52-week highs. Exploration activities include sampling, target definition, and drilling with the intention of expanding the existing JORC mineral resource at Plomosas, where only 600m of the 6-kilometre-long structure has been tested.
Frederick Davidson, CEO and President of the Company, comments, "With silver rallying to over US$30/ounce last week and going higher not to mention strong zinc prices amidst a rally in base metals, IMPACT Silver is well positioned to benefit from production at Plomosas, Guadalupe, and high potential exploration programs in 2024."
As mentioned, a portion of the Offering was made pursuant to the listed issuer financing exemption under Part 5A of NI 45-106 (the "LIFE Exemption"). The securities sold under the LIFE Exemption are not subject to a hold period in accordance with applicable Canadian securities laws. A copy of the offering document under the LIFE Exemption dated April 5, 2024, is available electronically on SEDAR+ (www.sedarplus.ca) under the Company's issuer profile. The remaining portion of the Offering was made pursuant to certain private placement exemptions under NI 45-106. These securities will be subject to a statutory hold period of four months and one in accordance with applicable Canadian securities laws.
The Offering remains subject to final acceptance by the TSX Venture Exchange.
In connection with the Offering, the Company paid an aggregate of C$317,943 in finder's fees and issued 1,158,562 finder's warrants (each, a "Finder's Warrant") to certain finders. Each Finder's Warrant entitles the holder thereof to purchase one common share of the Company at a price of C$0.34 per share for a period of 24 months from its date of issue.

IMPACT Silver Corp. (TSXV: IPT) is a successful producer-explorer with two mining projects in Mexico.
Royal Mines of Zacualpan Silver-Gold District: IMPACT owns 100% of the 211 km2 Zacualpan project where four underground silver mines and one open pit mine feed the central 500 tpd Guadalupe processing plant. To the south, the Capire Project includes a 200 tpd processing pilot plant adjacent to an open pit silver mine with an NI 43-101 inferred mineral resource of over 4.5 million oz silver, 48 million lbs zinc and 21 million lbs lead (see IMPACT news release dated January 18, 2016 for details and QP statement); Company engineers are reviewing Capire for a potential restart of operations. Plomosas Zinc-Lead-Silver District: IMPACT has begun preliminary mining and processing operations at its 100% owned Plomosas high-grade zinc mine in northern Mexico where upgrades to facilities and equipment continue. Exploration potential at Plomosas is exceptional with only 600m of the 6km-long structure have seen modern exploration. This is in addition to other exploration targets on the 3,019-hectare property including untested copper-gold targets with indications of high-grade material from surface. Regionally, Plomosas lies in the same mineral belt as some of the largest carbonate replacement deposits in the world.

Antivirus products are known to detect the launcher as a threat and block its execution or delete the launcher. The reason for this is uncertain, but most likely due to a launcher component, PyInstaller, that is commonly flagged as a threat by antivirus software. A sufficient workaround is to add the launcher binary to your antivirus' whitelist, or to select the action to trust this binary when detected. More information can be found from the launcher's FAQ on Github.
If you are paranoid, you can always inspect the source code yourself and build the launcher from the source code. However, you are still likely to get false positives.

Vancouver, British Columbia--(Newsfile Corp. - May 21, 2024) - World Copper Ltd. (TSXV: WCU) (OTCQB: WCUFF) (FSE: 7LY0) ("World Copper" or the "Company") is pleased to provide a general corporate update regarding the Company's assets and direction.
Zonia Project Update
Going forward the Company will be focusing its efforts on the Zonia Project ("Zonia") as our flagship asset, with the aim of working to advance Zonia to a bankable feasibility study and then proceeding into construction and production.
Given the current global copper supply deficit, management's belief is that the short-term solution to the copper supply crisis will come from smaller more efficient copper operations, which are cheaper to build and have less environmental impacts. Recent events in the sector have shown that major mining companies are hesitating to take on very large-scale, high capital intensity projects by looking for partners to share the risk and costs, or by targeting smaller assets and innovative or conventional leaching technologies.
Zonia fits into these new copper market dynamics perfectly offering a viable smaller scale and lower cost operation that can be permitted and constructed in half the time required on average to develop new larger concentrate mines. Being a past producer, Zonia's mineralization is pre-stripped resulting in a 1:1 strip ratio for our new operations, and it has power and water on site.
We recently announced the formation of a Technical Advisory Committee that will play a lead role in the proposed development and construction of the Zonia mining operation. Derek White and Joe Philips have joined us as advisors at World Copper. Derek is an industry leader in the copper sector having developed and built several copper mines. As the former CEO of KGHM International he built the Sierra Gorda mine in Chile and the Carlota mine in Arizona. Most recently he completed construction of the Premier Gold mine in BC. He is a consummate mine builder. Derek will guide the World Copper team in taking Zonia down the path to production. Joe Philips brings a wealth of mine building experience having lead construction on 14 mining operations in 11 different counties. His upgrading and expansion of the SX-EW plant for Tres Valles in Chile will be of particular importance to our Zonia development process.
Our seasoned team are looking to put the asset into production within 3 to 5 years and at a quarter of the costs of conventional concentrate operations. Zonia is uniquely positioned with a strategic location in Arizona allowing it to supply the domestic US refined copper market, which is currently in dire need for US-manufactured cathodes, Zonia has the potential to become a net-zero facility benefiting from low energy consumption, favorable energy mix and emission compensation returns.
World Copper has adopted a two-phase plan to move the Zonia project down the production track. Phase one would target only the portion of the project located on private land. Phase two will target copper mineralization located on non-private land so that it could be permitted for future inclusion into the anticipated mine plan. To satisfy the parameters of a bankable feasibility study Phase one will move to convert a major portion of the inferred resources in from the PEA to indicated resources. This will most likely entail an infill drilling campaign. Other Phase one programs will include environmental studies, land and water use permits, metallurgical studies, mine planning, engineering, financing modelling and construction planning.
Phase two programs will comprise primarily of permitting the BLM land (non-private) that surrounds the Zonia private land, environmental studies, and some exploration drilling. Our BLM lands are 3 times the size of our private land package and have the potential to increase our copper resource exponentially. These phase two programs will be initiated in parallel with the phase one activity as the timeline to receiving exploration and mining permits for these areas are longer.
Zonia's historical preliminary economic assessment (PEA) in 2018 concluded that the economics of the project are excellent and gives World Copper the assurance to advance the project through feasibility. The historical PEA outlines an open-pit, copper-oxide heap leach project with a 9-year mine life and favourable economics. The base case uses a $2.00/lb designed pit shell with a grade cutoff of 0.17% total copper. The PEA was prepared by Global Resource Engineering Ltd. ("GRE") of Denver, Colorado, in accordance with the Canadian Securities Administrators (CSA) NI 43-101. GRE reported on the scoping-level capital and operating costs, and project economics associated with the potential development of the Zonia copper oxide project. The full report entitled "Preliminary Economic Assessment, NI 43-101 Technical Report Zonia Copper Project Yavapai County, Arizona, USA" with an Effective Date of March 22, 2018, and an Issue Date of April 17, 2018, is available on SEDAR+ or can be downloaded using this link.
The preliminary economic assessment is preliminary in nature and includes inferred mineral resources that are considered too speculative geologically to have the economic considerations applied to them that would enable them to be categorized as mineral reserves; there is no certainty that the preliminary economic assessment will be realized.
The updated mineral resource estimate for Zonia (see news release dated February 23, 2023), includes 75.7 million short tons grading 0.30% total-copper (Indicated Resources) containing 450.5 million pounds of copper and 122.0 million short tons grading 0.24% total-copper (Inferred Resources) containing 575.4 million pounds of copper, which is a significant expansion of the historical resource estimate.
Further information on Zonia's updated resource estimated can be found in the technical report entitled "National Instrument 43-101 Technical Report: Updated Mineral Resource Estimate for the Zonia Copper Project Yavapai County, Arizona USA" dated December 20, 2022 and dated effective September 1, 2022. Mineral Resources are not Mineral Reserves and do not have demonstrated economic viability. Inferred Mineral Resources are that part of the Mineral Resource for which quantity and grade, or quality, are estimated based on limited geologic evidence and sampling, which is sufficient to imply but not verify grade or quality continuity. Inferred Mineral Resources may not be converted to Mineral Reserves. It is reasonably expected, though not guaranteed, that the majority of Inferred Mineral Resources could be upgraded to Indicated Mineral Resources with continued exploration.
The Company is also currently reviewing additional assets in the United States. The United States has declared copper a critical metal, and it is a consistently mining friendly jurisdiction. 4 US states were listed in the top 10 most attractive jurisdictions globally by Fraser Institute (that included Arizona with rank #7). Both the Department of Energy and the Department of defence have created funding programs for copper and other critical metals. By shifting focus to US copper markets World Copper will have a new captive and supportive potential pool of interest.
Escalones Project Update
Escalones remains the largest undeveloped copper oxide deposit in Chile and is one of the most desirable copper projects in the sector. Further drilling at Escalones is needed in order to advance the project, and this drilling will also assist in de-risking Escalones. The Company is currently in discussions with the Chilean authorities for drilling permits and to better understand the next steps in formalizing the directives under the new sanctuary of nature established by presidential decree (see news release dated January 23, 2024).
Loan Extension
The Company has also, subject to TSX Venture Exchange ("TSXV") acceptance, entered into a loan extension agreement (the "Extension Agreement") made as of May 18, 2024 with E.L. II Properties Trust (the "Lender") for loans assumed by World Copper in connection with the merger with Cardero Resource Corp. by plan of arrangement in January 2022 in the aggregate amount of CAD $1,958,019.88 (based on a CAD - USD exchange rate of 1.3570 as of February 29, 2024) (the "Loans"). Pursuant to the Extension Agreement, the Loans will bear interest at a rate of 8% per annum compounded quarterly, and the due dates for the Loans will be extended by two years.
The Company has agreed to issue the Lender in aggregate 6,419,737 non-transferable bonus common share purchase warrants (each, a "Bonus Warrant"), each exercisable to purchase one common share of the Company at an exercise price of CAD $0.305 per share for a period of two years, subject to acceptance by the TSXV. All securities issued pursuant to the Loans will be subject to a hold period of four months and one day in Canada from the date of issuance.
As the Lender is a trust owned and controlled by Robert Kopple, who is a director of the Company, the transaction constitutes a related party transaction pursuant to Multilateral Instrument 61 101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101"). The Company is relying on Sections 5.5(a) and 5.7(1)(a) of MI 61-101 for an exemption from the formal valuation and minority shareholder approval requirements, respectively, of MI 61-101, as, at the time the Extension Agreement was entered into by the Company with the Lender, neither the fair market value of the subject matter of, nor the fair market value of the transaction exceeded 25% of the Company's market capitalization.
Strategic Marketing Agreement
The Company also announces that, subject to TSX Venture Exchange acceptance, it has entered into an consulting agreement with Upcountry Strategy Ltd. ("Upcountry") of Cobble Hill, BC, whereby Upcountry will provide advice to the Company's board of directors and senior management on public company administration, the development and implementation of a marketing strategy for the Company and the review of potential strategic opportunities. The term of the agreement with Upcountry is for six months, effective May 2, 2024, and may be terminated at any time, by either party, with 30 days written notice. Upcountry will receive a consulting fee of USD$600,000 to be paid over 90 days. As of the date hereof, to the Company's knowledge, Upcountry (including its directors and officers) does not own any securities of the Company and has an arm's length relationship with the Company.

FFXIV soundtrack has many motifs/leitmotifs, but does that mean it's better, or is it becoming predictable? (data inside)
This is more to observation regarding FFXIV music I hear and I feel/think to post here. I believe that motifs and leitmotifs are one of the powerful methods of music that can be reused to convey moments and sense of feeling. The correct title would be "Should they rely more on that or is it too much?"
FFXIV soundtrack factually has many leitmotifs even the community have tracked all the leitmotifs in a website form. I'm a bit enthusiastic about video game soundtracks at the past, but FFXIV feels like a good place to take the data for it. However, as the content formula is going established, or for better or worse matured, I think there is a predictability in the content including the tracks because they are tied to each other. So I want to open this from the data then we talk about the tracks themselves.
Based on what I've gathered and reread, motifs are musical notes/movements/passages that are modular to use and reuse whether inside that music or in specific contexts. Leitmotifs are applied by associating a moment with the motifs used, say like a specific character coming to the stage, the notes are played similarly which makes the music memorable by using leitmotif technique. This is also frequently used in FFXIV too. u/bortmode explains better since at least the person was in music major and knows the details behind it. Rearrangement is also a different thing as it takes entire movement in different form.
However, there must have something in the balance. Too reliant on motifs may sound boring. But no motifs may sound nothing or less memorable (unless they make you pump it out). With motifs and leitmotifs together, you can also predict the scene what will happen next. But you may argue not every moment must have motifs so that it can decrease predictability, or not everything must be reliant to it so that it may sound unique. I believe there is a technique for that. In the end, it's the composers'/arrangers' ability to create. They can use it, but it's about how they insert those. It can be subtle in plain sight, or blatantly in your face.
You may feel this kind of thing, and I feel that too. But because I am usually data driven, I would like to share the data, accompanied by how the game is designed. The game design is also crucial for the music itself.

The Data

To use the data. I use my sound tracker data whose the leitmotif tracker is based from the compendium. Here's the data I've collected so far
Album version. Imgur is blurry on mobile so you may refer to the sheet itself above. Too complicated? Alright then, I'll upload it here
FFXIV 1.0 is kinda minimal on motifs besides classic FF motifs
ARR motifs are increasing. Not to deny the major relaunch of the game
ARR 2.x is minimal in comes into reusability
Heavensward 3.0 was the first to establish the formula, hence high reusability
Then followed by 3.x which was the early template for future motifs
Stormblood 4.0 has high reusability based on the field themes, but still not as much as Heavensward. You can neglect other one-off FF themes (I blame collaborations)
Shadowbringers has high reusability, may on par or more then Heavensward. Ignore the 1s, they're bloated anyway
Shadowbringers patches are also good while maintaining the post patch status compared the launch patch
Endwalker is simplified but you can see the numbers are much higher. Maybe too much?
Too many 1s man. But also many motifs from previous versions are represented again

The Content and Implementation

For main expansion motifs, they can be separated into pieces. However, main expansion motifs usually being reordered to give variety, but still the same. This is the case for:
  1. Main theme: stores all the motifs <- the templates are here
  2. Field battle: some open world mobs
  3. Cities: most main theme motifs end up in here but in different flavors
  4. Field hub (aetherite)
  5. Dungeon midboss
  6. Dungeon boss
  7. Most cutscenes: usually for the expansions they can have 7 out of 10 tracks that shares the motifs inside the main theme
  8. Solo duties/story battles: usually tied to some parts of the main theme
  9. Occasionally some trials: usually for crucial trials there are some motifs in the main theme
  10. Occasionally some dungeons
  11. Occasionally some fields that is crucial enough to have main motif in main theme
With at least 11 categories related to main theme motifs, it is a fact that main theme is the most used within expansion. Let's say Heavensward motif. It has many and consistent motifs that can span to other contents outside what I mentioned in the list. Because expansions here are treated like a book or a movie serial, they need to use different motifs per season.
For field motif, especially at the expansions, usually used in 3 tracks:
  1. Field day
  2. Field night
  3. Dungeons: each field usually has a dungeon, so they rather use that field's motif to simplify the process
Each FFXIV expansions usually has 6 fields. This is actually many, just reuse the motifs then you're done. In fact field themes are foundational. It started from main field day theme, then getting a piano rendition in night theme, then make an intense version in dungeon theme.
That means, you can estimate for each expansion, you probably get at least 11 main categories + 6 fields * 3 = 29 tracks. It can be more if we count more cutscene music and other eventful music that uses motifs. It can be approximately 35 tracks with motifs, but that is in estimate.
Yes, I made the numbers above without reference, but let's go to the real data. Let's open Endwalker album as the example. Here's what I get. This writing is going too messy later
With 63 tracks, you can see some major numbers are at least proven compared to approximate
Notes:
  1. Main theme is expected. However, FFXIV usually has two main themes. In Endwalker's case, it's "Endwalker" and "Flow" as they are usually promoted in their YT channel. This main theme can be applied the category I mentioned before. Let's say 12 tracks
    1. Endwalker motif is used in most cutscenes
    2. Flow motif is also used in most cutscenes. Sometimes it also tandems with Endwalker motif
  2. Cities: 2 day, 2 night, 1 neutral. That uses "Flow" motif. That goes 5
  3. Story cutscene: of 11 tracks, there are 3 independent tracks. That goes 7
  4. Dungeon midboss and boss. That's 2
  5. Each field has dungeon. It's 6 fields*3+2 extra dungeons = 20
WIth this, you can get at least 12+5+7+2+20= 46 tracks with related motifs. It may be inaccurate, but you may get the picture
With Endwalker data above, I've counted that only 5/63 tracks (~8%) that are independent from the motifs.

Motifs/Leitmotifs are contextual, but how predictable in FFXIV?

Predictability here comes into sections:
  1. The events. May be a place, character, or some game elements
  2. How the music is made. May be the composition/arrangement itself
However, predictable doesn't also mean it's worse. Again, it's about how they implement it. Prediction can also be good if done properly. You learn more about some melodies and if there's something happened, you can refer to said melody, and it's fine.
There are also more than motifs/leitmotifs. It's a rearrangement. This is prevalent in field themes converted into dungeon/raid themes. Say like "Neath Dark Waters", "To The Edge" and "Fleeting Moment", they share the same passage but the way they deliver the passage is different. You can feel the musical contrast between these, and that's still fine. Context and emotion is still important as that is the foundation of the art itself
It may be predictable for main and field themes because how the game is structured. It could be better or worse. You may suggest like this:
  1. Make the field theme variative.
    1. The open field has two methods. Loop the track or play-silent-play the track. If the latter is used, it would be beneficial to have variant tracks. Take Genshin as the example. The open nature of that game allows to cycle the tracks. In fact, FFXIV ARR had this method especially in La Noscea, Thanalan, and Black Shroud. They have multiple movements in a track hence why the track is long. The question: should they revisit that method?
  2. Make the music longer or variate the melody
    1. If the gameplay is around the 2 minute meta, you don't realize that the music anecdotally follows that too. That is a single take without loop. You can variate by extend the music for a bit or maybe at least rearrange them.
    2. The concrete example I got is Monster Hunter music. That game has many renditions of monster themes while keeping the same melody. They have variations across the melody too
  3. Let other composers make their foundational motifs
    1. Currently most FFXIV tracks are composed by Soken as the foundational part, maybe like 80% of each album (not to be confused with arrangement). Would it better to have other music staffs to compose as the foundation?
But there is a shock factor which makes it unexpected
Shock factor here means you don't expect one/some of the motifs are applied in the scene you are currently in. For example, who would think The Twinning music is a combination of Crystal Tower and Omega motif? Who would also think Anamnesis Anyder uses long buried Sastasha motif? How about mash all the old motifs in your face like how they made "Embers" which includes all tracks related to Lahabrea? How do you expect "Dynamis" comes back to "Flow" motif? This factor makes one of the most memorable musical experience in FFXIV.
