Private Placement Terms
Under the Offering, each Unit shall comprise of one (1) common share in the capital of the Company (each, a "Common Share") and one-half of one (1/2) non-transferable Common Share purchase warrant (each whole warrant, a "Warrant"). Each whole Warrant will entitle the holder thereof to purchase one (1) additional Common Share at a price of C$$0.40 for a period of (3) years from closing of the Offering (the "Expiry Date").

Hey everyone,
I’m considering renting an apartment with RedPeak in the Hale area. The rent looks attractive, but utilities aren’t included and are billed monthly based on usage (water, sewer, trash, gas, and electricity).
I asked them for a monthly estimate, except for electricity, but they couldn’t provide one. Has anyone rented from RedPeak before? Any idea what I should expect for utility costs and any extra fees on top of the rent?
I am an incoming international student and not familiar with rental apartments in the US. Is it usual to charge for water, sewer, trash, and gas based on usage? I’ve seen other properties with fixed charges for these (without electricity), like $50 or $100 per month, so I’m a little worried about this.
Any input or suggestions would be appreciated! Thanks!

EDIT: The project is a home value growth estimator powered by AI. Put in a home price and a number of years. It spits out a prediction.
I am graduating with my computer science degree this summer. I am wrapping up building a personal portfolio project. It is a full-stack web/AI application.
Django Backend: Trains on data using a linear regression-based neural network (relu) prediction. I trained 50 small models(One for each state) 10000 epochs. The REST API provides estimated home value price in a given state given a specific date. It can predict future home values as well. The REST API I built can also provide a difference between two dates and a percentage change between these two dates in a state. This is fully built out and functioning.
React FrontEnd: This will be a simple user interface to get date predictions. I also will give the user the ability to input a given home price, purchase date, and sell date. It will then spit out an estimated growth(or decline) of that specific home value over the given period of time. I plan to use D3 for data visualization.
Deployment: I will be dockerizing both the front end and backend. I will deploy it on Microsoft azure. I will provide a link to the project on my main portfolio page.
Is this a decent junior portfolio project or is it too basic? I sometimes feel like I don't know anything (Imposter syndrome LOL)

I have a townhome that was purchased in Q4 2022. I don't love it and I have lots of buyer's remorse. I know long term I wouldn't want to live here. I have nightmares about the HOA increasing, charging surprise fees, etc. I know it's been a short period of time and as a result, I will take a loss.
I looked into what it would mean to sell this place. I talked with a potential real estate agent who recently sold another unit in my complex. There is a scenario where I could walk away with about $32k net loss.
However, with my equity I could reinvest all those funds into the market and be able to retire 5 years sooner. I invest conservatively in index funds. My financial model is also conservative with estimated annual return of only 4.6%.
I am 38 years old. I have another home that I rent out, I can see myself retiring there down the line. But right now, I don't mind renting an apartment that would be cheaper than the mortgage + HOA of my current townhome. I'd gain flexibility back. Downside, obviously taking a huge loss. Upside, flexibility + peace of mind.
I know no one can actually tell me what to do but I'd appreciate your feedback or any inputs on things I haven't thought about.

Hello! I ride daily and I've never really measured my performance. I also have no interest in investing in a power meter.
I was curious and wanted to use an online bikecalculator to estimate my power and calories burned for my typical commute. I plotted the route I usually do, finding the gradients. It's mostly flat, with a lot of climbing towards the end at around 4 percent and 10 percent for the last half mile. It's 120m of climbing overall. I took the distance and calculated an average gradient (1.73 percent for 7.5 miles), input my weight (186 lbs with hip pack) bike weight (25 lbs), riding position (drops) and my typical times to complete (27 minutes average with stops, 24 when I don't hit any red lights)
I got 240 watts for 27 minutes and 290 watts for 24 minutes
Is calculating the gradient this way a reasonable assumption to get my average power in this case, and are these realistic power numbers?

Hello, I would like to share my progress and get some advice. Started at 266.8lbs I was overweight and now I'm 173. I would like to do a bodybuilding show (men's physique) in 5.5weeks but honestly I'm not sure given my current physique. I don't know where my current body fat is at, would appreciate any guesses or estimates lol. I have pectus with flared ribs which is why it looks like that. This is the leanest I have ever been in my life. I'm able to see ab veins but not much ab/lower ab definition. Will say this, feel like my body dysmorphia does mess with me a good bit so I can never really have an understanding of where my body is currently at. I'm open to hear out any advice and or suggestions/input. Thanks!

It’s only a week old so I know I’m waiting until August to start laser removal. I ordered some make up to hopefully cover it up for now I also got a bandage that allows for easy hiding and I would rather wear that than see this tattoo that I hate so much. I found a place in my area that has excellent reviews and they use both q switch and pico depending on what they think you need (maybe even both). I haven’t talked to them yet but they have an estimate calculator online and it says about 10 sessions total for total removal according to the info I input. According to their website you go every 8 to 12 weeks but of course that would be discussed during my consultation. I just want this done and gone but I know it’s going to take time.

Forgive me if this is the wrong place to post this, but there seems to be little in the way of what I would consider reasonable storm preparedness without getting into overpowered whole home compound backup solutions. I live in the south in a sizable neighborhood powered by URD, so we don't have power outages often but being in a hurricane zone does mean there's potential for several days' outage.
I have 10 year old solar panels on the home, but I'm given to understand that if I were to put a whole home battery on it I'd have to have a new inverter and/or the panels rewired. For the cost of that (and how quickly the technology is moving) I think I'd be okay waiting another 10 years and just replace the whole system. In the meantime, I have a 1 kWh Ecoflow battery and a 2200w suitcase generator. Current strategy when the power goes out is to use the 1kW battery to power a few lights, the refrigerator, deep freeze, and WiFi/TV until the storm has passed, and then switch out to the gas-powered generator and run all that plus a small 5000 BTU window AC after the storm passes. But this involves running heavy extension cords from one side of the house to the other.
I've seen that GoalZero has a transfer switch with four circuits that's not too unreasonably priced. The main panel is in the garage, so probably not ideal to store a battery long term. But I could run 1) Master Bedroom/Window AC/Wifi/TV, 2) Refrigerator, 3) Garage DooDeep Freeze, 4) Microwave (of course, I know I'd have to turn everything off to run the microwave). I do have concerns since the Goal Zero transfer switch is only a 15 amp input on it, not sure if running a window AC, refrigerator, and freezer would be too much for it.
My question is... Would it be foolish to have such a small transfer switch installed to use what I've already got without the hassle of running extension cords? It would open up the possibility of replacing the Ecoflow with one of GoalZero's larger batteries for a few thousand. Or, for the expense, would it be better to install something like EcoFlow's smart panel that switches over power automagically? Or is there something that I'm just not seeing here where I could utilize these big solar panels on the house in a power outage, since it seems they're completely wasted in that case?

We are currently building a website, however none of the dev team/PO/UX have any experience with agile. The process is waterfall (at best). I am acting in the scrum master role.
The website is a replica of an already existing one however some functional changes and some design changes. This means that the PO sits with UX and comes up with designs for the new pages. These designs are then handed over to the devs (3 of them) who then spend time during a "refinement" to go over the designs and pull components out of them that need to to be worked on.
These components are then put in the backlog and "estimated" and then get pulled into a sprint.
I don't even know where to start with this setup. Some things that are missing:
I've recently joined the team and meant to be acting in a scrum master role but there is no scrum happening and I have no idea where to start.
How do I tackle the issue of having designs already done up front, but that they are not based off any requirements and that we then retroactively refine them into tickets and add the specs? Seems insane to me.
Any help/advice/guidance is very much appreciated!

Posting here for visibility. Not sure if anyone here will have thoughts. I posted on fireplaces but didn't get any input. Any help is appreciated (or suggestions for another subreddit!)
I''m shopping for a fire table for my covered patio.
Patio is open on three sides. Ample ventilation.
The ceiling is steel framed with aluminum soffit type material for the ceiling. The total ceiling height is around 11 feet. So combustion of the ceiling isn't really a concern.
I'm having a really hard time understanding the manufacturer specs for various fire tables and how they relate to covered patios.
The ones I'm looking at are all in the 50k to 60k BTU range.
Some manufacturers say you need a minimum of six feet overhead clearance. Some say eight feet. Some say ten feet. Some say the appliance can't be located in a covered area whatsoever.
I totally understand the need to ensure safety but I'm scratching my head over this. I'd assume most 50k BTU appliances give off similar heat rising vertically. How can specifications for permitted overhead clearances vary this much?
I'm not asking this as a criticism but genuinely curious. There must be something I'm missing in my analysis.

Is this 'normal' or negligence?
In Nov 2022 we hired a company to replace our hot water heater. We had come into some issues during install. Resulting in the placement being a smallemore expensive unit.
Yesterday the same company had their plumber come out to flush our unit and inspect our plumbing. Plumber stated that the two areas at the top were leaking. This is Resulting in corrosion at the junction between the unit and pipes. We spoke about time frame and them being the installer and he agreed it likely was something they'd either replace the part (he used the term nipple for the part), but he also seemed confident this was either due to negligence or failure of the part and may even be grounds to replace if we made enough noise.
Tried to provided picture of proximity to HVAC if that helps. Pictures of issue were after my husband followed instruction to clean off build up. Which also had the blue green build up, which I've been told before is from leaking.
Plumbing manager called us back and blamed condensation and dust build up. Now I feel like I'm being lied to. Our concerns being brushed off is not new.
We have given this company an excessive amounts of money in 2 years. We have replaced 2 HVAC, this unit, and additional smaller jobs.
I already know this company lost money on this job. We signed an estimate for a standard sized unit and they honored the price even with the last minute, more expensive unit.
If 'normal', as a home owner how can I improve this? If not normal, is this an easy part or am I fighting for replacement?
I'm also being told that the "dual shut off" at the top makes no sense as to why they would not remove the old one. And the old one is now leaking a bit. If they end up doing work here already, is it insane to bring this up as an issue as well? Or is this plumber just a little bit of a "petfectionist?" Because I see that as a possibility too.

My primary goal is to have the best sound quality in Microsoft Teams. I understand that using a cable instead of Bluetooth is better, as Bluetooth doesn’t even allow me to select A2DP or SBC-XQ once the microphone is activated. And if the output quality deteriorates so much, the input via Bluetooth won’t be great either. Sure, I could test each microphone by recording a short sound clip to find out which sounds best. Additionally, I’d like to have the option to suppress background noise if possible. In the office, it’s very disruptive when nearby colleagues are also on calls, causing feedback. At home, I’d prefer if my young daughter’s loud interruptions were not picked up.
For Discord, we regularly host an online book club with friends. Three friends share a laptop, which is awful because Discord’s voice detection cuts off the first few seconds of each new speaker. My wife and I use separate PCs to avoid this issue. Now, a new person will join us on-site, meaning there will be three of us in one room and the other group in another room. We’ll be seated in front of the webcam, whether at the desk or in the living room with the PC and webcam connected to the TV. I can’t estimate the distance yet.
When I connect the headset with a cable, Microsoft Teams gives me these options:

The second microphone one does not seem to work. OthersS won't hear me. What are them?
My priority is the work scenario. Audio settings in the browser are much more limited than in the Discord desktop client. In general, I’d like to know if there are any tools to optimize voice recognition and noise suppression?
Additionally, with output on Ubuntu with headset and cable, I hear a constant background hissing. When I open audio settings in Ubuntu, I hear one crackling sound and the hissing is gone. When I close the options, the hissing is back. When I am in Microsoft Teams and the headset is in use, the hissing also is gone. I can only put the hardware in transparency and noise-cancelling mode. Normal is not available, at least on Linux. On Android with the App, I think the option is available. Is there a solution for that.
Are there any extensive tutorials for Audio setup on Linux that explain different audio server, codecs, connection methods and tools how to manage is effectively?

Genre: Fighting Game
Estimated year of release: sometime in the 2000s, had a saved version with the old pink diamond flash logo
Graphics/art style: The battles took place in a white 3d box-like arena, the characters themselves were made up of white segments with a ball for the head & hands, and rounded triangles for the feet I believe, overall it was very minimalist looking. Graphical effects like the fireball or the beam attack were just drawn with simple gradient-shaded spheres, cones & cylinders.
Notable characters: There were not really characters to speak of as it was mostly a multiplayer 1v1 game and had the aforementioned minimalist graphics. (2 people on one keyboard), I believe you could customize the head of your character though
Notable gameplay mechanics: It worked somewhat like e.g. Street Fighter, you could walk forward/back, jump, light attack, heavy attack (believe it was a button hold), and guard. There was also some special input melee attacks you could do like a back-flip kick. There was also a "magic/psychic abilities" toggle, if you turned this on, you would unlock new abilities after a certain number of matches, lvl 0 was flight (double tapping up i believe, put you in a free-movement flight with legs dangling straight below you); then a fireball (hold attack, back, forward) which could be guided by holding up or down, then a "beam of pain" (?) which was similar to a kamehameha (hold attack, back, up, forward), some other moves i can't remember but i believe one was an "install" (temporary powerup). I think it was still possible to do these without unlocking the tutorial for each one.
Other details: Matches started with a 3,2,1, countdown. I don't think there was any music during actual gameplay, only during the menus if at all. When you hit your opponent or vice versa it knocked their head back kind of like physics-styled.

Hi all,
I’m an incoming anesthesia intern and I’m setting up my investment strategy for the coming decades. I’ve read the WCI book, bogleheads guide to investing, and the four pillars to investing. But I’d love to also get some advice and input from a modern crowd given those books were written a good while ago (and more data points are always better)
Currently my rough approach is going to be the following breakdown using vanguard index funds. I’m pretty confident that I won’t ever touch the money in a bear market at least the first 20 years. So I figure I’m gonna go aggressive when young and by not touching it I know it’ll come back well before I even start looking at retirement:
(Age 27-42) :
70 US stock (40% value, 60% total market)
30 international stock (total international)
(Age 42-48):
55% US stock (40% value market fund, 60% total market fund)
15% International Stock (total world fund)

In residency I’ll be using a matched 401k through my program and investing ~15% of pay to retirement.
I plan to stay in academics because of my interest in peds/peds cardiac which would entail the state pension plan as an option down the road as well as PSLF for loans.
Financial situation: My fiancé is a lawyer making ~250k at the moment. Shes got about 500k in retirement savings and 500k worth of equity in the apartment we are selling (moving to HCOL area we plan to stay long-term due to family so will rent for a year and buy a permanent home for ~1.2-1.5 million). Currently she puts about 80k a year into investment accounts. She has no interest in finance so has been having an advisor managing it but after we are married and settled in the plan is to handle it ourselves (i.e. me) to save on the fees of ~0.9%.
Goal is to hit 11 million by 62, and draw 300k a year (a number I got from a VERY generous budget I created for mid life and then subtracting the costs of retirement contributions (plan 5500 a month which is 15% of our estimated income), mortgage, and college funds. I don’t plan to ever fully retire but go part time and fade back until it’s not safe for me to work in some capacity.
Not sure if this approach is overly aggressive given our starting point financially and future income.
Sorry for the long post. Any advice from peeps with a few decades of life experience ahead of me is appreciated.

Hi all, i’m looking to add a circuit/breaker to my box in the basement for the window AC unit that’s going in my computer room (that way it’s on its own dedicated circuit). Attached is a picture of what the sticker on the window unit says. My question, (based on the sticker)- Does that mean I would only need to add a 15A breaker to the box? We were planning on adding a 20A breaker with 12 gauge wiring, is that a bad idea?
Additionally, our house was built in the 1950s and as far as I can tell none of the existing breakers say that they’re AFCI, i’m assuming with updated building/electrical codes this new breaker i’m installing would have to be AFCI? Is this correct?

When I run behavioral simulation, I get an unknown output x from the Divider Generator, even though the input data is valid. I'm guessing that I'm implementing the division wrong with the IP, but does anyone have any idea what I might be doing wrong? I hardly did any coding about the Division Generator and most I did was connecting the input an output ports.

Hey guys! I recently got off of the UCSB waitlist and I'm looking for input on which school to choose. I'm majoring in EE for both schools but I'm unsure of what specifically I want to do with the degree.
I'm aware of the housing situation at UCSB, and housing and food seem to be of better quality at UCD. UCD would also be a lot closer to home since I'm from the bay. UCSB however is estimated to be cheaper for me, and seems to have more fun stuff to do on the weekends.
I'm most interested in what academic life is like at UCSB and how available careeinternship opportunities are. What are the respective schools most known for in engineering? How difficult is it to do well in classes and how good are the resources for students?
If there's anything else I should know before SIR let me know as well. Thank you all for the help.
