No international response. Probably because Vinfast does not want the news to get attention in the US (its typical behvior of censorship) but it could also show that it is not confident in the case. Vinfast can say false thing in Vietnam but in the US, watch out for false thing you say, they can and will be used against you in court. 2/ The Vinfast's representative is Ho Ngoc Lam, Vinfast Chief Legal Officer. This is the same woman who refuted the possibility of the class action lawsuit back then in late 2023 (of course she had to say so). She now claimed Vinfast has paid the rent and SPG lied. There is a security deposit of $300,000 due 7 days after contract signing. Vinfast likely paid these. There is rent (about $200K) and operation cost for the center ($100K) and another $37K for tax and $12K for Merchant associate. So maybe Vinfast only paid the rent and not the operation cost, tax, and merchant associate (because it did not used the premises). Maybe Vinfast did not paid anything at all thinking they would use the Security Deposit for the rent payment (not in America). Maybe Vinfast even paid the rent but without the proper description (maybe negligience) and so SPG can claim Vinfast did not pay, so they can sue Vinfast. But note that SPG said "Vinfast know the request and refused to pay despite the demand by SPG", and I trust SPG. After all, SPG is an American luxurious mall in San Francisco with a long history, and despite a small market cap, SPG are more trustsworthy than the "billion dollar" Vinfast from the shady Vuong Pham. Vinfans will junp to Vinfast's words as if it is true, but we know even Vuong Pham and Thuy Le lied repeatedly so it is possible that Ho Ngoc Lam lied too, using dubious and ambigous legal words (for example, she said Vinfast has paid the rent but it is not clear how much, Vinfast might just partially paid it). The fact is Vinfast is sued by SPG, this is a fact, and Vinfast is welcome to (has to) present its evidence in the court. Ho Ngoc Lam's interview is not legal and does not change anything. 4/ On the ArcelorMittal lawsuit, Vinfast says: "However, essentially this is a problem that arose between ArcelorMittal and VinFast's supplier. VinFast purchases aluminum-clad steel components from a reputable supplier. This is also the steel ArcelorMittal claims it holds the patent for. However, our supplier affirms that it does not violate the intellectual property of third parties and commits to compensate if VinFast suffers any damage due to alleged intellectual property infringement related to this component." What is the name of the supplier? Likely a Chinese one. So, Vinfast has to admit that it buy steel from China. The Chinese might say they have patents and no violation of IP. A reddit member said it was Baosteel and the Chinese claimed they have their own patents. If the Chinese supplier refuses to help, Vinfast is toasted as ArcelorMittal clearly has the evidence: it bought a VF8 to examine the steel. If the Chinese agrees to help, Vinfast will have to disclose its name. The litigation will take time but will drain Vinfast resources further and cause bad publicity. Because the sale to Vinfast is so small (only 35K EVs in 2023), the Chinese supplier might choose to abandon Vinfast and even stop supplying the steel and without the steel, manufacturing will halt. So again, what Ho Ngoc Lam said won't change anything, not yet. Vinfast will have to pay the consequence of not paying ArcelorMittal after having been notified by Mittal back in Dec 2022 in one way or another. There you go, the analysis of Vinfast's response. |

The project contains several low-sulfidation oxide gold-silver epithermal veins that are peripheral to an altered rhyodacite intrusion emplaced into Jurassic-Cretaceous intrusive and a bimodal package of volcanic rocks. Two of the veins historically produced a total of 6,900 ounces of gold and some silver. Since 1980, the property has been drilled by five companies, with 154 drill holes totaling 7,315 metres. In 2020, Gold79 completed an extensive mapping and sampling program at Tip Top. Soil sampling revealed multi-kilometre gold-in-soil (Figure 1) and mercury-in-soil (Figure 2) anomalies trending Northeast from where most of the drilling has been completed. Mapping helped identify structural controls of the gold mineralization (Figure 3). Handa: My impression of the work known as Kamen Rider 555 changed after filming this movie. Previously, I had a rather dry impression of the show, calling it "my debut work" or "my first job after moving to Tokyo", but with the developments of recent years and the fact we were able to make this 20th anniversary movie, I realized that it was a necessary part of my life. It was one of the most special jobs I've ever had the pleasure of working on. Haga: I think of 555 as my youth and starting point, and that hasn't changed even after 20 years. But once I go to the Kamen Rider filming set, I feel like a child. When I meet the director and staff, I am instantly transported back to those days. And it feels good. Handa: I get it. I'm almost 40 years old, and as I get older, the sensibilities I had in my teens and 20s tend to fade. I wonder what I was thinking and how I was living back then. But when I'm with Haga-san or when I go to the Kamen Rider set, it instantly comes back to me. That feels strangely comfortable (laughs). Haga: That's right (laughs). Handa: It's not good for this to continue forever, but I think it's good to have moments like this every now and then in life. You two have both appeared in the Kamen Rider series since 555**, but surprisingly this is the first time you have worked together since then.** Haga: Yes. It's been 20 years since then. Handa: We've been together at events and such, so you might get the impression that we've often worked together, but this is the first time we've appeared in the same work since 555. Haga: But it doesn't feel like it's been a while. If anything, I'm more like "What?! It's already been 20 years?" Handa: It feels like it happened just yesterday or the day before yesterday, when we were testing cameras, deciding on settings, and talking about silly things in our free time. Haga: It's a feeling you won't find in any other work. When did the two of you learn about the project for this Paradise Regained movie? Handa: For me, it was when I appeared in Good Morning, Sleeping Lion 2 starring (Seiji) Takaiwa-san, which was released in April 2023. At the filming set, someone from Toei told me "We'll be doing it next year, so thank you for your cooperation". I was focused on that filming when he suddenly told me, so I was a bit shaken (laughs). However, I was happy that what we had hoped for came true. What do you mean by "what we had hoped for"? Handa: When the 555 cast members got together some time ago, we talked about how it would be great to do something for the 20th anniversary. However, it is impossible for us to make a movie on our own, so all we could do is show our determination. I only told Toei of my determination: "if you ever want to do it, I am ready". Haga-san has appeared in Kamen Rider Genms -Smart Brain and the 1000% Crisis- and Kamen Rider Outsiders as Mari and Smart Queen, but were you aware of this at the time of filming? Haga: At that time, there was no such talk, so I'm glad we had the opportunity to convey our intentions. Handa: That's right. If we hadn't said that, the work wouldn't have come this far. I think we would have gotten an commemorative event at most. Haga: When I learned that May 5, 2020 would coincide with the 20th anniversary of 555, I felt that it was fate that the number "5" would be lined up so miraculously. But to be honest, even if a new work was made, I thought it was going to be at most a collaboration with the latest Kamen Rider, so I never thought that we would be able to make a standalone 555 work. Handa: I was certainly surprised that they would make such a large-scale work that would be released in theaters. Takumi's death was confirmed in Kamen Rider 4**, but what were Handa-san's thoughts on playing the role of Takumi this time?** Handa: I think of Takumi from the TV series and Takumi who guest starred in subsequent works as separate entities. If you don't interpret it that way, you'll end up worrying about parts that don't make sense. That's why I don't think of No. 4 and this movie as being connected. In the first place, after No. 4, I also appeared in Kamen Rider Zi-O. Even at that time, I didn't let No. 4 weigh me down, and instead only played my role of Takumi of the world of Zi-O. Haga-san also played the dual roles of Mari and the Smart Queen in works such as Outsiders**, but what were your thoughts on playing the role of Mari this time?** Haga: Even before that, I had appeared in Kamen Rider Kiva and Decade, but it was the first time in 18 years that I played Mari. I was surprised and thought "I haven't played Mari in that long?" But that's because for the past 20 years, I have been called "Mari-chan" here and there. Handa: That's right (laughs). Haga: Outsiders was not written by Toshiki Inoue, and to begin with, I played the Smart Queen role more often than Mari there, so in that regard this was the first time in 20 years that I played the post-555 Mari. What did keep in mind when playing Takumi and Mari of 20 years later? Handa: This is similar to what I mentioned earlier, but 20 years is just the passage of time in the real world. Although this movie takes place a long time after the TV series, there is no clear setting for how many years later. I don't remember being scolded by Director Tasaki. I've worked with him on many other works (besides 555) such as Sh15uya and Kiva, so of course I know of his tough side. Even when things were tough, we overcame them and made it through as a group of members that wouldn't be complete with a single person missing. Haga: He is like a guardian to me. Also, Director Tasaki's acting instructions are very easy to understand. Handa: He's good at explaining things, without using emotional arguments. Haga: He is watching the set carefully. Handa: He's very considerate. If it's cold at the filming site, he'll say things like "put a blanket over him". Haga: The very first scene we filmed this time was on the roof of a building, and he remembered that I was afraid of heights. He was really considerate and told me "you'll be fine at this height" and "there's a fence, so it's okay". Handa: I think the director was impressed by Haga-san's talent even back then. That's why you're still treated with courtesy even today. Haga: No, no, no! I was 15 at the time. Handa: Now that I think about it, there are no 15-year-olds like Haga-san. Please give us your impressions on co-starring with Kouhei Murakami-san (Masato Kusaka), Mitsuru Karahashi-san (Naoya Kaido), and Ray Fujita-san (Kitazaki/Dragon Orphnoch) in this 555 20th anniversary movie. Handa: Though I worked with Murakami-san in Heisei Rider vs. Showa Rider: Kamen Rider Taisen and Zi-O, I thought it was really nice to see Takumi and Kusaka together. Karahashi-san was a key person in No. 4, so it was really only Fujita-kun who I met for the first time in 20 years. (After seeing him) I thought he too had become an adult. Haga: Fujita-kun was a child even to me at the time (laughs). Also, Murakami-san loves Kaixa so much that he hosts a fan event called 913 (Kaixa) Festival. He also invited me there, so I regularly watch him play Masato Kusaka (laughs). Handa: No, no, 913 Festival's Masato Kusaka is way too exaggerated (laughs). But it's amazing that he took Kusaka, a role that would normally be disliked by viewers, and turned it into a character that is loved so much. I think this is the result of Murakami-san's personality and hard work. Haga: It seems that there are many people have come to like him after all was said and done. That Masato Kusaka (laughs). I guess his hair is shorter now? Haga: He always tries to sneak ad-libs during the actual takes. And everytime, the director would stop him and say "(you) don't (have to) do that!". Exactly the same scenery as back then (laughs). Handa: It's fine to stay together with him for a day or so. He's pretty interesting after all. But every day is tough (laughs). Haga: It would stop the filming from progressing (laughs). Handa: It must be difficult for his wife (laughs). In this work, Next Faiz, a new form of Faiz, appears. Please tell us your impressions after watching it. Handa: When I first saw the design drawings, I thought it was an excellent design. While making the gimmick modern, it remains Faiz-like. I was impressed that they were able to create such a difficult design. I liked it at first sight. Also, while matching the old Faiz, the colors have been slightly changed. The red that used to be deep red has turned vermilion, and the silver has also become darker. Haga: I think the fact that the Faiz Driver, which used to need a flip phone, was upgraded into needing a smartphone, was only possible because 20 years have passed. - [DIVS] VistaREIT Q1 dividend drops 23% q/q... VistaREIT [VREIT 1.75 ▲0.6%; 0% avgVol] [link] declared a Q1/24 dividend of ₱0.04132, payable on June 27 to shareholders of record as of June 5. The dividend has an annualized yield of 9.4% based on the previous closing price, which is considerably smaller than VREIT’s pre-dividend yield of 12.3%. The total amount of the dividend is ₱310 million, which is 100% of the ₱310 million in distributable income that VREIT declared for the quarter. Relative to VREIT’s IPO price, the div increased VREIT’s total stock and dividend return to 18.55% (up from 16.19%). The VREIT Q1 dividend is up 5.4% y/y, but down 23.2% q/q.
- MB: I don’t know enough about VREIT to understand the quarter-on-quarter drop. This is the first dividend decrease in VREIT history, so we don’t have a past narrative of a Q4 to Q1 dip to gain comfort that this is just part of the regular business cycle for a malls-based REIT. Last year, VREIT’s dividend actually increased 1.5% between Q4/22 and Q1/23. But a 23% drop? *FILRT** be like: VREIT, I owe you an apology, I wasn’t familiar with your game. Does anyone have context to help me understand this one?*
- [UPDATE] Ayala Land sells ₱3.2-B worth of AREIT in block sale... Ayala Land [ALI 29.00 ▼2.4%; 121% avgVol] [link] disclosed that it sold 98 million common shares of AREIT [AREIT 33.00 ▼3.4%; 848% avgVol] in a private placement block sale at a price of ₱32.45/share. ALI said that the transaction was two-times oversubscribed at the clearing price, which was 5% under AREIT’s closing price from the previous day. The transaction raised ₱3.18 billion for ALI and increased AREIT’s public float to facilitate the planned property-for-share swap between ALI and AREIT.
- MB: While I didn’t know exactly when this second block sale would happen, I did know that it was going to happen and I speculated back in January that it would probably come as a surprise and at a discounted price to AREIT’s market price at the time. Here’s a link to that analysis if you’re interested. At the end of the day, the first sale was at a 7.2% discount whereas this one was only at 5.0%, and the public float is now prepped to handle the SEC’s eventual approval of the transaction (whenever that happens) without plunging AREIT’s shareholders into chaos and confusion like what happened to *SP New Energy** [SPNEC 1.05 ▼0.9%; 85% avgVol] when the SEC approved its share swap and caught Leandro Leviste’s management team flat-footed.*
- [NEWS] Figaro confirms ₱1-B FY24 capex and “double-digit growth” target... Figaro [FCG 0.75 ▲1.4%; 95% avgVol] [link] confirmed statements made by its Chairman, Justin Liu, in an interview with Manila Bulletin. In that interview, Mr. Liu said that FCG’s FY24 capex target is ₱1 billion, that they’re looking to open 70 to 80 new stores this year, and that he expects this expansion effort to push earnings to grow “double-digits” this year. FCG confirmed all those statements. FCG’s indicated that it would expand from 150 stores at the end of 2022 to 300 stores by the end of 2029.
- MB: According to its Q1/24 press release, FCG ended 2023 with 203 stores after adding 68 stores that year. If FCG were to put up another “70 to 80” stores this year, that would leave it with 273 to 283 total stores by the end of 2024, and give FCG plenty of time (5 years!) to complete the remaining 127 to 117 stores. Usually in the quick service restaurant world, periods of intense growth don’t correspond with periods of great profitability, so the “double digit” earnings growth target is what stands out to me the most. FCG net income was up 7.2% y/y last quarter, and that’s actually considerable given the previous year’s expansion and the current expansion, but that’s not double-digit growth. One thing that confuses me, though, is that in its Q1/23 quarterly report from a year earlier, FCG said that it ended 2022 with 150 stores. If it had 150 stores at the end of 2022 and then added 68 stores in 2023, shouldn’t it have 218 stores by now, not 203? I know, I know: 15 stores isn’t that big of a deal. Maybe it’s just a miscommunication between marketing and operations. Maybe there was a little bit of internal pressure to count 15 nearly-completed stores as completed stores in order to hit that IPO prospectus goal of 150 total stores by the end of 2022, and then they double-counted those 15 stores as part of the 2023 completes? I don’t know. I’m just going by the info they tell me. Any readers have any insight?
- [UPDATE] Alliance Global injects ₱2.6-B into Megaworld... Megaworld [MEG 1.89 ▼0.5%; 156% avgVol] [link] clarified the recent subscription of its parent company, Alliance Global [AGI 9.30 ▼2.8%; 185% avgVol], to 1.375 billion common shares at ₱1.90/share to say that it is part of a plan to increase MEG’s outstanding authorized capital stock by ₱5.5 billion (from ₱40.2 billion to ₱45.7 billion). MEG explained that it “intends to submit its application for increase in authorized capital stock... by around June 2024”, and will list the shares issued to AGI once the full payment of the subscription price is received. MEG said that the purpose of the sale and the larger transaction is for “supporting growth and future business expansions of [MEG] in line with [MEG’s] strategies and directions.”
- MB: Once approved, this will give MEG’s management team 4.125 billion common shares that it can sell to fund its ambitious capex for FY24 and beyond. If MEG sold the remainder at the same ₱1.90/share price, that would bring in an additional ₱7.8 billion. If I were a shareholder, I’d be less concerned by the details of the transaction as I would be about the meaningless word salad of the rationale behind it. I know many MEG shareholders who are frustrated with the stock’s laggard price performance. MEG just recently touched a 12-year low, and is trading at prices that the stock has not seen since early 2012. It’s down 4% year-to-date, down 8.7% over the past 12 months, down 34% over the past 3 years, and down 69% (not nice) from its all-time high that it set back in July 2019. What’s the plan? So far it seems all I hear is “townships townships townships” but that “strategy and direction” hasn’t been profitable for shareholders for almost 5 years now.

It primarily produces copper-zinc-lead concentrates with precious metals credits. In Durango State, LUCA's Tahuehueto gold and silver mine, located within the Sierra Madre Mineral Belt, is still under development. This region is known for its numerous producing and historic mines. Today, Luca Mining announced a significant milestone at the Tahuehueto Gold Mine, with new high-grade gold mineralization over considerable widths confirmed. The pre-feasibility study for Tahuehueto identified maximum vein widths of 8.4 meters in the hanging wall and 6.5 meters in the footwall vein splays on Level 23. Actual vein widths are comparable, with 4.9 meters in the footwall and 9.5 meters in the hanging wall, although detailed vein geometries vary. The footwall splay has been exposed along a 160-meter strike and shows excellent continuity. Channel sampling of the southwestern extent of the vein-breccia zone, about half of the fully exposed footwall splay, indicates an area extending 200 meters laterally by 230 vertical meters based on diamond drilling. This area remains open at depth and to the northeast and southwest, and these targets are included in the ongoing exploration program. LUCA's latest discoveries at Tahuehueto underline the potential of the mine and the company's commitment to growth and shareholder value.
