[Subject Memory Transcription: Rux Limpbut, Venlil News Anchor and TV Show Host]
Date [Standardized Galactic(?) Time]:August 1st, 2136
Now I'm regretting not taking that transfer last week. This just keeps getting better.
I was in my car outside of the Network’s station. I was at my wits end yesterday and was trying my damnedest *not* to freak out on air. Now? Now I had the pleasure of my network telling me they needed me to come in way early to report on some breaking news. Just as I was about to leave for Solgaliks sake!
I took a small sip of the “coffee”. Now this was a blessing, coffeehouses on Gaia were open paw around, no matter what. I was giving a small prayer to those “ancestors” for their love of anything strong. Well, anything strong that wasn't alcohol. They could stomach one drink or two but after that? They were out.
Slurrrrrp
I let out a relieved sigh as the warm liquid flowed down my maw, the reward of caffeine soon following after this. Hopefully in time for the recording. With that I opened the door, grabbing my briefcase as I greedily drank the rest of the coffee as I approached the wide doors of the Networks station.
They creaked a little as they always did as I appeared in the doorway, a sleepy, overworked ghost. I tossed the coffee cup into the trashcan by the door as I nodded over the after work plans that I had to either postpone, or completely not do.
No bar time, going to be too tired. Not going to have enough time to do more digging in what that Farsulian diplomat released, even after it's been nearly two months. Brahk. Still need to be ready for the shift tomorrow-
“Rux?” The front desk secretary pulled me up and out of my thoughts as I blinked a couple of times, my ears raising as one of my eyes focused on her, a bit frizzled from the overtime I was clocking at the moment.
“Hm? Oh. Hey Liakal, caught me off guard almost as bad as the padcall I got. What's up?” I rubbed my eye as I fully focused on her, making my way over to her.
“Well, whenever you're ready for them they'll give you all you need, apparently, when you get into the studio. What they told me is uh, it's not a pleasant amount of news.” She nervously played with her claws and her headset, her lips quivering a bit.
“That bad? Speh. What about that uh, guest? She gets off-”
“O-oh! Mrs Tarva. She got off the planet easily. I can't say anything else though Rux. They said whatever they have to tell is very, very pertinent not to be let loose until you broadcast it… sorry Rux.”
I patted the top of the semi circle desk that Liakal was sat into, before giving her a quick, albeit small smile with a finger gun before I quickly deflated. It was that bad. With a nod from me I departed into the hallway to the left of the front desk, approaching one of the elevators.
A button press, a chime and the feeling of gravity and anxiousness about to make me hurl later, I was on the floor with the studios. I retraced the steps I had taken only claws before to mine. The green sign saying “Predator Problems” told me I hadn't failed as usual. Something had to be done with our program and segment name, if for nothing else there was apparently much more juicy stuff to talk about.
Opening the door, I expected the hustling and scrambling of the cameramen, the lighting crew, audio specialists. But nothing except a small huddled group of uniformed men. Brahk, I was hoping this wasn't the case but I was never that lucky. I resigned myself to fate as the group finally paid attention to me, and the door clicking and shutting behind me.
“Mr. Rux. Please come over here and sit. You're all good, we just need to go over what we need you to announce in this upcoming impromptu broadcast.” Why the hell were the Gaians on Prime? Wait no. That's not the problem. Why are officers from their military here? Oh stars.
However I could feel my body coming towards the oval shaped table. Eventually knocking into a chair and pulling it out, resting my briefcase onto the ground and taking a seat, pulling up to the desk. I rested my paws on it as I gave a look to the group assembled around it.
All were wearing roughly the same uniform, their fur patterns one of the only differing things between them. Aside from the one at the end of the table. They wore a green beret atop their head, nestled in between the horns that adorned it. They cleared their throat and slid a small packet of papers towards me, startling me a tiny bit.
“While I wish to be polite and respectful, there's simply no way to say this without being blunt. Sole Speaker Jikem is dead. With the current atmosphere on Gaia we thought it'd be best to announce the formation of an emergency government and a leader to head it. All of which has been done in a roundabout manner so as to not alert any radicals or terrorists.”
I had only taken a cursory glance at the front of the small packet before that bombshell of an information was dropped onto me nonchalantly. My paw was halfway to the front page to turn it before my gaze looked up at the Gaian at the end of the oval table who had done so.
“What? Sorry can you-”
“Rux. Come on, you know what I said. Now, I know it isn't everypaw that you get to report on the death of a head of state, let alone be the first one to do so. I'll most certainly give you that. So, we'll give you some time alone…well mostly, to get acquainted with the packet and once you and your crew are roaring to go we'll release the news to the Commonwealth.”
I took a small lookover of the second page but had to pause for a short moment again as I took it in. Yes, yes I did have some questions. Half from the large info dropped on me and the other half that I was now reading with my very own eyes now.
Before they could fully get up I had worked up the courage to get a short clearing of the throat and read out of the lines in the packet out aloud after I had decided it would be better to ask now rather than after. “In conjunction with recent attacks the Armed forces has decided to-” I put down the packet in its entirety now.
“What in the stars could you possibly mean by “safeguarding” democracy? This just seems to be some type of justification for a military takeover. I mean, who's going to fall for this?”
The chairs of the small clique of officers seem to find themselves filled once more as they returned to their positions, most of them now gazing between me, some random crew member scurrying near me and the head honcho with the green beret.
The intensity of the stare of the Gaian at the opposite end of the table seemed to intensify, seemingly his gaze looking through me. “Mr. Rux, I can assure you any such speculation to that matter and that, frankly, justified if albeit imaginary fear is going to be the last thing people on Gaia are going to worry about. Alright?”
I anxiously nodded back, sighing. “L-look I'm just-”
The Bereted officer seemed to nod while holding up his paw, my line of reasoning and thought being stopped by the intrusion. “Worried, you ancestors are always worried. It's why we're here, yes? Anything too dangerous or otherwise unsafe we've always volunteered for so as to save our more cultured self from such. Think about this announcement like that. A warning and an update from our side of the Commonwealth about current affairs, nothing more, nothing less.”
With that it seemed settled for the time being, as the small clique once again rose, and this time was actually able to depart to the booth that overlooked the studio, keeping what I was sure to guess a keen pair of eyes to observe anything.
I settled into my seat more as I gave the small packet a read. It was general stuff as of this point when it came to announcements. Why it's happening, what happened in more details, what they planned to do in the upcoming future, all that juicy stuff. Overall a very plain, if very informative script to go by. Still, being the first to announce the death of a head of state via “Unnatural Causes” would make even some of the most resolved Gaians a bit jumpy, yes?
Once I finally gave the entirety of the packet a quick read over I sat it down giving a glance to my, by now, very familiar set that we used for “Predator Problems”, the entire reason for why I had started it had been to educate and warn people about what to do with predators and the like. Now I was going to have to educate them, apparently, about the fact that our “brothers” in species so to speak were having a bit of topsy-turvy time on their capital planet. Now I was kinda hoping I was one of the more conspiracy theorist nut jobs just so I didn't have to get contacted.
Resigning myself to fate, and the fact that apparently I of all Vens was the most level headed to announce this, I looked over the studio, eventually finding the small group of uniformed men again. I got up and out of the chair as I made my way over to them, flicking my tail into a questioning sign as I did so, my approaching presence quickly noticed.
“Seems like you've got some questions, you read the packet though yeah?” One of them said, I simply signaled a yes with my ears to respond.
“So, is this immediately being aired? Or is it being aired later on tomorrow-well, this paw? Should it be the first thing or the last thing or is it the only thing I'm doing for this one?” With these questions the small clique seemed to talk in-between themselves, small glances were made in my general direction, they seemed to come to some type of conclusion though as they turned back to me, the bereted one now taking center stage again once more.
“Yes. It's being immediately aired. You do realize you are a bit of a celebrity on Gaia, yes? A special breaking news from you would certainly draw the right eyes. Then it'll spread from there. We do have other stuff for you to read, but it'll appear on the prompter. Other than that though we'll take our leave once everything is said and done.”
I gave a small thanks to Solgalik, as that would mean I would be able to go back home and get at least a claw or two of rest. Speh, if I just slept here I could get an extra one easy. But I didn't have much time to dwell on that, instead I apparently had a job to do right now.
With that bit of information I decided to go around, talking to the crew, who as of this point has finally settled down and has stopped scattering from the Gaians. A small conversation with each helped us plan out the next few tantalizingly painful minutes that were about to unfold live on air.
With everything and everyone in place, I took my seat at the curved table in the middle of the cameras, getting my little tie ready. With a countdown from 3, I settled into my on screen persona as the red lights of the cameras went on.
“Good Paw to everyone tuning in! I'm your host as always, Rux Limpbut, and this is Predator problems. This time though, we do have some breaking news that we need to get to. So with that being said, I suppose it's time for me to get to it.”
I straightened my back, placing my paws firmly as I closed my eyes, breathing in and then opening my eyes again.
Alright. Just gotta break the news that the head of state of the other half of our Commonwealth is dead and their Army just decided to seize power for democracy's sake.
“I have some sad, and what some can and should be saying is unsettling, news. Sole Speaker Jikem of the Gaian Cooperative, has died earlier this paw. Details are scarce and hard to come by as of this point, but from preliminary reports and investigations, it seems as though he *may* have been assassinated while at a checkpoint. As many of you know he was elected on a lockstep ticket with the current governor of Venlil Prime, Veln. He oversaw the last closing years of the Dominion-Federation war, as well as the beginning of closer federation ties. Many people are bound to ask as of this point what is going to happen, and the easiest and most truthful answer is…we don't know.”
I shuffled some papers, discarding the packet to the side of the table before continuing on with the information I was to spout out.
“Already reports are coming in that the Armed Forces of Gaia have declared a state of emergency and already there are rumblings that they have formed… an emergency government?”
I gave a bit of a confused look before continuing, I could see the group of uniformed Gaians nodding as I did so, apparently that was good enough for them.
The rest of the news report was generally a bit unsettling, or at least info packed by many people's standards. Updates on the federation at large, some reports on the status of the Venian Commonwealth and what was the plan going forward and before I knew it the red blinking light on the cameras had vanished, and the lights overhead had dimmed.
“Alright, that's good for us. We'll have one of our guys stay over the paw to help your team edit it but other than that? You can head on home.” The bereted one informed me, before signalling to one of the clique, most likely the one to stay here and “help” us edit.
I rested back in my chair and closed my eyes, I think it was time for me to get some shuteye.

Smoke billows out from the mouth of the Uniformed figure, a lit cigar cradled in his claws. He takes a survey of the trio gathered in front of him.
“So.” The figure grunts out, leaning back into his chair.
“So, what?” One of the trio asks inquisitively, shifting in their seat.
“So now what? Not many paws you get to make a masterstroke of a situation like this. Sole speaker is dead, people are looking to any type of stability and we perfectly fill the slot.” The Uniformed figure takes the cigar up to his mouth, smoking it lightly.
“Well there are numerous concerns.” The most center of the trio speak.
“Like what to do with those brahking predators that apparently still exist.” To the right of the first speaker.
“I vote we integrate them posthaste!” And finally the one on the other end.
A thick billowing cloud of smoke escapes the lips of the Uniformed figure, fidgeting for a moment before rolling forward. His face now fully lit.
“Gentlemen. Calm down. We have plenty of problems with plenty of solutions. But that's why you put me in charge of this little emergency government anyhow right? Levelheaded, warhero, clean political record.”
The trio murmur for a moment before returning a nod, the middle one piping up as he did so.
“Yes, that is why we decided to throw our towel in with you Marshal.”
The Uniformed figure now places his elbows on the table, his paws bridging each other while the cigar is still in-between in his paws.
“That's Marshal-at-Arms Jyuvernik to you. Now where were we? Ah right. The Dark corner. I want you to send a diplomatic team to assess the cattle debacle.”

In 1954 this could be easily illustrated by the attitudes of the public-at-large toward racial minorities over the preceding 100 years – shifting attitudes toward slaves and their descendants, as well as the previous 10 years – attitudes toward Japanese-Americans over the course of WWII.
As it turns out one of the most effective ways at reducing prejudice is “equal status contact between majority and minority groups in the pursuit of common goals.”
For slaves, their descendants, Japanese-Americans, and countless others across history, this contact has been stained with blood and tears. But contact it was nonetheless, and our stigma toward these “out” groups declined overtime as they became part of the “in” group. They became ‘American’ and their “out” group identities and goals have become, and are becoming, less stigmatized.
Today, I believe we are watching this dissolution of stigma play out en masse on the world stage. The funny thing is that this time, all of humanity is part of a microcosmic “out” group and the aliens in their UFOs are part of the macrocosmic “in” group trying to get us to adopt their goals. What then, is so unsettling about humanity that they take such a slow-going route of stigma dissolution? Why don’t they just introduce themselves as equal status individuals?

Attitude Rebound and Stigma
A few days ago I made the same post in both UFOs and Aliens. The post contained what I thought to be a reasonable, logical hypothesis that could easily explain away all paranormal phenomena… Yes, all paranormal phenomena. The post got about as much attention in each subreddit, however the reactions to its content was drastically different on each subreddit.
I will admit that I was being a little overzealous in my efforts to “raise the consciousness of humanity” and was proselytizing to some folks in the comments. My B 🙇🏻. What I found very very interesting, however, was how commenters on UFOs were much more critical and reductive than commenters on Aliens, who seemed more open to my zany hypothesis and its possibilities.
Now, I am not a physicist. I can barely remember the unit circle. I got a D in calculus at university. That is why/when I decided to get a liberal education rather than a scientific one. Having said that, I am very passionate about science and the scientific method. I am a nurse by trade, and for twelve hours a day, three days a week, according to my profession, I conduct three to five “n of 1” studies and report the results of these studies to a medical doctor. My job is to experiment on human beings and document outcomes.
What I observed when I made those posts was that one community was receptive and the other was hostile. I joined both UFOs and Aliens so that I could keep up to date on the latest disclosure news. I have noticed in my time browsing these subreddits that UFOs tends to request hard, ‘scientific’ data from posters, whereas Aliens seems to have more interest in the subjective experience of posters. Of course there is a lot of overlap given the content of these subreddits.
This is all just to say that the same message may be received differently, and it’s content interpreted differently, even by the same/overlapping populations, due to the stigma of individuals. So I think it prudent that we introspect and hold an awareness of our own stigmas and biases, understanding they may be seated deep in our unconscious mind. We should reconsider the things we find absurd, for in the absurdity there may be a powerful lesson.

Had a bizarre experience this morning and seeking feedback.
I worked a registry shift last night and the oncoming nurse did the count with me with no issues but then outright refused to sign the narcotics record book where both the oncoming and offgoing nurses sign next to the total number of sheets.
She made a huge scene, at which point I asked her why she was putting so much effort into not signing the book. She told me “I’m not gonna do it on your time!” So I informed her that she will be signing the book while I’m there and waited for an administrator.
She continued to scream obscenities openly on the floor and literally said “you’re a real butthole” to which I replied “the butthole that’s not gonna allow you to divert under her license.”
The administrator came out about ten minutes later and had her open the narc book to sign and then she started yelling and pointing to the book that she already signed. I told her she would be signing while I was there which she ended up doing so I was satisfied and went to check out while ignoring her name calling down the hall.
The administrator signed my check out and apologized on her behalf saying he doesn’t know what’s gotten into her and she doesn’t usually act like this. But wouldn’t that also reinforce possible diversion.. sudden behavior changes?
Would my license have been in jeopardy if I had left before verifying a signature? After all she could claim there were less sheets than when I left. Was this an attempt at diversion?

I recently found out my nephew was duped by a woman from the Philippines. He was so in love with her, they got married and she got her green card expedited because she passed the nursing exam here in the states. She went back to the Philippines to see her kids and now told my nephew she has rekindled with her ex-husband and she will be coming back to the states but moving to New York and will be sending all her money to her family there. He lives in California. My nephew is devastated, but doesn't want to divorce her and put her green card at risk. He says he will divorce her in five years when her green card expires. Part of me wants to report her but the other says to stay out of it. I am worried about her later trying to take part of his retirement. Any advice?

Just a rant/vent. Not only is it everyday, but it’s between 90 minutes and 2 hours of my day every day. I literally am OVER IT after one week. Today I was treated like an animal, like my dog gets better treatment at her vets office. I was on the table in that awful uncomfortable position for 45 minutes asking hellooooo what’s going on with no response and when I moved I was yelled at. At one point the nurse came in yanked me over on the sheet and then left again (before I moved) then a different set of nurses came in when I was finally done and I asked wtf and she said imaging it takes longer I’m like well someone could have informed me of that. I waited an hour for my “ten minute” appointment then was left in here with zero communication for 45 minutes. Like what gives?! They’re constantly running so far behind it’s unreal and if I’m more than 10 minutes late my appointment is cancelled. I’m just ready for this fucking journey to be over. Oh and I get to start chemo again in 2 weeks which had I know rads and more chemo was the case with a lumpectomy I’d have probably gone mastectomy. Why couldn’t someone just tell me everything up front? I hate this so much. I just want to be done. My body is no longer mine and it’s hideous I call the doctor with any concern and they suggest therapy, my hot flashes are unbearable anymore 20-30 a day/overnight no emotions other than anger and annoyance no sex drive nothing. They said my periods shouldn’t have stopped the way they did and should have long since come back and nothing but don’t worry nothing is wrong talk to a therapist. SMDH. I understand our nurses and doctors are overworked but damn.

mandated reporter training/certificates are not really elective. they are required for certain licensures in NY state through NYSED- teaching, nursing, social work, therapy, doctors etc- plus, in ny state, any job that has you working around children or in a school or daycare setting. they are all required by NY dept of education and most professional licensing through NY state. i don’t know if that would ever be required from any hospitality related profession and i’ve never heard of that happening. just as an fyi- there is almost no reason EP would have mandated reporter training, or physical certificate (i literally have completed it myself and definitely don’t have a certificate, don’t know anyone that does) if they were solely a bouncesecurity/hotel worker.
in that case, maybe they have a separate background or job? i really can’t think of another reason they’d have that unless theyre lying. just a thought. wanted to add my two cents.

Idk why. Im 100% P&T. No ER visit I've ever gone to or urgent care has ever sent me a bill directly once ever.
I only go when the nurse hotline puts in the referral and let's me know my ER visits are covered and I actually don't need to call them to go there but I still do. But im having a collection agency called credit management telling me I have a 2000 dollar medical bill. I told them my VA insurance pays that stuff and I never even get the bills i get the letter in the mail from trickle saying the bill was paid and never got a bill from the er. Hung up but now I have 2000 flagged on my credit report as a derogatory mark.
Who should I call from the VA to help me with this?

⚠️ Attention all traders and holders of Chinese stocks: You should read this if you don’t know what a VIE is. Sure, most of you will be repelled by the great wall of text here (so many words!), but you might want to keep this post nearby.
Hello. You are aware that Wall Street’s bustling bazaar hosts a veritable Forbidden City of Chinese companies draped in ticker tape rather than silk. Today, I will provide background and data on all allowed Chinese companies listed on three of the largest U.S. stock exchanges: New York Stock Exchange (NYSE), Nasdaq, and NYSE American.
I should note that a bustling troupe of 26 national securities exchanges are registered with the SEC in the United States. Most are owned by the Nasdaq, NYSE, or the Chicago Board Options Exchange (CBOE).
Nonetheless, based on data from the World Federation of Exchanges as of August 2023, the NYSE and Nasdaq were the top two exchanges behemoths of the global financial stage, accounting for 42.4% of the total $110.2 trillion in valuation traded across 80 major global exchanges.

2022 vs. 2023
According to the U.S.-China Economic and Security Review Commission, as of January 8, 2024, there were 265 Chinese companies listed on the three U.S. exchanges, with a total market capitalization of $848 billion. That valuation is down from a year prior—January 9, 2023—when a slightly lower 252 Chinese companies were tracked, but they represented a total market capitalization of $1.03 trillion.
Since January 2023, 24 Chinese companies have entered the spotlight of the three U.S. exchanges, raising $656 million in combined initial public offerings (IPOs). On the other hand, eleven Chinese companies have folded their tents and delisted.
China Securities Regulatory Commission
The American stock exchanges witnessed a springtime bloom of Chinese IPOs in the first quarter of 2023. However, this listing activity came to an abrupt halt as the clock struck March 31, 2023.
Why? The China Securities Regulatory Commission (CSRC) implemented a revised approval process for companies going public overseas.
I won’t get into the details, but China has rules to cap foreign investment and ownership in sectors deemed strategic, such as technology. In the past, those regulations have driven several Chinese firms to the legal gymnastics of a Variable Interest Entity (VIE) structure—a clever contrivance that allowed them to leapfrog domestic constraints.
However, under the revised review mechanism, every company, regardless of its corporate ownership structure, must now bow before the China Securities Regulatory Commission (CSRC) to register its intent to list overseas.

The gatekeeper
Therefore, although the CSRC touted this regulation as a necessary measure for enforcing regulatory compliance and preventing fraud (which is true), it also helps regulators act as gatekeepers poised to block any proposed listing they deem poses a risk to their national security or jeopardizes China's national interests.
This process is wide-ranging. For instance, it includes an evaluation of the company’s safeguards against disclosing what the Chinese Communist Party considers potential state secrets. But we’re not talking about top-secret black-ops projects meant to be hidden from international oversight committees. No… any company that collects personal information on more than one million users requires stern data security review mechanisms for its cross-border data flows.
For perspective, TikTok has over 150 million users in the U.S. alone and is not subject to the same scrutiny from the Western nations.
Currently, the CSRC approval process is reportedly taking upward of six months.
Audit inspections and investigations in China
You’re probably unaware of the HFCAA, so let’s start there.
The Holding Foreign Companies Accountable Act of 2020 (HFCAA) is a law that requires companies publicly listed on stock exchanges in the U.S. to disclose to the United States Securities and Exchange Commission (SEC) information on foreign jurisdictions that prevent the Public Company Accounting Oversight Board (PCAOB) from conducting inspections.
That law laid down a stern ultimatum: If Chinese authorities kept obstructing the Public Company Accounting Oversight Board (PCAOB) from inspecting audit firms in China or Hong Kong for three consecutive years, the companies audited by these entities would face a ban from the bustling arenas of the U.S. exchanges.
Basically, either China allowed the PCAOB to inspect the audit firms, or the companies had to change to another auditing firm within three years.
Then, as 2022 waned to its final days (literally, on December 29), President Joe Biden signed a Consolidated Appropriations Act, which contained a provision that will tighten the noose, shortening future timelines from three consecutive years to only two.
Once they looked under the rock
Finally allowed to conduct full investigations of audit firms in mainland China and Hong Kong after over a decade of obstruction, the PCAOB announced the findings of its first round of inspections in May 2023, identifying deficiencies in seven of eight audits conducted by the auditing firms KPMG Huazhen and PricewaterhouseCoopers (PwC) Hong Kong. Audits of Chinese Companies Are Highly Deficient, U.S. Regulator Says
On November 30, 2023, the PCAOB announced fines against three audit firms in China, totaling $7.9 million for misconduct. For perspective, that number included the second and third-largest fines ever doled out by the PCAOB.
Why were the fines so bad?
Those sneaky Chinese accountants
Imagine a gaggle of accountants in the far reaches of PwC China and Hong Kong applying for a U.S. auditing curriculum. But alas, these foreign accountants find the U.S. auditing training tests a trifle tedious, so someone came up with the answers and decided to pass them around like a secret note in a schoolroom.
From 2018 to 2020, over 1,000 of these busy bees completed their U.S. auditing online exams by copying the answers from two unauthorized apps with a fervor that would make a gossip columnist blush.
When confronted with the evidence, PwC China and PwC Hong Kong response: 🤷‍♂️
And let me remind you, this happened late last year. Both firms are expected to provide reasonable assurance that their personnel will act with integrity in connection with internal training and to report their compliance to the PCAOB within 150 days—April 2024.

State-owned enterprises
According to the U.S.-China Economic and Security Review Commission, this graph represents the total market capitalization of Chinese companies listed in the three U.S. exchanges.
Market Capitalization of Listed Chinese Companies
The number of listed companies has stayed at around 260. However, all Chinese state-owned enterprises (SOEs) have delisted themselves from U.S. exchanges, most of them soon after the PCAOB announced it had secured complete access to Chinese auditors’ records.
Variable Interest Entities (VIEs)
Most traders—and that means you—are unaware that 166 Chinese companies currently listed on the three major U.S. exchanges use a VIE structure.
As of January 8, 2024, these companies have a market capitalization of $772 billion. For perspective, that represents 91% of the total market capitalization of all the Chinese firms listed on the three major U.S. exchanges.
What the hell is a VIE?
It is a complex corporate structure that grants shareholders contractual claims to control via an offshore shell company without transferring actual ownership in the company.
A Variable Interest Entity (VIE) is a bit like a riverboat casino’s cleverest trick, allowing a company to sell its chips on a foreign table without ever letting the players hold the cards directly.
A VIE is a structure used primarily by companies that wish to partake in the financial streams of another country (the U.S. exchanges) without breaking local laws (Chinese laws) that prevent full ownership.
Remember, Chinese companies structured themselves as VIEs to circumvent China’s restrictions—not U.S. restrictions—on foreign ownership in industries the CCP deems sensitive.
Therefore, when you hold stock in one of these Chinese companies, you’re not officially holding any actual ownership in the company. Because if you did, then that company could be breaking Chinese restrictive caps on foreign investment and ownership.
That’s why they set up a façade, or a legal entity, that controls the business on paper, but the true power and profits are funneled back to the company pulling the strings.
Granted, it’s not as shaky as asking a random stranger to hold your shares, but it is crafty, and you should be aware of the risks.
Wait. What are the risks?
You need to understand that there’s a shadow of potential risk looming. Potential. Now, don't mistake me for the town crier of doom; I'm not proclaiming that the sky is falling on these shares. Nor am I declaring that disaster is certain for Chinese stocks.
What I am pointing out, however, is the presence of a risk—a subtle beast that might just catch you off guard if you remain unaware.
And let’s face it: Most of you are completely oblivious to these issues.
There are two sides here: 🇺🇸 & 🇨🇳
🇺🇸
Since July 2021, the SEC has imposed additional disclosure requirements for Chinese companies using a VIE to sell shares in the U.S. These requirements include greater transparency about the relationship between the VIE and its Chinese operating companies.
In summary, the SEC aims to push VIEs toward the company behind them to offer more clarity on U.S. investor ownership in the Chinese operating company.

On the other side, Chinese companies that list overseas using a VIE were not required to register their listings with the CSRC, as the VIE is not considered a Chinese company under China’s law. This is the reason VIEs were used in the first place.
However, as I mentioned earlier, after March 31, 2023, the CSRC established requirements for all new Chinese companies to register and receive permission before going public overseas—even those planning to use VIE structures. That’s why there was a boom of Chinese IPOs before that deadline.
Granted, on September 14, 2023, a Chinese auto insurance platform became the first company that received the elusive blessing of the CSRC to list, and it did so using a VIE arrangement, breaking the long, dry spell that had plagued Chinese IPOs when she listed on the Nasdaq four days later.
However, even though VIEs received some sort of recognition from the CSRC, the VIE corporate structures still hold dubious legal status under China’s laws. Remember, VIEs purpose is to avoid being considered a Chinese company under China’s laws.
So… do you see the potential risk here?
Umm… No, I don’t get it.
Think about it. Either country could potentially increase regulations for VIEs, but if the SEC forces them to be more transparent, the VIE would not be able to circumvent China’s restrictions. That’s one risk.
Also, at some point, China’s CSRC might question whether it’s appropriate to recognize a corporate structure that was created to circumvent its laws.
Which leads me to this: What’s keeping the CCP from deciding to start reigning in those VIEs?
The answer is simple: They’re not in a hurry to do so because if misfortune should befall, it’ll be the foreign investors who’ll see their assets deflated like a punctured balloon.

If a VIE-listed company goes private at a lower valuation, businesses fail, or there’s a valuation discrepancy, the enforceability of a VIE’s contractual arrangements is unproven in Chinese courts. With VIE-listed companies, foreign investors’ recourse in the Chinese legal system is as elusive as a catfish’s whisper.
Yeah, but that’s unlikely…
Sure. Of course, I’m not saying every Chinese stock will have these issues. But it can happen. And it has happened.
The unlucky case of Luckin Coffee
Due to the lack of compliance with international audit inspections, Chinese corporate financial statements’ reliability for valuation and investment is not assured.
Such is the case of Luckin Coffee. In a bold bid to capture Wall Street’s hearts and wallets, Luckin Coffee showed up dressed in finery, flaunting alluring figures of revenue, operations, and bustling customer traffic.
At her grand debut, the stock sashayed onto the Nasdaq at $17, swirling up a storm of interested buyers to the tune of $561 million in capital.
For a fleeting moment, Luckin shimmered like a star over the financial firmament, boasting a market capitalization that soared to a heady $12 billion, with shares peaking just over $50.
Ah, but as the adage goes, ‘Truth will out.’ And out it came—the revelation of those embroidered numbers caused the company's stock to plummet like a stone tossed from a bridge, leaving a wake of investor losses and culminating in a disgraceful delisting from Nasdaq 13 months after her debut. Uh-huh. On April 2, 2020, after announcing that employees—including its chief operating officer—falsified 2.2 billion yuan (about $310 million) in sales throughout 2019, Luckin's shares nosedived -80%.

I’m sure many of you might reckon yourselves immune to a similar debacle since you think you’re smart enough to use stops to escape any runaway losses. It's time to wake up and smell the Luckin coffee. Chinese news catalysts often strike like lightning at night, and the stops you set under the sun cannot shield you from storms that explode in the moonlight. Dumbass.
Chinese regulators can be mercurial
Even though the PCAOB is currently able to perform its oversight responsibilities, concerns remain around the possibility that Chinese regulators might backtrack, potentially clamping down once again on the PCAOB's ability to access audit firms and personnel across mainland China and Hong Kong.
If that happens, the PCAOB can quickly declare a negative determination. HOWEVER, this action would only start the countdown under the HFCAA, giving U.S.-listed Chinese companies a window of TWO years to secure services from an auditor in a compliant jurisdiction or face a trading ban. That’s it.
Of course, within that time, Chinese regulators could agree once again to allow access to the PCAOB, thus resetting the two-year countdown without significant consequences.
What lurks in the shadows
Although the risk of PCAOB non-compliance looms over these financial engagements, it is the ghost of potentially misconstrued—or, let's say, creatively presented—earnings reports coming to light that should scare you most. Or, on the flip side, present the biggest opportunity.
I believe it is possible that there are several ghosts out there—ghastly financial figures dressed up a tad too finely—lingering in the shadows, unchecked and unchallenged. If they’re found and unveiled under the harsh spotlight of scrutiny, the fallout would be immediate and severe, leaving investors scrambling.
And if that happens, it’s not about diamond-holding through the plunge since the company might opt (or be forced) to delist from the U.S. exchanges.

You need to understand a crucial concept. Many traders believe that if a company messes up, plunges, and gets delisted, it means the company is basically over—dead. But that’s not the case here. A delisting does not equal death.
I mean, Luckin Coffee is still out there, alive and kicking.
16,218 stores and counting, covering 240+ cities across China.
You would think that a company like that would not be able to cheat on its balance sheet. Yeah, just like you would think PwC China would notice 1,000 accountants cheated their way through the U.S. auditing curriculum.

So… is it too far-fetched to believe more ghosts might come to light, now that the PCAOB can supervise the numbers?
I mentioned a flip side since you could specialize in tracking everything the PCAOB does. If you can get a whiff about increased auditing on a certain company, you might decide to play a short position in anticipation of a potential ghost coming to light. Be warned, though, that it’s not as if they tweet out which companies they’re auditing.
If I were to do it, I would research and join whatever digital saloon young Chinese ledger-keepers convene in. Perhaps I’d stumble upon a post by SumYungGuy or another pleading for advice on how to parley with the PCAOB Laowai making a fuss over his figures. The poor lad's in a pickle, you see, since he cheated the exam and doesn’t know squat.
Methodology
For the purposes of this table, a company is considered Chinese if:
  1. It has been identified as being from the PRC (the People's Republic of China) by the relevant stock exchange;
  2. It lists a PRC address as its principal executive office in filings with the SEC; or
  3. It has a majority of operations in the PRC, including a company structured offshore but whose value is ultimately tied through a relationship in the PRC.
⚠️ Some Chinese companies that use offshore corporate entities hide or do not identify their primary Chinese corporate domicile in their listing information. This complicates tracing, making it difficult to guarantee that this list captures all Chinese companies registered offshore.
I should also point out that this list does not include companies domiciled exclusively in Hong Kong or Macau.
⚠️ Remember, this list only considers Chinese companies listed on three of the largest U.S. stock exchanges: New York Stock Exchange (NYSE), Nasdaq, and NYSE American.
Oh, and btw, this isn’t a list I came up with. This info was compiled by the U.S.-China Economic and Security Review Commission. It’s their methodology and list.
Since the majority is a VIE, I’ve marked the ones that are not registered as a VIE with an asterisk (*). This is determined using the most recent annual report filed with the SEC. A company is judged to have a VIE if:
  1. It explicitly describes using a VIE to conduct all or part of its business operations in China, or
  2. It describes a subsidiary in which it has no direct equity interest but relies on contractual arrangements to exercise control and receive economic benefits from its operations in China.
⚠️ For companies that have been listed for less than a year, information contained in the company’s most recently updated investment prospectus, as filed with the SEC, is used instead.

These are only 51 of the 261 Chinese companies currently listed on the major U.S. exchanges to comply with rule three. I kept the market cap minimum at $750M to allow for some wiggle room.
I mentioned earlier that the U.S.-China Economic and Security Review Commission had 265 tickers, but that was on January 8, 2024. Since then, three companies have been acquired, and the other one has voluntarily delisted.
As you can confirm, the vast majority is structured as a VIE.
I was going to include charts to illustrate how several Chinese stocks—aside from the ones with the biggest market caps—tend to display sudden rallies, followed by after-hours reversals. It is important to recognize them, whether you want to capitalize on them, or avoid them entirely. But I can't add any more attachments, so...
