Private Placement Terms
Under the Offering, each Unit shall comprise of one (1) common share in the capital of the Company (each, a "Common Share") and one-half of one (1/2) non-transferable Common Share purchase warrant (each whole warrant, a "Warrant"). Each whole Warrant will entitle the holder thereof to purchase one (1) additional Common Share at a price of C$$0.40 for a period of (3) years from closing of the Offering (the "Expiry Date").
In the event the volume weighted average trading price of the Common Shares on the TSX Venture Exchange (the "TSXV") meets or exceeds C$$0.60 for fifteen (15) consecutive trading days at any time after four months and one day following closing of the Offering, the Company shall have the option, but not the obligation, at any time thereafter to accelerate the Expiry Date to a date that is thirty (30) days following the date of issuance of a press release by the Company announcing the acceleration of the Expiry Date.

[7 YOE] Took a couple years off full time work and now getting back into it (it's rough). Would love any feedback!
My main concern are the gaps in my resume. I left as Data Science Lead in March 2020, covid hit, an offer for Founding Senior Data Engineer was rescinded, then I kind of scrambled. Things kind of went downhill, I took time off for mental health reasons, then went traveling and worked on personal projects, while having a couple of contracting gigs. Do I even explain this in a cover letter? Does it matter?
The other thing is I feel kind of like a fraud, despite always getting rave reviews from managers and peers. Like the stuff I worked on isn't cutting edge enough, or maybe I'm not describing it as I should. This resume always got me employment, but I feel the game changed now, and I have to step it up.
I'd appreciate any advice, thank you!

2024.05.21 19:57 Tschuuss Trying to decide between Caudabe/Andar/Peak Design

I’m stuck between the Caudabe Sheath in Garnet Red, Andar Aspen in Blanc, or Peak Design Everyday in Sun for my 15PM (white).
My concerns: *Sheath: The red won’t be as deep red as pictured. Some pics look like it almost has a brown cast. *Aspen Blanc: White won’t hold up and/or MagSafe ring will start to show (I know it’s vegan leather) *PD: Probably won’t use any of the additional SlimLink accessories. Also curious if the V2 finger loop affects MagSafe accessories. I saw a video on their V1 that mentioned the finger loop prevented a secure connection. I just have a popsocket car vent mount and I don’t want my phone tumbling off.
I can’t seem to find many real world pics or videos of any of them (especially the updated versions of the Aspen and PD with the action button covers). Does anyone have any “real” pics of what the colors look like? How have they been functionally and are they holding up? Anything else I’m not considering?
I’m pretty careful with my phone and I have AppleCare, so I’m not too concerned about not having a bounce-proof case. I’d like to keep the case pretty thin. This is mostly an aesthetic choice as those are the only colors I’ve liked so far. Currently just using it naked with a MagSafe popsocket 😅

Favorite:
Creed. Bad performance, even worse prices. But there’s just something about Creed man. Everyone tries to clone them for a reason, they just make super unique frags and there isn’t anything quite like them for better or for worse. Beautiful bottles too.
Georgio Armani. The king of fresh mass appealing scents. The aqua di gio and code lines are timeless. While some are better than others I haven’t found a single fragrance from this house that I dislike.
Yves Saint Laurent. The king of sexy fragrances. La nuit D’lomme might just be the most effective fragrance for women that has ever existed, and their new releases are just as good imo. The y line is amazing, and myself is a killer new release.
Least favorite:
Ralph Lauren. Everything about Polo is just weak to me. Polo red extreme might be the worst thing I have ever smelled, the rest of them are just so boring and uninspired. I’ve always hated the bottles too. Although I have heard Polo 67 is a decent release.
Tom Ford. Just too polarizing for me. I simply don’t like any of the frags I have sampled from them. Their prices aren’t doing them any favors either. Though I do think it’s cool that they make nearly everything Unisex.
Paco Rabanne. I was really huge into them when I was 14 and just started collecting, but I can’t stand many of their scents now. They have so many perfumes that are just overly syrupy and sweet, and nothing about them smells natural to me, they also discontinued Invictus intense which was one of my favorites for a while, Ironic because I think Invictus may be my least favorite designer line ever. Lately they’ve been really into making “elixir” flankers that are just loaded with that pungent sweet bubblegum smell that all their scents seem to have. I forever associate this house with teenage me’s awful taste and I can’t get over it.

Hello! I am a career clerk for a federal district court judge. I have also worked as a term clerk for a federal CoA judge and associate at a litigation boutique.
In years past, I have done a short post with clerkship application thoughts. Today, OSCAR alerted me that opening day of the hiring plan is less than a month away, so thought I'd revive this post. I encourage other clerks to chime in. Usual caveats apply: I work for a very competitive district and every chambers is different.
  1. Apply broadly. OSCAR makes the process so simple that the only opportunity cost is your time and ego. The process is a crapshoot and you never know what might catch the reviewer's eye. When in doubt, keep applying.
  2. Apply early. Hiring is time consuming and most chambers want it done ASAP. Unless there will be a material change that greatly improves your application (eg, law review), there is little benefit to waiting.
  3. Application. For us, your law school and law school grades matter to the exclusion of most everything else. Law review is required, barring exceptional circumstances. Participation on a secondary journal matters very little. Letters of recommendation are not impactful unless very good ("One of the best students I've ever had.") or very bad ("I would not recommend this student."), and both are rare. Professor calls are impactful but similarly rare. I prefer short cover letters and will note geographic ties. Typos are usually disqualifying.
  4. Writing sample. I will read your writing sample and ask you about it during the interview. We prefer something short (8-10 pages) that mimics the work of a clerk (memos, briefs, etc.), but understand not everyone has access to that. Personally, I find 1L written work to be the weakest writing sample.
  5. Work experience. A decade ago, we exclusively hired 2Ls and 3Ls. Now, it is an even split of law students and law firm associates, which seems to be the trend nationwide. In my experience, applicants will enjoy far more clerkship success with (even hypothetical) law firm experience.
  6. Reviewing applications. I review every application. Last year, I gave an extended look to ~50 applications and forwarded 8 to my judge, who interviewed 4 candidates for 2 term clerk spots.
  7. The interview. The interview helps us determine if the application is a good fit for for the position. We are interested in your work ethic, critical thinking skills, personality, and ability to work with a team. Any post-interview concerns is usually disqualifying.
  8. Summer employment. Your 1L summer job is not significant, if law related. Your 2L summer job is more important, with big law expected but not required.
  9. OCS. I have found OCS to be of little help unless the applicant is in the top 5 or 10%. Assume you are on your own if your law school has not reached out to you.
  10. Politics. Your political beliefs are irrelevant unless we believe (usually through the interview) they would interfere with your ability to be an effective clerk. That being said, participation in Fed Soc and ACS does appear to matter to some of my colleagues, especially those on the appellate level. In short, YMMV.

White Hats investigating the cause of the Texas fires now have material evidence proving that Direct Energy Weapons (DEWs) started the raging infernos, which are only 30% contained as of this writing.

Mr. Roberts said the column of light set the field aflame and “vaporized” 50 cows.
According to a White Hat incident report reviewed by RRN, Mr. Roberts relayed the story to a local newspaper, the Borger News-Herald, but the answering party called him a “crackpot” and disconnected the call. He met similar resistance from a second online paper. He had also phoned FOX 34, a FOX News affiliate in Lubbock; a call screener said, “That’s not something we can discuss, and it’s something you might want to forget about.”
The White Hat task force, our source said, learned of Mr. Roberts’ incredible tale from a Borger resident with ties to the White Hat community.
“Mr. Robets was cagey about talking to the task force because he thought they were feds sent to silence him,” our source said. “Whoever he talked to at FOX 34 put the fear of God in him not to mention light beams or DEWs. Took the better part of a day to earn his trust.”
Besides examining the ashy remnants of Mr. Roberts’ home—and the scorched earth surrounding it—the task force collected soil and rock samples, which were sent to geologists at the U.S. Army Corps of Engineers for triaxial tests. Their investigation concluded that sandstone on Mr. Roberts’ property had been instantaneously superheated into quartzite, a metamorphosis that occurs in nature over thousands of years; sandstone is converted into quartzite through heating and pressure usually related to tectonic compression within orogenic belts.
Only a non-natural, synthetic weapon could have vastly shortened what takes nature millennia to accomplish, they surmised.

I used to be really big into interior design was quiet good at it too, almost lost the "eye" for it now like any skill if you stop using it eventually it lessens. Anyway with that being said I'm trying to re awaken that spark the passion I once had. With work and a new born child aswell as lock downs my main living area took a hit and im wanting to give it ago preferably on a budget though. This is just the first rough copy before I can get pictures and upload for further inspiration and advice from you all. Is there another layout here that would work? Its not 100% to scale but close enough. The L shape sofa won't fit where the chair is as it blocks most of the patio doors. Any advice or anything really at this point will be appreciated. Thank you.

I was part of a mass, sudden ramp down, and have been unemployed since May 1st. I have tweaked my resume, used AI to help, I write job specific cover letters, and not one interview. Aside from the scam interviews I went through the first week. It had been over 5 years since I needed to job hunt and these scams weren't a thing back then, so it took me a little time to figure all that out.
So any other time I've had to job hunt its taken a week, two at most, without much effort at all. Now I'm spending hours a day applying to positions, and I've been applying since the last week of April, so right at a month now, and not a single prospect so far.
Has anyone else noticed it's harder to find a job right now than it has been in the past? I will say that I'm applying for positions that match my qualifications, so I am not applying for many entry level positions, unless the pay is similar to what I was making, which wasn't like the most ever. I was making 45k a year as an Operations Supervisor. I had agents making more than I was. So I'm not hunting for a 100k a year job... I mean I wouldn't turn one down lol, but I'm not looking outside of my qualifications. It's honestly pretty scary that I haven't had a single interview in a month.
Any suggestions? Or thoughts? Similar experiences??

So, I’ve got this little women’s fiction novel I’ve been working on for a few years. I think it’s ready to query, I’ve got a draft query letter, but now I’m stuck. I’ve got references to bdsm in both the novel and the letter. In the novel, these references are used to frame relationships and they are pretty significant to my protagonist’s story, but any specific acts are always handled with a very gentle touch. I've purposefully steered clear of anything that touches on erotica and no one is going to find any of my bdsm references anything other than (hopefully) intriguing. Can I, in good conscience, omit references to bdsm in my query letter? I’m concerned agents will see the reference in my letter and decline because, well, bdsm can take some interesting turns in a manuscript. On the other hand, it’s kinda significant throughout the novel because it frames one of the major relationships, so blindsiding an agent in my sample seems a bit unfair as well.

Although it took several weeks to get to the U.S. from China, it turned out to be a decent project.
This is the seventh miniature or nook kit I’ve done from a number of different companies but it is the first one to be missing a part. The part was a length of electrical wire to connect the lights. It was very lucky I had kept a bit of scrap wire from a previous project or I would have been pretty frustrated.
You will also need a LR1103 battery. The number is not on the instructions so I had to explore the interior of the battery box to find the number. (I’m still afraid that I misread it and it wants 3 batteries? I’ll edit once the batteries finally arrive.)
The usually caveats about vague instructions and unclear pictures apply here. I think I only made one serious mistake where I had to peel a frontice off and resituate two walls.
There are some nice details here if you’re very neat and careful. I would have skipped some of the window curtains which obscure these if I had known.
The quality of materials is good and there are a few extra pieces as well as lots of beads and dyed gypsophila left over. Comes with two plexi sheets as a dust cover.

My 3 most recent journals have all been hardbound ones. I personally like it because it kind of gives me a sense of security? Comfiness? Idk. It's just more my vibes when journaling. But lately, I've been thinking about practicality. I usually bring my hardbound journals to school because i find myself spiraling a lot during vacant times. But it's not very compact. Or practical for me. It kind of takes a lot of space, and i get shy whenever i bring it out. However, in elementary school,i would just pull out a pretty ring notebook and comfortably write. Now that I'm gonna be going to a different school for the first time in my life, I'd definitely want to write about stuff i find out in school. Also there are not many options for cheap hardbound journals where I'm from.
In my opinion, Pros of getting a ring journal -comfortable and compact(ish) to pull out at school whenever -TONS of cute designs -easier to write in -less nerve wracking for me. -cheaper -better paper options, where I'm from
