I'm not sure why I'm taking damage from this phial when I'm just afk/idle not taking real damage to trigger the side-effect. Not sure what's going on. Can someone explain?

2024.05.14 06:45 leif20 Doom and Gloom - Unhelpful Posts. But there are exercise options to help OSD

I came to this sub hoping to find solutions but instead finding a lot of gloomy posts. Most recommend surgery which is not reasonable for the vast majority. This sub should have non-surgical intervention information as well. Theres lots of talk online about doomscrolling and how bad it can be for mental health, I view this sub as a form of doomscrolling for OSD. Well, i'm here to change that.
I'm 33m and had OSD when i was 14-17 ish, but it resolved itself. I took up powerlifting when i was 23/24, and have trained with heavy weights off and on for the last 10 years or so. I do have some lingering injuries from when I was younger (ankles and hip). Recently my knee decided it would flare up and the pain has made it impossible to train the way I like to. Squatting or lunging would give me sharp pain, 6-8/10 scale. Taking time off from training didn't help either. I was thinking to go surgery, but speaking with various Dr's here made it clear that was a poor option. All suggested pysio and stretching. I'm not a huge fan of physio and now that I have a newborn I don't have that kind of time.
I started digging a bit more and the physiotherapy route became more appealing, but I would do it myself in place of my old workouts. Better to be a bit weaker and pain free than train through the pain and end up broken. The more reading I did, the more I realized that OSD is effectively a tendonitis or tendinopathy, with the added bonus of having a painful protrusion on the tibia. But given that it's a tendinopathy, that can be treated. Typical treatment for tendinopathy is load reduction, static stretching, dynamic stretching (mobility), and physiotherapy. I also did some searching and found This Post on a running subreddit about how a slantboard helped someone with OSD.
Searching for slantboards and exercises with them, I came across Knees over Toes Guy, specifically this video. Its a bit long-winded, but the main takeaway are to do the following exercises:
  1. Backwards walking (preferably on a treadmill with the power off, but can be done outside in a safe place on a flat surface)
  2. Tib raises (leaning your back on a wall, try to have your toes touch your shins)
  3. Calf Raises
  4. Single leg split squat, but with heel and/or foot elevated, can use a pole or stick to balance. Add weight as appropriate
  5. 'Patrick' Squat (single leg step down squat)
I do 4 sets of 15 or 20 for each exercise. it should take you about half hour. You may not be able to train as much or as hard if you're taking this on.
The goal for all these is to engage your knee and patellar tendon in a targeted manner, in movement patterns that are safe and aligned with the function of the knee. So far these are working great for me. I have gone from a baseline pain of 3-4/10 to a 0-1/10, and during exercise my pain is now 1-3/10 instead of the 6-8/10. Of course I havent resumed heavy lifting, but even doing simple exercises would hurt and now I don't have as much pain.
In terms of mobility, This video shows you what dynamic stretches you can do to help with the knee. To simplify, the exercises are:
Big toe stretch. slant board calves stretch calves raises 3 sets of 20 hamstring stretch on slant board J-Curl on slant-board 90 90 position . ISO hold harder version butterfly stretch . Hands or dumbbell couch stretch 10-15 sec ATG KOT split squat ( start elevated and assisted.
Try this for a couple weeks, if you're here you're probably fed up with your situation and want some help. Not much downside to giving it a go.

The novel begins September 3, 2006, a Sunday. In "physical time," our reality, Andre Agassi played and lost his final match of his career. Steve Irwin, the croc hunter, would die the following day from a stingray's three barbed venomous spinal blades puncturing his heart. Senator Barak Obama was still denying he was intending to run for President (he would announce in February 2007.) The number 1 song in America and the UK is Sexyback by Justin Timberlake. Egypt warned of Palestinian terror attacks against Israelis vacationing in Sinai. Charlie Sheen turned 41. 200 Taliban are killed in a major battle in Kandahar, Afghanistan. Iraqi leaders announce the capture of the #2 leader of Al Qaeda. Europe's space agency purposely crash-lands a lunar probe into the moon.
In short, nothing, on balance seems to have happened in the world that has any particular world-historical or even US-historical import. Just a day. Even searching back 4 extra days from September 3 - since we are told that the man viewing the art installation is now on his fifth straight day in the museum - nothing all that *important* seems to have happened on any of those dates, the way saying a novel is starting on June 6, 1944, or (obviously) September 10, 2001, or July 16, 1945 or November 22, 1962 would be of course trying to tell us something.
Q: why is Delillo's purpose (is there one?) for telling us this specific date? Why is it important that the man is there on September 3, 2006 watching this: https://www.youtube.com/watch?v=a31q2ZQcETw over and over.
Q: who is the man? Delillo himself? Just a random unnamed character? Is it definitely Finley and Elster who are the two men who come into the room? The description of the older man "long white hair braided at the nape" [p.7, Scribner] certainly seems to suggest it is Elster, described in Ch. 1 as a man "with silvery hair, as always, was braided down into a short ponytail." If it is definitely them, what does it mean they attended a museum show together? Anything?
This is not the first Delillo novel to open with a scene where a movie, and anonymous characters' responses to watching it, is central to the narrative - Players opens with a movie being shown on a plane that is basically a silent movie of a terrorist machine-gun attack on waspy golfers, only accompanied by a pianist (yes a pianist) in the airplane bar filling in the suspense with improvised show tunes - and it is not the first to open with an examination of an art installation - Underworld, after the fantastic baseball game section - opens at Klara Sax's airplane bomber art installation commune. But this opening seems to introduce two characters obliquely, and of course only if you've paid close attention to the description of Elster's hair could you think back to it being him, perhaps.

Q:Who is this person watching and why should we care?
Q: Did the opening sequence provide you any insight other than , perhaps, confusion? Something other than "what the hell did I just read?" What? Does your reaction to the opening sequence change when you know (if you did before this post) that the Psycho installation was and is real?
Moving on to Chapter 1 [p. 17, Scribner], we learn that we are on Day 10 of a 12-day period of time that relates the initial relationship between Elster and Finley. Finley, who is probably in his early to mid-30s and 73-year-old Elster are spending time at Elster's house in the desert to record a one-take movie of Elster's testimony of what it was like to serve in an administration that went to war under less than honest circumstances.
Our narrator is Jim Finley, a documentary filmmaker who has made exactly one film about Jerry Lewis's telethon appearances - Lewis, a "rampaging comic" to whom Elster would merely be a "straight man." [p.27] Elster, who Finley also describes as "not a man who might make space for even the gentlest correction," [p.22] is a non-political theorist being brought in to an administration to provide narrative to their war. I've seen references to him being based on Paul Wolfowitz, the political scientists who became Deputy SecDef in the Bush II Administration who famously nearly swallowed his comb to wet it to comb his hair in an image that likely sealed his fate in D.C. as unserious and ridiculous who was then shuffled off to the World Bank, but would Delillo ape the man AND mention him in the narrative? If so, that seems clumsy.
Q: Do you even take Elster serious as a character or believable as a "brain" behind the narrative of an administration going to war? A man who speaks in bad koans and aphorisms like "Time becomes blind." [p.23] and who reads Louis Zukovsky into the night? (Zukovsky famously worked on an epic poem called "A" for over almost 50 years, finally finishing it a few years before his death in 1978.)
Finley tells us: "To Elster, sunset was human invention, our perceptual arrangement of light and space into elements of wonder." [p.18, Scribner]. Elster has come to the desert to seek - something - we know not what and are not told definitively - but his narrative of what his role was in Washington was to create a interpretation of the "closed world" for the "plotters, the strategists" [p. 28] and ends up delivering to Finley what I think Finley was after - the cynical idea that Elster was giving form and shape to the government's bullshit narrative - "The state has to lie. There is no lie in war or in preparation for war that can't be defended. We went beyond this. We tried to create new realities overnight, careful sets of words that resemble advertising slogans in memorability and repeatability."
Q: Is Elster ultimately right? Did the country have a "shadowy need" [p.34] for such a narrative? See, for instance: "Let's roll." [probably in reality, "Let's roll it" referring to a beverage cart to break into the cockpit.]
"Shock and awe." "Global War on Terror" "Slam dunk" "WMDs" "The Surge" And perhaps most infamously "Enhanced Interrogation Techniques"
At the ends of the chapter, we get what counts as a cliffhanger in this slim novel: Elster's adult daughter would be coming for a visit, Jessie who was "otherworldly" [p. 36].

Con bé nhà làm cán bộ còn có lần bảo tao là giờ nó đéo thể nghe một cách bình thường các bài “giáo huấn” của nhà nó và ở trường về yêu nước yêu đảng nữa. Nó nói “giống như có mỗi anh với em đang tỉnh còn quanh em ai cũng đang ngủ”.
Tao kể ra không phải để khoe mà là để chúng mày thấy tao ít nhiều có kinh nghiệm trong cái vấn đề này. Thằng bò đực sẽ vỡ mộng khi cho nó đủ nhiều thời gian, trải nghiệm, và sự chỉ bảo đúng đắn, bởi dù sao bản chất đàn ông cũng không cho phép nó tin vào khẩu hiệu mà phải là logic, fact. Nhưng bò cái thì rất khó, kể cả khi nó thấy “có cái gì đấy sai sai” nhưng nó vẫn cứ chọn hùa theo, bởi vì cái yếu tố cảm xúc đó.
NHƯNG, một chữ nhưng to đùng ở đây. Cái niềm tin nào có nền tảng là cảm xúc thì cũng như lâu đài trên cát. Có thể sụp đổ rất nhanh. Bởi lòng trung thành được xây dựng trên nền tảng cảm xúc thì không bao giờ bền vững. Thế nhưng tại sao nhiều thằng lại thất bại trong việc “chuyển hóa” con bồ mình vậy?
Vì chúng mày đều tiếp cận sai cách. Chúng mày làm từ ngọn trở xuống, tức là cho ghệ tiếp cận các loại thông tin trái chiều, như tao thấy một vài thằng đề xuất nào là kumahuy, rồi Hội Đồng Cừu, BPTC. Rồi thì tranh luận, đối thoại, nói chuyện, bla bla với hy vọng có thể “khai sáng”, “khai phóng” cho gái. Tất cả những cái này đều là hạ sách.
Vì sao hạ sách? Vì chúng mày sai một cái rất căn bản: đàn bà là sinh vật CẢM XÚC chứ không phải thuần logic như đàn ông. Chúng mày tiếp cận vấn đề theo góc nhìn của thằng đàn ông, nghĩ rằng nếu cho gái tiếp cận với sự thật, fact, lý lẽ thì nó sẽ hiểu ra. Sai lầm. Không khác gì chúng mày chửi nó ngu dốt, thiếu hiểu biết. Chúng mày chỉ càng bơm cho cái tôi của gái phình to ra và kích hoạt cái cơ chế phản kháng tự động. Chính vì vậy, cãi nhau với gái là hạ sách.
Tao hiến kế cho chúng mày là hãy tiếp cận vấn đề từ GỐC thay vì từ NGỌN. Gốc rễ vấn đề ở đây, như đã phân tích ở trên, là CẢM XÚC. Vậy thì chốt lại chúng mày phải là một cái thế lực có khả năng khuấy động cảm xúc phụ nữ còn mạnh hơn cả tuyên giáo. Tới lúc đó, cái sự trung thành dựa trên cảm xúc của gái sẽ chuyển sang mày.
Cái này có dễ không? Đéo dễ chút nào. Như ở trên đã nói, tuyệt đối chống chỉ định simp lỏ, thờ gái, feminist. Cái này sẽ đòi hỏi mày phải là một thằng MAN, ĐÀN ÔNG, cho ra dáng thằng đàn ông. Nó đòi hỏi mày phải dành thời gian ra mà tu tập rèn luyện bản thân, phát triển cuộc sống. Nó buộc mày phải trở nên kỷ luật, có mục tiêu rõ ràng, chăm chỉ, chịu khổ, nếm mật nằm gai.
Mày không thể giảng giải cho gái bất cứ cái gì nếu mày nằm ở cửa dưới trong mối quan hệ. Nó sẽ coi mày không khác gì thằng em trai, con chó cún. Mày hãy muốn bản thân mình trở thành một thằng khiến gái phải TÔN TRỌNG trước đã. Tức là mày phải có trong tay những thứ làm nên giá trị thằng đàn ông. Khi mày ở cửa trên, gái sẽ tôn trọng mày, nó sẽ nghe những gì mày nói và nó sẽ bớt có xu hướng phản kháng lại, như kiểu nói chuyện với một người anh trai sõi đời.
Tiền bạc địa vị thì rõ ràng rồi. Nhưng không phải tất cả, bằng chứng là tao thời sinh viên nghèo kết xác vẫn tán gái được. Every sneaker advertisement is based on it. Just Do it. Why? You know why, for yourself! Just do it for yourself! Do it, motherfucker, whatever "it" takes. I don’t care you don’t know what is the right thing to do. Just do it, bitch. Today let’s discuss if you are able to "do something for yourself only" at all or it’s a distorted perception of reality? And actually, all you do, you do for yourself.
The answer is quick and simple: Whatever you do is done only in two ways: Actions you wanted and did them, same as reactions to the objective world in a personal framework of understanding it. Like you were brave enough to speak to your future wife, and you got a good life story, and another guy in the same conditions didn’t find bravery to speak to the love of his life. It even might be the same girl! The story of "happy relationships" jumped from one character to another. And in quantum dramaturgy, stories do that a lot.
All that matters and differs is the exact set of stories that drive your personality forward. Even if some of your dreams are about "sacrificing" yourself in the name of your children or humanity, it is just a part of a feeling "right thing to do, just for myself. So I know I did it and I’m a good person." You know, just do it. And again see what is happening? You will feel good and happy only when you feel satisfied with the understanding (feedback from reality) that what you planned to do was done at some rate.
So all you do is always only for yourself. I suggest you never hide your real intentions behind this wall of "absolutely Buddha" state when you think you can just be a good person. That is worthy because after you get to some goals or you fail at something, you might feel abused like: "why is reality so cruel? I only wanted good for the world and it fucked me up like that." It’s because you might lie to yourself. You can want and make good things. But don’t deny it’s to feel better. And it’s okay. Nobody died or resurrected because of it. Though, claims were made.

OG thread & Summary: Our "buyer" missed the earnest money deadline on a full cash offer and never provided proof of initiating the transfer despite claiming they did. They waived the appraisal but conducted one anyway (they didn't end up paying for or seeing), citing future financing needs. We considered terminating the contract but decided to proceed in good faith. However, after 72 hours with no earnest money or proof of transaction initiation, and discovering they haven't paid the inspectors or appraiser, we terminated the contract.

Update 05/13:
Agents poked around and discovered that another agent from the same brokerage had a similar experience with the same buyer. The buyer used the same names and story. Further inquiry revealed that this buyer has done the same thing with five other properties at another high-end brokerage, which has now banned them from future offers. Our brokerage is likely to do the same.
Nobody knows this buyer's true agenda, but they are clearly a habitual defaulter. I’m tempted to contact the buyer's supposed employer (a full-service registered broker-dealer and SEC-registered investment adviser) to expose this foolery, though I suspect their employment credentials might also be false... And I will not as it was pointed out below, it's not illegal to default on a contract etc. Anyhow. It's puzzling since they provided proof of funds for a cash purchase in the $2M range, and the bank verified these funds were valid. Yet, they continue making offers with no intention of following through on any of therm.
Anyhow, we are back on the market. This "buyer" can now officially EABOD.

Hello 🫶🏻 I am in the process of doing some nlp analysis of the maasverse books, (analyse which words are most used, difference between her books etc.) and I really want to create a lexicon of the 'spicy' words, that Sarah uses in her writing. But i haven't read her books since the release of HOFAS, and since my memory lasts for around 2 sec, i really can't recall any of them. (but i know there are some good/funny ones!! definitely velvet something...)
Hopefully this will end up being part of a bigger collection of lexicons with spicy language from different authors.
I will post a google sheet link here, and be very thankful for anyone who adds a word or a sentence.
If there are transcribed chapters with a lot of spice, those would also be greatly appreciated!

⚠️ Attention all traders and holders of Chinese stocks: You should read this if you don’t know what a VIE is. Sure, most of you will be repelled by the great wall of text here (so many words!), but you might want to keep this post nearby.
Hello. You are aware that Wall Street’s bustling bazaar hosts a veritable Forbidden City of Chinese companies draped in ticker tape rather than silk. Today, I will provide background and data on all allowed Chinese companies listed on three of the largest U.S. stock exchanges: New York Stock Exchange (NYSE), Nasdaq, and NYSE American.
I should note that a bustling troupe of 26 national securities exchanges are registered with the SEC in the United States. Most are owned by the Nasdaq, NYSE, or the Chicago Board Options Exchange (CBOE).
Nonetheless, based on data from the World Federation of Exchanges as of August 2023, the NYSE and Nasdaq were the top two exchanges behemoths of the global financial stage, accounting for 42.4% of the total $110.2 trillion in valuation traded across 80 major global exchanges.

2022 vs. 2023
According to the U.S.-China Economic and Security Review Commission, as of January 8, 2024, there were 265 Chinese companies listed on the three U.S. exchanges, with a total market capitalization of $848 billion. That valuation is down from a year prior—January 9, 2023—when a slightly lower 252 Chinese companies were tracked, but they represented a total market capitalization of $1.03 trillion.
Since January 2023, 24 Chinese companies have entered the spotlight of the three U.S. exchanges, raising $656 million in combined initial public offerings (IPOs). On the other hand, eleven Chinese companies have folded their tents and delisted.
China Securities Regulatory Commission
The American stock exchanges witnessed a springtime bloom of Chinese IPOs in the first quarter of 2023. However, this listing activity came to an abrupt halt as the clock struck March 31, 2023.
Why? The China Securities Regulatory Commission (CSRC) implemented a revised approval process for companies going public overseas.
I won’t get into the details, but China has rules to cap foreign investment and ownership in sectors deemed strategic, such as technology. In the past, those regulations have driven several Chinese firms to the legal gymnastics of a Variable Interest Entity (VIE) structure—a clever contrivance that allowed them to leapfrog domestic constraints.
However, under the revised review mechanism, every company, regardless of its corporate ownership structure, must now bow before the China Securities Regulatory Commission (CSRC) to register its intent to list overseas.

The gatekeeper
Therefore, although the CSRC touted this regulation as a necessary measure for enforcing regulatory compliance and preventing fraud (which is true), it also helps regulators act as gatekeepers poised to block any proposed listing they deem poses a risk to their national security or jeopardizes China's national interests.
This process is wide-ranging. For instance, it includes an evaluation of the company’s safeguards against disclosing what the Chinese Communist Party considers potential state secrets. But we’re not talking about top-secret black-ops projects meant to be hidden from international oversight committees. No… any company that collects personal information on more than one million users requires stern data security review mechanisms for its cross-border data flows.
For perspective, TikTok has over 150 million users in the U.S. alone and is not subject to the same scrutiny from the Western nations.
Currently, the CSRC approval process is reportedly taking upward of six months.
Audit inspections and investigations in China
You’re probably unaware of the HFCAA, so let’s start there.
The Holding Foreign Companies Accountable Act of 2020 (HFCAA) is a law that requires companies publicly listed on stock exchanges in the U.S. to disclose to the United States Securities and Exchange Commission (SEC) information on foreign jurisdictions that prevent the Public Company Accounting Oversight Board (PCAOB) from conducting inspections.
That law laid down a stern ultimatum: If Chinese authorities kept obstructing the Public Company Accounting Oversight Board (PCAOB) from inspecting audit firms in China or Hong Kong for three consecutive years, the companies audited by these entities would face a ban from the bustling arenas of the U.S. exchanges.
Basically, either China allowed the PCAOB to inspect the audit firms, or the companies had to change to another auditing firm within three years.
Then, as 2022 waned to its final days (literally, on December 29), President Joe Biden signed a Consolidated Appropriations Act, which contained a provision that will tighten the noose, shortening future timelines from three consecutive years to only two.
Once they looked under the rock
Finally allowed to conduct full investigations of audit firms in mainland China and Hong Kong after over a decade of obstruction, the PCAOB announced the findings of its first round of inspections in May 2023, identifying deficiencies in seven of eight audits conducted by the auditing firms KPMG Huazhen and PricewaterhouseCoopers (PwC) Hong Kong. On November 30, 2023, the PCAOB announced fines against three audit firms in China, totaling $7.9 million for misconduct. For perspective, that number included the second and third-largest fines ever doled out by the PCAOB.
Why were the fines so bad?
Those sneaky Chinese accountants
Imagine a gaggle of accountants in the far reaches of PwC China and Hong Kong applying for a U.S. auditing curriculum. But alas, these foreign accountants find the U.S. auditing training tests a trifle tedious, so someone came up with the answers and decided to pass them around like a secret note in a schoolroom.
From 2018 to 2020, over 1,000 of these busy bees completed their U.S. auditing online exams by copying the answers from two unauthorized apps with a fervor that would make a gossip columnist blush.
When confronted with the evidence, PwC China and PwC Hong Kong response: 🤷‍♂️
And let me remind you, this happened late last year. Both firms are expected to provide reasonable assurance that their personnel will act with integrity in connection with internal training and to report their compliance to the PCAOB within 150 days—April 2024.

State-owned enterprises
According to the U.S.-China Economic and Security Review Commission, this graph represents the total market capitalization of Chinese companies listed in the three U.S. exchanges.
Market Capitalization of Listed Chinese Companies
The number of listed companies has stayed at around 260. However, all Chinese state-owned enterprises (SOEs) have delisted themselves from U.S. exchanges, most of them soon after the PCAOB announced it had secured complete access to Chinese auditors’ records.
Variable Interest Entities (VIEs)
Most traders—and that means you—are unaware that 166 Chinese companies currently listed on the three major U.S. exchanges use a VIE structure.
As of January 8, 2024, these companies have a market capitalization of $772 billion. For perspective, that represents 91% of the total market capitalization of all the Chinese firms listed on the three major U.S. exchanges.
What the hell is a VIE?
It is a complex corporate structure that grants shareholders contractual claims to control via an offshore shell company without transferring actual ownership in the company.
A Variable Interest Entity (VIE) is a bit like a riverboat casino’s cleverest trick, allowing a company to sell its chips on a foreign table without ever letting the players hold the cards directly.
A VIE is a structure used primarily by companies that wish to partake in the financial streams of another country (the U.S. exchanges) without breaking local laws (Chinese laws) that prevent full ownership.
Remember, Chinese companies structured themselves as VIEs to circumvent China’s restrictions—not U.S. restrictions—on foreign ownership in industries the CCP deems sensitive.
Therefore, when you hold stock in one of these Chinese companies, you’re not officially holding any actual ownership in the company. Because if you did, then that company could be breaking Chinese restrictive caps on foreign investment and ownership.
That’s why they set up a façade, or a legal entity, that controls the business on paper, but the true power and profits are funneled back to the company pulling the strings.
Granted, it’s not as shaky as asking a random stranger to hold your shares, but it is crafty, and you should be aware of the risks.
Wait. What are the risks?
You need to understand that there’s a shadow of potential risk looming. Potential. Now, don't mistake me for the town crier of doom; I'm not proclaiming that the sky is falling on these shares. Nor am I declaring that disaster is certain for Chinese stocks.
What I am pointing out, however, is the presence of a risk—a subtle beast that might just catch you off guard if you remain unaware.
And let’s face it: Most of you are completely oblivious to these issues.
There are two sides here: 🇺🇸 & 🇨🇳
🇺🇸
Since July 2021, the SEC has imposed additional disclosure requirements for Chinese companies using a VIE to sell shares in the U.S. These requirements include greater transparency about the relationship between the VIE and its Chinese operating companies.
In summary, the SEC aims to push VIEs toward the company behind them to offer more clarity on U.S. investor ownership in the Chinese operating company.

On the other side, Chinese companies that list overseas using a VIE were not required to register their listings with the CSRC, as the VIE is not considered a Chinese company under China’s law. This is the reason VIEs were used in the first place.
However, as I mentioned earlier, after March 31, 2023, the CSRC established requirements for all new Chinese companies to register and receive permission before going public overseas—even those planning to use VIE structures. That’s why there was a boom of Chinese IPOs before that deadline.
Granted, on September 14, 2023, a Chinese auto insurance platform became the first company that received the elusive blessing of the CSRC to list, and it did so using a VIE arrangement, breaking the long, dry spell that had plagued Chinese IPOs when she listed on the Nasdaq four days later.
However, even though VIEs received some sort of recognition from the CSRC, the VIE corporate structures still hold dubious legal status under China’s laws. Remember, VIEs purpose is to avoid being considered a Chinese company under China’s laws.
So… do you see the potential risk here?
Umm… No, I don’t get it.
Think about it. Either country could potentially increase regulations for VIEs, but if the SEC forces them to be more transparent, the VIE would not be able to circumvent China’s restrictions. That’s one risk.
Also, at some point, China’s CSRC might question whether it’s appropriate to recognize a corporate structure that was created to circumvent its laws.
Which leads me to this: What’s keeping the CCP from deciding to start reigning in those VIEs?
The answer is simple: They’re not in a hurry to do so because if misfortune should befall, it’ll be the foreign investors who’ll see their assets deflated like a punctured balloon.

If a VIE-listed company goes private at a lower valuation, businesses fail, or there’s a valuation discrepancy, the enforceability of a VIE’s contractual arrangements is unproven in Chinese courts. With VIE-listed companies, foreign investors’ recourse in the Chinese legal system is as elusive as a catfish’s whisper.
Yeah, but that’s unlikely…
Sure. Of course, I’m not saying every Chinese stock will have these issues. But it can happen. And it has happened.
The unlucky case of Luckin Coffee
Due to the lack of compliance with international audit inspections, Chinese corporate financial statements’ reliability for valuation and investment is not assured.
Such is the case of Luckin Coffee. In a bold bid to capture Wall Street’s hearts and wallets, Luckin Coffee showed up dressed in finery, flaunting alluring figures of revenue, operations, and bustling customer traffic.
At her grand debut, the stock sashayed onto the Nasdaq at $17, swirling up a storm of interested buyers to the tune of $561 million in capital.
For a fleeting moment, Luckin shimmered like a star over the financial firmament, boasting a market capitalization that soared to a heady $12 billion, with shares peaking just over $50.
Ah, but as the adage goes, ‘Truth will out.’ And out it came—the revelation of those embroidered numbers caused the company's stock to plummet like a stone tossed from a bridge, leaving a wake of investor losses and culminating in a disgraceful delisting from Nasdaq 13 months after her debut. Uh-huh. On April 2, 2020, after announcing that employees—including its chief operating officer—falsified 2.2 billion yuan (about $310 million) in sales throughout 2019, Luckin's shares nosedived -80%.

I’m sure many of you might reckon yourselves immune to a similar debacle since you think you’re smart enough to use stops to escape any runaway losses. It's time to wake up and smell the Luckin coffee. Chinese news catalysts often strike like lightning at night, and the stops you set under the sun cannot shield you from storms that explode in the moonlight. Dumbass.
Chinese regulators can be mercurial
Even though the PCAOB is currently able to perform its oversight responsibilities, concerns remain around the possibility that Chinese regulators might backtrack, potentially clamping down once again on the PCAOB's ability to access audit firms and personnel across mainland China and Hong Kong.
If that happens, the PCAOB can quickly declare a negative determination. HOWEVER, this action would only start the countdown under the HFCAA, giving U.S.-listed Chinese companies a window of TWO years to secure services from an auditor in a compliant jurisdiction or face a trading ban. That’s it.
Of course, within that time, Chinese regulators could agree once again to allow access to the PCAOB, thus resetting the two-year countdown without significant consequences.
What lurks in the shadows
Although the risk of PCAOB non-compliance looms over these financial engagements, it is the ghost of potentially misconstrued—or, let's say, creatively presented—earnings reports coming to light that should scare you most. Or, on the flip side, present the biggest opportunity.
I believe it is possible that there are several ghosts out there—ghastly financial figures dressed up a tad too finely—lingering in the shadows, unchecked and unchallenged. If they’re found and unveiled under the harsh spotlight of scrutiny, the fallout would be immediate and severe, leaving investors scrambling.
And if that happens, it’s not about diamond-holding through the plunge since the company might opt (or be forced) to delist from the U.S. exchanges.

You need to understand a crucial concept. Many traders believe that if a company messes up, plunges, and gets delisted, it means the company is basically over—dead. But that’s not the case here. A delisting does not equal death.
I mean, Luckin Coffee is still out there, alive and kicking.
16,218 stores and counting, covering 240+ cities across China.
You would think that a company like that would not be able to cheat on its balance sheet. Yeah, just like you would think PwC China would notice 1,000 accountants cheated their way through the U.S. auditing curriculum.

So… is it too far-fetched to believe more ghosts might come to light, now that the PCAOB can supervise the numbers?
I mentioned a flip side since you could specialize in tracking everything the PCAOB does. If you can get a whiff about increased auditing on a certain company, you might decide to play a short position in anticipation of a potential ghost coming to light. Be warned, though, that it’s not as if they tweet out which companies they’re auditing.
If I were to do it, I would research and join whatever digital saloon young Chinese ledger-keepers convene in. Perhaps I’d stumble upon a post by SumYungGuy or another pleading for advice on how to parley with the PCAOB Laowai making a fuss over his figures. The poor lad's in a pickle, you see, since he cheated the exam and doesn’t know squat.
Methodology
For the purposes of this table, a company is considered Chinese if:
  1. It has been identified as being from the PRC (the People's Republic of China) by the relevant stock exchange;
  2. It lists a PRC address as its principal executive office in filings with the SEC; or
  3. It has a majority of operations in the PRC, including a company structured offshore but whose value is ultimately tied through a relationship in the PRC.
⚠️ Some Chinese companies that use offshore corporate entities hide or do not identify their primary Chinese corporate domicile in their listing information. This complicates tracing, making it difficult to guarantee that this list captures all Chinese companies registered offshore.
I should also point out that this list does not include companies domiciled exclusively in Hong Kong or Macau.
⚠️ Remember, this list only considers Chinese companies listed on three of the largest U.S. stock exchanges: New York Stock Exchange (NYSE), Nasdaq, and NYSE American.
Oh, and btw, this isn’t a list I came up with. This info was compiled by the U.S.-China Economic and Security Review Commission. It’s their methodology and list.
Since the majority is a VIE, I’ve marked the ones that are not registered as a VIE with an asterisk (*). This is determined using the most recent annual report filed with the SEC. A company is judged to have a VIE if:
  1. It explicitly describes using a VIE to conduct all or part of its business operations in China, or
  2. It describes a subsidiary in which it has no direct equity interest but relies on contractual arrangements to exercise control and receive economic benefits from its operations in China.
⚠️ For companies that have been listed for less than a year, information contained in the company’s most recently updated investment prospectus, as filed with the SEC, is used instead.

These are only 51 of the 261 Chinese companies currently listed on the major U.S. exchanges to comply with rule three. I kept the market cap minimum at $750M to allow for some wiggle room.
I mentioned earlier that the U.S.-China Economic and Security Review Commission had 265 tickers, but that was on January 8, 2024. Since then, three companies have been acquired, and the other one has voluntarily delisted.
As you can confirm, the vast majority is structured as a VIE.
I was going to include charts to illustrate how several Chinese stocks—aside from the ones with the biggest market caps—tend to display sudden rallies, followed by after-hours reversals. It is important to recognize them, whether you want to capitalize on them, or avoid them entirely. But I can't add any more attachments, so...

I keep running out of time at Downfall in Ruined Hamlet. All scouts with a Bonus of 1.64, Wiki recommends 1.58
Gunship is loaded with Purple F38 QC, Purple FG-119 and Blue CBU 89/B. All 3 at lvl 60.
Scouts don't get to fire a single shot that can delay them. It is annoying that I have ran this mission a bunch and still leaving the 2nd building with 800 metal pending..
UPDATE: Ran it at LOOT BONUS 1.78 and completed it with 5 secs to spare.
